        유상증자 제도 개선방안

        현행 유상증자 제도가 악용되어 기존주주 및 외부투자자들이 피해를 보는 사례가 지속적으로 발생함으로 인해, 유상증자 제도 자체의 적법성보다 적절성에 대한 문제가 제기 되었다. 이러한 문제를 해결하기 위해서는 현행 유상증자 제도의 다각적인 검토와 원인 규명이 필요하다. 본 연구는 공매도 및 실권주로 인한 피해를 포함하여 유상증자 거래에서 반복될 투자자들의 피해에 대한 논란을 시장에서 불식할 수 있는 정책적 방안을 강구하는 것에 초점을 둔다. 구체적으로 적정한 발행가격 산정을 포함한 유상증자 제도 개선방안을 논한 후, 공매도 및 실권주로 인한 피해를 줄이는 방안을 제안한다. Individual investors have been suffering losses from either short sale activities prior to seasoned equity offerings or bending current regulations on seasoned equity offerings. This study focuses on the background of why such issues emerge and aims to suggest the action plans. More specifically, this study further reviews how issuers take advantage of current regulations on seasoned equity flotation methods and seasoned equity offering price determination mechanism while aims to discuss various measures to remedy the problems. I expect these action plans will contribute to the reduction of excessive new share price discount and the mitigation of impact from short sale activities.

        경영권 프리미엄과 소수주주 보호

        최근 상장사간의 합병으로 인해 경영권 프리미엄, 합병비율의 적정성, 소수주주 보호 문제가 중요한 이슈로 제기되면서, 궁극적으로 한국기업과 자본시장에 대한 불신을 야기할 가능성이 높다. 본 연구는 이러한 논란이 나올 수밖에 없었던 배경에 주목하고, 앞으로 진행될 추가적인 인수·분할·합병 과정에서 반복될 적정성 논란을 불식할 수 있는 실천적 방안을 모색한다. 구체적으로 공개매수제도와 합병비율산정방식에 대해 검토하고, 개선 방안들을 심층적으로 살펴본다. 본 연구에서 제시된 방안들이 실행될 경우 과다한 경영권 프리미엄이 줄어들고, 소수주주 보호 장치가 강화되어 기업지배구조 개선에 기여할 것으로 기대된다. Issues on excessive control premiums, adequacy of merger ratio determining mechanism and weak minority shareholder protection have been raised from the recent M&A transactions. This study focuses on the background of why such issues emerge and suggests the action plans. Morespecifically, this study further reviews and discusses various takeover codes and merger ratio determining mechanism reflective of fair market value. I expect that these action plans will contribute to the reduction of excessive control premiums and to the strengthening of minority shareholders protection, which will ultimately lead to the enhancement of corporate governance in Korea.

      • The Korean Large Vocabulary Continuous Speech Recognition Platform

        For educational and research purposes, we design and evaluate a Korean speech recognition platform to build a decoder. The platform has an object‐oriented architecture so that researchers can modify the platform easily and evaluate the performance of a recognition algorithm of their interests. The platform has the following functionalities: Noise reduction, speech detection, feature extraction, hidden Markov model (HMM)‐based acoustic modeling, cross‐word modeling, ngram language modeling, n‐best search, word graph generation, and Korean‐specific language processing. The platform can handle both lexical search trees for large vocabulary speech recognition, and finite‐state networks for small‐tomedium vocabulary speech recognition. It performs the word‐dependent n‐best search algorithm with a bigram language model in the first forward search stage, then extracts a word lattice, and finally rescores the lattice with a trigram language model in the second backward search stage. In a large vocabulary continuous speech recognition task, we compare the performance of the platform with HTK and Julius.

        한국어 음성인식 플랫폼 (ECHOS) 개발

        We introduce a Korean speech recognition platform (ECHOS) developed for education and research Purposes. ECHOS lowers the entry barrier to speech recognition research and can be used as a reference engine by providing elementary speech recognition modules. It has an easy simple object-oriented architecture, implemented in the C++ language with the standard template library. The input of the ECHOS is digital speech data sampled at 8 or 16 kHz. Its output is the 1-best recognition result. N-best recognition results, and a word graph. The recognition engine is composed of MFCC/PLP feature extraction, HMM-based acoustic modeling, n-gram language modeling, finite state network (FSN)- and lexical tree-based search algorithms. It can handle various tasks from isolated word recognition to large vocabulary continuous speech recognition. We compare the performance of ECHOS and hidden Markov model toolkit (HTK) for validation. In an FSN-based task. ECHOS shows similar word accuracy while the recognition time is doubled because of object-oriented implementation. For a 8000-word continuous speech recognition task, using the lexical tree search algorithm different from the algorithm used in HTK, it increases the word error rate by $40\%$ relatively but reduces the recognition time to half. 교육 및 연구 목적을 위하여 개발된 한국어 음성인식 플랫폼인 ECHOS를 소개한다. 음성인식을 위한 기본 모듈을 제공하는 BCHOS는 이해하기 쉽고 간단한 객체지향 구조를 가지며, 표준 템플릿 라이브러리 (STL)를 이용한 C++ 언어로 구현되었다. 입력은 8또는 16 kHz로 샘플링된 디지털 음성 데이터이며. 출력은 1-beat 인식결과, N-best 인식결과 및 word graph이다. ECHOS는 MFCC와 PLP 특징추출, HMM에 기반한 음향모델, n-gram 언어모델, 유한상태망 (FSN)과 렉시컬트리를 지원하는 탐색알고리듬으로 구성되며, 고립단어인식으로부터 대어휘 연속음성인식에 이르는 다양한 태스크를 처리할 수 있다. 플랫폼의 동작을 검증하기 위하여 ECHOS와 hidden Markov model toolkit (HTK)의 성능을 비교한다. ECHOS는 FSN 명령어 인식 태스크에서 HTK와 거의 비슷한 인식률을 나타내고 인식시간은 객체지향 구현 때문에 약 2배 정도 증가한다. 8000단어 연속음성인식에서는 HTK와 달리 렉시컬트리 탐색 알고리듬을 사용함으로써 단어오류율은 $40\%$ 증가하나 인식시간은 0.5배로 감소한다.

        Antioxidant activity of 3,4,5-trihydroxyphenylacetamide derivatives

        A series of amide derivatives of 3,4,5-trihydroxyphenylacetic acid was synthesized in two steps. The antioxidant activities were evaluated by using four different in vitro models such as ABTS and DPPH radical scavenging activity and FTC and TBA anti-lipid peroxidation activity. Most of compounds were more powerful radical scavengers than vitamin C and were comparable to Trolox. It was found that there were no direct correlations between radical scavenging and anti-peroxidation activities. The inhibitory activity of compound on lipid peroxidation showed remarkable dependency on both the number of phenolic hydroxyl group and the length of methylene linker in N-arylalkyl group of amide. Compound 14, a conjugate of 3,4,5-trihydroxyphenylacetic acid and dopamine, was found as powerful antioxidant as propyl gallate in all four antioxidant assays.

        컴퓨터 범죄가 증가하면서 침입자들의 기법도 갈수록 교요해 지고 있다. 특히 침입자 자신을 숨기고 자신의 정보를 시스템에 은닉하여 다음에 재사용할 가능성이 제기되고 있다. 컴퓨터 포렌식스 관점에서 이러한 위험성은 간과해서는 안될 중요한 사항이다. 정보를 은닉할 수 있는 곳 중에서 파일 지스러기 영역은 파일 시스템을 통해서 접근이 불가능하기 때문에 무결성 체크 프로그램도 탐지가 불가능하다. 본 논문에서는 파일 지스러기 영역을 활용하여 데이터를 은닉하는 방법을 고찰해 보았다. 그리고 파일 지스러기 영역에 데이터를 은닉하고 복구할 수 있는 프로그램을 구현하고 고찰한 내용이 가능한 것임을 증명하였다.

        Discovery of Thiazolidine-2,4-dione Analogues as SGK1 Inhibitors

        Serum- and glucocorticoid-regulated kinases (SGKs) play important roles in the regulation of cellular signaling pathways, which have been reported to play crucial roles in cancer progression. To discover new scaffolds of SGK inhibitors, an in-house kinase-focused library was screened against SGK1 and numerous hit compounds were identified. Among the active hits, 12 compounds were found to be various substituted thiazolidine-2,4-dione (TZD) derivatives. Structure-activity relationship (SAR) and structure-based modeling studies revealed that some structural features such as TZD, the hydroxyl group, and the amino group were important for binding to SGK1.

        A Study on the Economical Design of Protection Facilities through EXPLOSION TEST and Simulation

        Purpose: In this study, the possibility of economical design of a protective structure was presented based on explosion test data and computer simulation results on the safety of both a building and human bodies for the combat training building. Method: A training facility was built for soldiers to experience the vibration, pressure, and noise generated inside the building due to the explosion of the TNT. In the explosion proof test, 9lb of TNT, equivalent to the weight of a 4.2-inch mortar shell, was detonated in four places around the building, including the roof of the training building, the door, and the outside of the wall to determine the damage. Vibration, pressure and noise transmitted into the building were measured. After the explosion test, the damage to the building was examined through a rebound hardness test and visual inspection, and the impact on the human body was estimated by measuring the pressure at three spots inside the building. Afterwards, computer modeling and simulation was performed using High Explosion Damage & Injury Assessment Model(HExDAM) and simulation results were com-pared with explosion test measurements. Results: As a result of inspecting the structural damage of the building, there was no significant displacement of the structure and it was determined that there was no problem in using the building. The compressive strength of concrete was observed through Schmidt hammer, it showed 96% of the strength compared to the design strength(30MPa). The pressure inside the building was measured in the range between 0.063 and 0.488 kPa, which is a very small value that is harmless to the human body. According to computer simulation, the internal pressure increased as the wall thickness decreased. However, even if the wall thickness was reduced, the pressure delivered to the inside did not increase significantly, and it was still found to be harmless to the human body. Conclusion: Through the explosion test, it was confirmed that the structure and personnel inside the training building for combat field experience were safe enough against the explosive power of a 4.2-inch mortar shell. Computer simulations showed that there is room for reducing the thickness of the wall of the building, and the necessity of economical design was suggested by using computer simulation for designing protection facilities and military facilities.
