Tunnel Boring Machine (TBM) method is a tunnel excavation method that produces lower levels of noise and vibration during excavation compared to drilling and blasting methods, and it offers higher stability. It is increasingly being applied to tunnel projects worldwide. The disc cutter is an excavation tool mounted on the cutterhead of a TBM, which constantly interacts with the ground at the tunnel face, inevitably leading to wear. In this study quantitatively predicted disc cutter wear using geological conditions, TBM operational parameters, and machine learning algorithms. Among the input variables for predicting disc cutter wear, the Uniaxial Compressive Strength (UCS) is considerably limited compared to machine and wear data, so the UCS estimation for the entire section was first conducted using TBM machine data, and then the prediction of the Coefficient of Wearing rate(CW) was performed with the completed data. Comparing the performance of CW prediction models, the XGBoost model showed the highest performance, and SHapley Additive exPlanation (SHAP) analysis was conducted to interpret the complex prediction model.
디자인 패턴을 적용한 닷넷 리모팅 공통 프레임워크 설계 및 구현

현재의 소프트웨어 개발의 주요 쟁점은 재사용 가능한 유연한 소프트웨어의 개발이다. 이미 많은 소프트웨어의 성공적인 개발 경험은 소프트웨어의 환경에 따라 또는 구현하려는 모듈의 성격에 따라 공동된 모습을 패턴으로 추출하여 제시되고 있다. 경험된 패턴을 개발하고자 하는 목적에 맞게 선택하여 이를 재사용하면 빠르고 정확하게 소프트웨어를 개발할 수 있다. 이러한 개발은 성공과 실패에 따라 다른 새로운 경험이 되고 다시 재사용 된다. 소프트웨어 개발에 있어서 디자인 패턴의 적용은 선택이 아닌 필수 사항이 되었다. 본 논문에서는 재사용 가능한 소프트웨어 개발을 위해 분산통신 서비스 기술 중 하나인 닷넷 리모팅 기술을 사용하여 디자인 패턴을 적용한 공통 프레임워크를 설계하고 구현한다. The main issue in the current software development is the development of a reusable and flexible software. Already many successful software development experiences have been proposed to extract patterns of common look, depending on the software environment or depending on the nature of the module you want to implement. Can develop the software quickly and accurately to select fit for the purpose of developing and reuse using experienced patterns. These developments are depending on the success and failure become a new experience and reuse again. Apply design pattern in software development is required, was not an option. 진술 및 보증조항 위반 책임의 성질에 대한 한·중 비교법적 고찰 - 매도인의 고의·과실 요부 및 매수인의 악의·과실에 따른 책임 감면의 가부를 중심으로 -

M&A 계약에서 당사자 일방이 진술 및 보증조항을 위반한 사정이 드러난 경우, 위반당사자는 책임 감면을 위해 위반 사실에 대한 자신의 무과실 혹은 상대방의 악의·과실을 주장하는 상황이 발생할 수 있다. 이러한 주장이 받아들여질 수 있는지에 관한 논의는 진술 및 보증조항 위반 책임의 법적 성질을 어떻게 파악할 것인가의 문제로 이어진다. 국내에서는 진술 및 보증조항 위반 책임을 하자담보책임으로 파악하는 견해와 채무불이행책임으로 파악하는 견해가 대립한다. 판례는 진술 및 보증조항 위반 책임을 채무불이행책임으로 보며, 매수인의 악의·과실을 이유로 진술 및 보증조항 위반 책임의 면책을 주장할 수 있는지와 관하여는 극히 예외적인 사유가 아닌 이상 이를 부정한다. 한편 진술 및 보증조항 위반 책임이 무과실책임인지에 관하여는 아직까지 대법원 판례가 없다. 한편 중국 판례는 진술 및 보증 위반 책임을 하자담보책임으로 보아, 매수인이 매도인의 진술 및 보증 위반을 알았거나 알았어야 할 경우 책임이 면제된다고 본다. 다만 진술 및 보증 위반이 대상회사의 주식 자체에 있는지 혹은 대상회사의 영업자산 등에 대해 있는지에 따라 매수인의 과실 유무 및 그에 따른 면책 여부를 달리 판단한다. 진술 및 보증 위반 책임이 무과실책임인지 여부와 관하여는 채무불이행책임과 하자담보책임을 구분하지 않고 통틀어서 계약위반책임으로 보는 중국이 계약위반책임에 당사자의 고의·과실을 요구하지 않기에 논의되지 않는다. 생각건대 우리 법제 하에서는 진술 및 보증조항 위반 책임을 채무불이행으로 보면서도 하자담보책임, 불법행위책임 등과 경합한다고 보는 것이 타당하다. 다만 하자담보책임의 경우 주식 자체의 하자에만 적용되어야 보아야 할 것이다. 이 경우 하자담보책임과 경합하지 않는 범위에서는 매도인이 무과실을 증명하는 경우 면책된다고 봐야 할 것이나, 진술 및 보증의 내용이 대부분 매도인이 이미 숙지하고 있을 가능성이 높으므로 아주 예외적인 경우에만 면책을 인정해야 한다. 매수인의 악의를 이유로 하는 진술 및 보증 위반 책임의 제한 또한 판례와 같이 신의칙에 따라 매우 제한적으로 인정하여야 할 것이다. 진술 및 보증 위반 책임의 성질에 대한 인식의 차이는 진술 및 보증 위반 책임의 감면 가부에 관한 서로 다른 판단을 초래한다는 점에서 당사자에게 적지 않은 영향을 끼친다. 그러나 이는 대부분 진술 및 보증조항이 명확하지 않을 경우를 전제하기 때문에 위의 논쟁과 같은 다툼은 구체적인 약정을 통해 충분히 사전에 예방할 수 있다. 따라서 구체적이고 명확한 진술 및 보증 조항을 만드는 것이 M&A 계약에 있어서 매우 중요하며, 이는 한국법이 아닌 중국법을 준거법으로 하는 경우에도 다르지 않다. When a breach of representations and warranties in M&A contract occurs, the breaching party may claim its non-negligence or bad faith·negligence of other party to reduce its liability. Discussions of whether these claims are acceptable leads to the question of how to determine the legal nature of the liability for breach of representations and warranties(R&W). In Korea, there is a debate on whether the liability for breach of R&W is warranty against defects or default liability. The Supreme Court of Korea agrees with the former, and denies the exemption of liability on the grounds of bad faith or negligence of a buyer, unless there are exceptional cases. Yet there is no Supreme Court precedent as to whether the liability for breach of R&W is liability without fault. On the other hand, Chinese precedent considers the liability for breach of R&W as warranty against defects. Thus, a seller’s liability is exempted if a buyer is aware of or should have known of a seller’s breach of R&W. However, Chinese court’s judgment on exemption depends on whether the breach of R&W is about the stock itself or the operating assets of the target company. Whether the liability for the breach of R&W is liability without fault is hardly discussed in China, because the liability for breach of contract does not require intention or negligence in Chinese law. This paper is of the opinion that it is reasonable to consider the liability for breach of R&W as default liability, and it coexists with warranty against defects, tort liability, etc. Warranty against defects should only be applied to the defects of the stock itself. In this case, to the extent that it does not coexist with warrant liability against defects, a seller is exempted if he proves his non-negligence. However, the exemption of liability for breach of R&W without negligence should be granted only in very exceptional cases, as most sellers already understand the contents of R&W. Reduction of the liability for breach of R&W on the grounds of the buyer’s bad faith should also be granted in a very exceptional case in accordance with bona fide doctrine, as in the precedent. As discussed above, differences in view on legal nature of the liability for breach of R&W have a significant impact on the parties in that they result in different judgements about whether to reduce the liability for breach of R&W. However, the discussions above are based on the premise that R&W clause is unclear, so it can be prevented in advance through specific agreement. Therefore, it is very important in M&A contracts to make specific and clear R&W clause, and there is no difference under the Chinese law.
