經營權防禦措置와 企業價値의 效果分析

經營權 保護措置의 일환으로도 볼 수 있는 無議決權주식 발행이 株主富에 미치는 영향은 아직 論難의 대상이 되고 있다. 肯定的인 측면은 經營權의 防禦措置가 예상되는 企業合倂에서 契約能力을 향상시킴으로써 높은 프레미엄을 받을 수 있다는 것이고, 否定的인 측면은 所有經營者가 支配權을 계속 소유함으로써 企業引受 가능성을 감소시키기 때문에 발생된다고 한다. 즉 經營權 保護措置를 취할 때 確率의 效果와 프레미엄 效果가 공존한다는 것이다.

This article has the goal to restructure the korea bank. To perform this purpose, we have the empirical test of the employees of banks. The result indicates that the concrete goal should be proposed, a lot of employees are fired and a lot of conflicts are presented.

We analyze the postmerger cash flow performance of Korea. There is a strong positive relation between postmerge increases in operating cash flows and abnormal stock returns at merger announcements. Postmerger improvement in operating cash flow returns explain a significant portion of the increase in equity value.

소유자 지분율과 주주의 부에 대한 연구

경영권보호조치가 소유경영자의 의결권지분율에 따라 주주부에 미치는 영향은 긍정적인 측면과 부정적인 측면이 공존한다는 것이다. 본 연구는 이러한 사실에 기초하여 무의결권 우선주식발행이 경영권보호 조치로 사용될 수 있다는 것과 우선주식 발행비중이 소유경영자의 의결권지분율에 따라 다르게 나타난다는 것을 밝혔다. 즉 무의결권 우선주식발행이 보통주의 주주부에 긍정적인 영향을 주지만 소유경영자의 지분율에 따라 주주부에 다른 영향을 준다는 연구를 하였다. 이러한 연구결과는 대주주의 의결권지분율은 주주부를 결정짓는 중요한 변수라는 것을 보여준 것이라 할 수 있다.

Business ethics management in globalization is important element of the competitiveness. And ethical behavior is doing the right things more than the law. In this circumstances, this study intends to inspect business ethics in Korea, Japan and USA corporations and suggest desirable business ethics. The summaries of the study are as follows: First, corporation must establish management strategy for enforcement of business ethics. Second, managers must recognize business ethics as added value of the corporation. Third, corporation must make code of business ethics. And managers must control the practice.

우리나라 무의결권시장에 관한 연구

The issuance of preferred stock with limited voting right(nonvoting stock) has been popular in Korea. Preferred stock is one type of shares which has no voting right. This defensive action of preferred stock issuance must be appreciated in terms of positive effect as well as negative effect. Thus this paper examine the empirical effect in Korea stock market. As a result, we find the issuance of nonvoting stock results in the concentration of voting power. We find nonvoting stock issuance makes stockholders better off. We find a significant relation between abnormal returns and percentage of managerial ownship.

대학생의 우울, 특성불안, 사회적 지지, 성인애착이 대학 생활적응에 미치는 영향

This purpose of this study is to investigate the influence of the perceived depression, trait anxiety, social support and adult attachment on adjustment to life in university students. For this study, research data about adjustment to life college, the perceived depression, trait anxiety, social support and adult attachment were collected from 297 university students. Results of correlation and multiple regression analysis showed that the perceived depression, trait anxiety, social support and adult attachment are the most influential factors. The results are as follows: first, the finding shows that the adjustment to college life has a significant static correlation with among depression, trait anxiety, social support, and adult attachment, respectively. Second, the effects of depression, trait anxiety, social support, and adult attachment on college life adjustment of college students showed that trait anxiety, professor support of social support, depression, respectively. Therefore, it is necessary to have various policy researches that can be used to development various methods and programs to help adjustment to college life. Lastly, implications and limitations of this study were discussed. 본 연구는 대학생의 우울, 특성불안, 사회적 지지, 성인애착이 대학 생활적응에 미치는 영향을 살펴보는데 목적이 있다. 서울과 경기 지역의 K대학교 163명, Y대학교 134명의 1학년, 2학년 총 297명 중 내용이 부실하거나 부적합한 자료 32부를 제외한 총 265부를 가지고 SPSS 20 Program를 이용하여 상관계수와 중다회귀분석을 하였다. 연구결과에 따르면 첫째, 대학생의 우울, 특성불안, 사회적 지지, 성인애착, 대학 생활적응 간에 유의미한 상관이 나타났다. 둘째, 대학생의 우울, 특성불안, 사회적 지지, 성인애착이 대학 생활적응에 미치는 영향력을 살펴본 결과, 특성불안, 사회적 지지의 교수지지, 우울, 성인애착의 친밀애착이 대학 생활적응에 유의미한 영향을 미치는 것으로 나타났다. 그러므로 대학 생활적응에 도움을 주기 위한 다양한 방법과 프로그램 개발에 활용할 수 있는 다양한 정책적인 연구 등이 필요할 것으로 나타났다. 끝으로 논의에서는 시사점과 제한점에 대해 논의하였다.

Factors in early hospital arrival following suspected acute stroke symptoms

Objective: We investigated the factors that affect the time from the onset of acute stroke symptoms to arrival at the emergency department (ED). Methods: Between July 2019 and February 2020, patients with acute stroke symptoms who visited a public hospital were evaluated by retrospective analysis using a prospective survey. The data for this study was gathered from baseline interviews with patients enrolled in stroke surveys. The primary outcome was time to arrival at the ED, evaluated as a binary variable with a value of 4.5 hours. Results: Overall, 205 patients were included in the final analysis. Among them, 47% (n=96) of patients with acute stroke symptoms arrived at the ED later than 4.5 hours from the time of onset of acute stroke symptoms. After multivariable logistic regression analyses, it was found that patients with higher National Institutes of Health Stroke Scale (NIHSS) scores, patients who did not live with their family members, and patients who were found by a passerby were associated with early ED arrival post onset of acute stroke symptoms. Among patients diagnosed with acute stroke, those with higher NIHSS scores or underlying malignant diseases were found to present earlier at the ED. Conclusion: Approximately half of the patients (47%) with acute stroke symptoms presented to the ED within 4.5 hours. Higher NIHSS scores and the presence of underlying malignancy were identified as the key factors that were associated with an early presentation at the ED from the time of onset of acute stroke.

군 장병의 정신건강 영향 요인들 간의 구조적 관계

본 연구는 군 장병의 정신건강 영향 요인들 간의 구조적 관계를 살펴보고자 하였으며, 충청권 지역에 소재한 공군 부대 장병들 총 410명을 대상으로 설문을 실시하였다. 본 연구의 결과에 의하면, 첫째, 장병들의 스트레스는 정신건강에 직접적인 부적 영향을 미치는 것으로 나타났다. 둘째, 장병들의 스트레스는 정신건강과의 관계에서 매개변인인 자기통제력과 적응유연성을 통하여 직·간접적으로 영향을 미치는 것으로 나타났다. 셋째, 스트레스에서 자기통제력으로 가는 경로와 자기통제력에서 적응유연성으로 가는 경로, 스트레스에서 정신건강으로 가는 직접적인 경로에서는 정적 영향을 미치는 것으로 나타났다. 끝으로 본 연구는 정신건강을 탐색한 기존의 연구들이 주로 학생이나 일반 기업을 대상으로 환경적 변인들과의 관계 규명에 접근한데 비해 군 조직의 특성을 고려한 장병들의 개인내적 변인들까지 확장하여 이들의 직·간접적 영향력과 구조적 관계를 확인하였다. The purpose of this study was to investigate the structural relationships among influencing mental health of the military soldiers. The subjects of this study were 410 air force soldiers in Chung-cheong region. According to the results of this study, First, it was shown that the stress of the soldiers has a direct negative effect on the mental health of the soldiers. Second, it was shown that the stress of the soldiers is directly or indirectly influenced by self-control and resilience in the relationship with mental health. Third, there was positive impact in the path from stress to self-control, the path from self-control to resilience and the indirect path from stress to mental health. These results are inconsistent with previous studies suggesting that social support has an impact on mental health. However, It was shown that social support has significantly direct impact on mental health through resilience. Finally, Existing studies approached the relationship between the environmental variables for the students and general companies. but this study extended the personal variables of the soldiers considering the characteristics of the military organization, confirming their direct and indirect influence and structural relations.
