Qualifying shareholders disagreeing with particular corporate decisions that are stipulated under the Commercial Act and/or Capital Market and Financial Investment Service Act (“CMFISA”) may dissent and obtain payment for their shares (“appraisal remedy”), provided that the action they wish to challenge is “unlawful or fraudulent.” The dissenter is entitled to the “fair value”standard of value for their shares. This article focuses on the fair value for shareholders’ shares, and discusses how the term fair value should be interpreted. It then provides a theoretical justification for the use of Market Value as the appropriate standard for valuation. ‘Fair value’ means the value of the corporation's shares, especially,immediately before the effectuation of the corporate action to which the dissenter objects. Three calculation methods of fair value are commonly used: present value of the firm’s existing assets; the market value; and,earning value including future earning opportunities to free cash flow. The Commercial Act and CMFISA, however, suggest that “the details of determining ‘fair value’” within the broad outlines of the definition should be left to the courts. Accordingly, the Supreme Court recently held that fair value is the “normal transaction price that reflect the object exchange value (normal deal price which was reflected objective exchange validity).” At present, however, no clear case law provides an interpretation regarding the meaning of normal transaction price. This article is organized in six parts. Part Ⅱ addresses the nature and implication of stock and how it connects to the fair value for shareholders'shares. Part Ⅲ briefly reviews the three calculation methods of fair value for corporate value, and Part Ⅳ analyzes the statutes and case law governing the fair value for shareholders' shares, drawing particular attention to the difficulties posed by the Supreme Court's decisions. Finally, Part Ⅴ reviews relevant legal issues, fair value, fair issuing price, appraisal right, squeeze-out merger especially in relation to the appraisal methods for corporate value. In conclusion, this article provides a theoretical justification for the use of Market Value as the appropriate standard for valuation.

Diese Arbeit behandelt den Begriff des Da¨monischen. Die Etymologie des Wortes 'Da¨monisch' ist heute noch umstritten, jedoch scheint die Abteilung des Wortes daimon aus daiomai einige Richtigkeit fu¨r sich in Anspruch zu nehmen. In der Antike fehlt den alten Griechen eine einheitliche Vorstellwlg von Kraft. Kraft wurde nicht zu einem umfassenden Begriff zusammengezogen, sondern sie wurde auf einzelne Krafttra¨ger aufgeteilt. Die Tendenz der Griechen ZUr Personifikation schuf bildhafte, der Wirklichkelt entnommene Gestalten, die ihre Phantasie zu anschaulichen Krafttra¨gern ausformte. Und da der rege Geist der alten Griechen die von ihnen beobachteten Pha¨nomene der Umwelt nicht ohne Namen und Bezeichnung belassen konnte, mußten wie die Krafttra¨ger auch Krafterscheinungen einen Namen bekommen. Aber die Unbestimmbarkeit ihres Wesens und die Unmo¨glichkeit, die Krafterscheinung fu¨r alle vorkommenden Fa¨lle in ein einziges anschauliches Bild zu bannen, fu¨hrten dazu, daß der Name hierfu¨r vo¨llig im Allgemeinen bleiben mußte: das Da¨monische. Im Verlauf der Zeit erhielt dieser Begriff 'da¨monisch' die Tendenz zur Aufspaltung. Dlese Tendenz fu¨hrte in hellenistischer Zeit zum Glauben an einzele bo¨se und gute Geister, und half mit dem Aufkommen des Christentums der Lehre von guten und bo¨sen Engeln ausbilden. In neuer Zeit ist wohl Goethe der erste bedeutende Mensch, der sich eingehend mit dem Begriff des Da¨monischen bescha¨ftigt hat. Immer wider versuchte er begrifflich zu erfassen, worin das Da¨monische bestu¨nde, und immer wider flu¨chte er in umschreibende Erkla¨rung widerspru¨chlicher Eigenschaften. Die Schwierigkeit der Begriffsbestimmung lag aber nicht etwa an einem Unvermo¨gen Goethes, sich pra¨ziser auszudru¨cken, sondern an der Unmo¨glichkeit einer begrifflichen Erfassung. Trotz des widerspru¨chlichen Charakters von Goethes A¨ußerungen u¨ber das Da¨monische lassen sich einige Hauptzu¨ge herausarbeiten, die uns verstehen helfen, was er darunter verstand, und wie er sich dazu verhielt. Goethe betrachtet das Da¨monische im großen und ganzen unter denselben Gesichtspunkten, wie es die Antike u¨berliefert hat: 1. Das Da¨monische hat am Go¨ttlichen teil. 2. Es zeigt sich als positiv und negativ. 3. Sein Wirken wird in der a¨ußeren wie auch in der inneren Natur festgestellt. 4. Es kommt dern Begriff des Schicksals nahe. Fu¨r Goethe wie auch fu¨r die Antike war also das Erlebnis des Da¨monischen in allen Aspekten des Lebens zu finden. Aber Goethe hat dieses Wesen nicht nur erkannt und beobachtet, sondern auch hat sein Erlebnis des Da¨monischen gleichzeitig zu einem a¨sthetischen Erlebnis erhebt. Folglich ist auch die dichterische Gestaltung des Da¨monischen als Vergegenwa¨rtigung seines inneren a¨sthetischen Erlebnisses zu verstehen.

1P-82 High Performance Photoimaging device using Multiple-Patterned Plasmonic Nanostructures

Insect eyes are composed of units called ommatidia which contains unique hierarchical structured cornea leading to efficient light absorption. Inspired by insect ommatidia, we fabricated photoimaging device consisting of organic photodiodes (OPDs) and organic resistive switching device (ORS). Multiple patterned plasmonic electrode was applied to OPDs, which lead to increased light absorption compared to flat electrodes. The responsivities of OPDs were greatly enhanced and the threshold voltages of the photoimaging device were reduced over half compared to flat electrode. The reproducibility of the device was also confirmed by bending test and multicycle usage test. Moreover, strong surface plasmon coupling of these nanostructured electrodes was observed by theoretical study and near-field scanning optical microscopy. From these results, it has been demonstrated that multiple patterned plasmonic nanostructures can be used as a highly effective optical design in optoelectronic devices.

Ontology technology in Medical Informatics is evolved from the three different research areas: namely, web application for the Semantic Web, Knowledge Representation in Artificial Intelligence, and medical terminology system. In this paper we provide possible research agenda concerning medical ontology development from the above three perspectives at the same time.
