Since the mid-90s of last century, company law all around the world had experienced a period of loose regulation. Corporate governance under the company law of Japan (2005) was also eased. For instance, it expanded operators authority, gave them greater discretion, as well as relaxed the liability system. In 2007, however, the U.S. subprime crisis broke out, which led to the burst of the economic bubble and thus a long recession for world economy. As a result, the regulation over corporations strengthened once again. In 2015, Japan announced and implemented Amendments to Company Law which focused on strengthening corporate governance and regulating parent-subsidiary company relationship. In particular, the newly created mini-committee system causes us to consider what kind of market environment capital internationalization needs, how to establish and design the institutional system that the market needs, and how to achieve a flexible and transparent internal governance structure. In the transition period, imitation and manufacturing are necessary, but the ultimate goal should be creation, which is the most valuable thing we are supposed to achieve.

최근 ESG가 세계적으로 주목받는 가운데,코퍼레이트 거버넌스는 경영진이 이끄는 이해관계자 지향적 기업관리에서 이사회가 이끄는 사외이사 지향 주주이익 지향 기업경영으로 전환 되었으며, 근래에는 ESG에 대한 기관투자자의 참여를 강화하고 있다. 따라서 ESG투자를 추진하는 것이 機關投資者에 대한 受託者責任에 저촉되지 않는지에 관한 문제가 제기되고 있다. 즉 機關投資者는 자신의 자산을 자신의 판단으로 운용하는 個人投資者와는 달리, 수익자로부터 자산운용을 수탁받고 있으로, 이는 자산을 운용하는 책임을 의미한다. 機關投資者는 이러한 책임에서 경제적 리턴 극대화를 고려하여 왔기에, 경제적 리턴뿐만 아니라 ESG 요소를 고려한 투자가 신탁법의 唯一利益規則(sole interest rule)에 반하는 점이 법적으로 문제가 될 수 있다. 때문에 賢明한 受託者責任(fiduciary duty of prudence)의 정의가 필요하다. 이에 논의가 활발히 이루어진 英美에서 활발히 논의된 ESG投資者의 信認義務를 살펴보면 일정한 차이를 보이며, 일본과 중국에서도 信認義務에 대한 논의가 계속되고 있다. ESG투자(機關投資者)와 ESG經營(會社經營)의 가치관과 책임 범위가 다르기 때문에 회사 대표소송에 추가적인 요소로 작용할 수 있는 과제로 주목 받고 있다.

Liver metastasis is a major cause of death in gastric cancer patients, but the underlying mechanisms are poorly understood. Through a combination of in vivo screening and transcriptome profiling followed by quantitative RT-PCR and tissue array analyses, we found that mitogen-activated protein kinase 4 (MAPK4) downregulation in gastric cancer tissues from patients is significantly associated with liver metastasis and poor prognosis. The knockdown of MAPK4 in gastric cancer cells promotes liver metastasis in orthotopic mouse models. MAPK4 depletion in gastric cancer cells induces the secretion of macrophage migration inhibitory factor (MIF) to polarize tumor-associated macrophages (TAMs) in orthotopic xenograft tumors. Moreover, TAMs activate epithelial–mesenchymal transition of gastric cancer cells to suppress MAPK4 expression, which further increases MIF secretion to polarize TAMs. Taken together, our results suggest a previously undescribed positive feedback loop between cancer cells and macrophages mediated by MAPK4 silencing that facilitates gastric cancer liver metastasis.
