        This has been developed on the base of the fiduciary relationship of board of director system or centralism of board of director between companies and directors at the Anglo-American formlaw. With the motive of fiduciary relationship, the given highest duty to the director is a duty of loyalty. He has to perform the endowed power according to the company-law's advantage to the object of sincerity and justice, and in case of the conflict has happened between the social benefit and directors, individual benefit, his private profit shall be sacrificed and decide the intention which will not conclude the contract conflicting between the company benefit and director's individual benefit. Generally, comany-law of continental-law system is, due to the attorney concerned between director and company, the director has to have the obiligational character of a virtuous administrator. At the Anglo-American company-law there is fiduciary relationship between director and company, and recognized the director to have duty of loyalty, therefore both parties are against, however, it would not certainly be supposed in the relation to choose either one party. Our commercial law adopted the authorized capital system on the Anglo-American company-law accordingly, take the director's centralism with the highest organization of legal decision concerning the company's enterprise management with the borad of directors, thus the legal bases which needs fiduciary duty of the directors is formed. Certainly it will be recognized the Fiduciary Duty of the Directors.

      • 병원정보시스템의 성과에 영향을 미치는 요인에 관한 연구

        The purpose of this study is to analyze the organization characteristics and task characteristics which is considered to affect the performance of Hospital Information System: HIS and make suggestions for the successful management of HIS. The major findings of the study are follows: first, among organization characteristics, the support from CEOs, userss participation, and formulation show the 5% of positive significance in the performance of HIS. But decentralization does not affect the performance of HIS. This result suggests that the support from CEOs is prior to other factors in the promotion of the performance of HIS. The participation of the users in the maintenance of the system is also importance to raise the performance of HIS. It is needed to make the organization's regulation strict and to formalize the tasks. Secondly, among task characteristics, structuralization and interconnections affect positively the performance of HIS by 5%. However, the level of difficulty does not show significant relation with the performance of HIS. The result of the study show that it is needed to standardize the tasks of Hospitals and to be specified in the Manual. When the tasks of Hospitals are highly correlated with other tasks, the excellent performance of HIS is achieved. 본 연구는 정보시스템의 성과에 영향을 미치는 다양한 변수 중에서 조직특성과 업무 특성을 선정하여 병원정보시스템의 성과와 이들 간의 관계를 분석함으로써 우리나라 병원정보시스템의 성공적인 활용 및 관리방안을 제시하고 기여하는데 그 목적이 있다. 연구결과의 요약과 그 시사점은 다음과 같다. 첫째, 조직특성 중에서 최고 경영층 지원, 사용자 참여, 공식화는 5%의 유의수준에서 병원정보시스템의 성과에 통계적으로 정(+)의 유의한 영향을 미치는 것으로 나타났으나, 분권화는 병원정보시스템의 성과에 통계적으로 유의한 영향을 미치지 않는 것으로 나타났다. 이러한 결과로 병원정보시스템의 성과를 높이기 위해서는 병원정보시스템에 대한 최고경영층의 지원이 우선적으로 고려되어야 하며, 병원정보시스템의 개발 후 유지·운영에 사용자가 적극적으로 참여하고 조직의 직무규정이나 절차가 엄격하고 지구내용도 공식화 되는 것이 필요하다. 둘째, 업무특성 중에서 구조화, 상호연관성은 5%의 유의수준에서 병원정보시스템의 성과에 통계적으로 정(+)의 유의한 영향을 미치는 것으로 나타났으나, 난이도는 병원정보시스템의 성과에 통계적으로 유의한 영향을 미치지 않는 것으로 나타났다. 이러한 결과는 병원의 업무가 표준화되고 편람화 되는 것이 필요하며, 병원업무가 타 부서와 상호연관성이 높을 수록 병원정보시스템의 성과가 높아지는데 유념해야 한다는 것을 시사한다.

        한국 여성 직장인의 조직행태에 관한 연구 -간호사의 조직시민행동 중심으로-

        Recently Korean society has experienced rapid changes in every field including hospital organization. In hospital organization, the development of doctors and nurses is very important. Especially, the behaviors of the nurses is decisive in deciding the quality of services because they are contacting patients directly. The successful raise of the customer-oriented nurses will lead to the success of the hospital organization. This research studies Organizational Citizenship Behavior(OCB) in hospital organization. OCB is not officially required behavior such as the cooperation with other coworkers, voluntary working. It is also not rewarded. The purpose of the study is to raise the efficiency of hospital organization through the efficient management of human resource in the nursing part and the behavior change of nurses. In addition, the study makes some suggestions for the management innovation of the hospital organization. The findings of the analysis shows how the hospitals deal with the changes in the environment and achieve their organizations' goals. To draw and keep the OCB of nurses the human resource management system which enhances the job satisfaction and organizational commitment should be made. For the high quality of medical service and patients' satisfaction, the education program that will produce the highly skilled nurses should be developed.
