폐배터리 재활용 스타트업의 가치평가

최근 벤처투자가 위축되는 추세에도 AI, 이차전지, 로보틱스, 그리고 유전공학 분야의 혁신적인 스타트업에 대한 투자는 지속적으로 증가하고 있다. 이 중 이차전지는 한국 기업들이 세계적 경쟁우위를 확보하고 있는 분야로 향후 수년간 고도성장이 예상되고 있다. 이차전지 산업에 대한 각국의 전략적 지원과 친환경 규제에 대응하여 지속가능한 성장을 이루기 위해서는 배터리 순환경제 체계를 구축할 필요성이 대두되고 있다. 폐배터리의 수거와 재활용은 원재료의 공급안정과 환경문제를 해결할 수 있는 중요한 수단으로 배터리 순환경제의 핵심적 사안이다. 본 사례에서는 미국의 폐배터리 재활용 전문 스타트업인 레드우드 머티리얼즈(Redwood Materials)를 분석하고 기업가치를 추정하는 방법을 토의한다. 이 사례는 미국의 이차전지 및 폐배터리 재활용 산업의 동향을 파악하고 한국의 배터리 관련 기업들의 대응방안을 논의할 수 있도록 구성되었다. 또한 미국 스타트업의 성장과정을 분석함으로서 한국의 스타트업을 글로벌 기업으로 성장시키기 위한 벤처캐피탈의 역할을 토의하는 자료로도 활용할 수 있다. Whilst the recent downward movement in venture capital market, venture investment in disruptive innovation technology has steadily increased. Amongst the rechargeable battery industry, in which Korean companies have secured global comparative advantages, is expected to show abnormal growth for the next several years. To pursue sustainable growth under the government’s strategic support and environmental regulations, it is necessary to establish a battery circular economy. Collecting and recycling used batteries is a key element of the battery circular economy that could stabilize supply chain and resolve the environmental issues. This case study analyzes Redwood Materials Inc., an U.S. firm specialized in battery recycling, and discuss how to estimate the firm value. Through the case analysis, we can understand the recent trends in the rechargeable battery and recycle industries in the U.S. and discuss the strategic directions of Korean battery firms. In addition, the analysis on the growth of an U.S. startup will help readers to discuss the role of venture capital in nurturing Korean startups to become global companies.

스타트업의 상환전환우선주 가치평가 방법에 대한 연구: 뱅크샐러드 사례를 중심으로

This paper explores the method to find the fair value of Redeemable Convertible Preferred Stock(RCPS). Due to the high failure rates, uncertainty, and the lack of trust on the management teams of early startups, venture capital prefers to invest with RCPS instead of common stocks. Venture capital has an incentive to evaluate the fair value of RCPS for the managerial reason and reporting purpose. RCPS is a complex security with the redemption right and the conversion right together, which make it very hard to be properly evaluated. The research establishes an random expiration option model that is theoretical and also practical for the valuation of RCPS. I also illustrate the valuation of RCPS issued by Banksalad, a representative Korean FinTech startup, and discuss various issues related to the valuation of RCPS. In the up-round where the value of a startup increases, there is virtually zero possibility to exercise the redemption right and, therefore, RCPS shall be valued as common stock. Conversely, in the down-round where the value of the startup decreases, RCPS shall be valued as debt security because it is unlikely to be converted into common stock. This research provides the method to find the fair value of RCPS and thereby contributes to the overall advance of venture capital industry in Korea. 본 연구는 벤처캐피탈이 스타트업에 투자할 때 주로 사용하는 상환전환우선주(redeemable convertible preferred stock)의 가치평가 방법을 제시한다. 창업초기 스타트업은 높은 실패율과 불확실성으로 그리고 경영진에 대한 신뢰성 부족으로 인하여 벤처캐피탈은 보통주보다는 상환전환우선주를 통한 투자를 선호하는 경향이 있다. 벤처캐피탈은 지분투자 이후 투자현황에 대한 관리 및 보고 목적으로 그리고 투자회수 시점의 예상 투자수익률의 추정을 위해 상환전환우선주의 공정가치(fair value)를 평가할 유인이 있다. 상환전환우선주는 채권의 속성인 상환권(redemption right)과 보통주로 전환할 수 있는 전환권(conversion right)을 가진 복합증권으로 그 가치를 평가하기가 어려운 측면이 있다. 본 논문에서는 상환전환우선주의 가치평가에 적합한 옵션가격결정모형을 활용하여 그 상환전환우선주의 가치를 평가하는 이론적 실증적 방법을 제시한다. 또한 한국의 대표적인 핀테크 스타트업인 뱅크샐러드의 사례를 통해 상환전환우선주의 가치평가 방법을 실증하고 관련 이슈를 분석하였다. 스타트업의 가치가 지속적으로 상승하여 상환권을 행사할 가능성이 희박해진 경우에는 상환전환우선주는 보통주 지분가치로 평가하는 것이 타당하며 반대로 스타트업의 가치가 하락하여 보통주로 전환될 가능성이 희박할 경우에는 상환전환우선주를 채권의 가치인 상환권의 가치로만 평가해야 함을 검증하였다. 이 논문에서 제시하는 가치평가방법은 상환전환우선주의 공정가치를 발견하는데 일조하여 장기적으로 벤처캐피탈 업계의 성장에 기여한다.

The Dynamics of Diversification Discount

Using a sample of diversified firms over the period of 1980-2003, I investigate changes in the diversification discount over the two decades. The time-series pattern of the diversification discount is created by the entrance and exit of discount firms. I find that the distribution of excess value can correctly predict the survivalship of a diversified firm. Discount firms are more likely to reverse their diversification within short time period. By contrast, the survival of diversification strategies among premium firms and focused firms is unrelated to the firms’ excess values. After accounting for value effects, premium firms perform better than focused firms and discount firms. I interpret the results as evidence that excess value can correctly identify these firms that are successful and unsuccessful in their diversification.

채무조정교섭업 제도 도입이 미치는 영향에 관한 논의

This paper explores the consumer credit law’s basic direction, main task and effects or social costs after introduction of debt relief or adjustment negotiation business. Since 2019, to establish fair principles in the loan process between individual debtors and financial institutions a task force consists of experts from in and outside the related institution has been organized. As a result bill for the legislation of consumer credit law has been prepared and the bill will be submitted to the National Assembly in 2021. Exploring the effects of debt relief or adjustment negotiation business introduced for protecting debtors and activating private debt negotiation, the analysis showed that it will increase social costs contrary to the purpose of legislation which intended to decrease social costs. First with the introduction of the new system, operation costs and negotiation costs occur and indirect costs occur by possibilities of delay in negotiation process, increase in financial institutions’ debt management costs and default increase lead to increase in total social costs. Also moral hazard problems with decrease in incentive to repay, isolation of low credit debtors, weakened existing legislation and debt collection companies performance for debt adjustment negotiation lead to increase in social costs. Considering the effects, rather than newly establishing debt relief or adjustment negotiation business by legislation, reinforcement of consumer protection purpose with alleviating debt collection burden of the debtor and supporting revival is needed by improving existing private and public finance consumer protection systems. 본 연구에서는 소비자신용법의 기본 방향 및 중점과제, 채무조정교섭업 도입에 따른 영향 또는 사회적 비용의 문제 등을 살펴보았다. 2019년 이후 대출계약, 채무상환, 연체채무 추심 등과 같은 대출의 전체 과정에서 금융회사와 채무자간 공정한 원칙을 정립하기 위해 관련기관과 전문가로 구성된 개인연체채권 관리체계 개선T/F를 구성하면서 개인연체채무자 보호 논의가 시작되었고 그 결과 2020년 8월 소비자신용법안이 마련되었으며 2021년 안에 국회에 제출할 예정이다. 본 연구에서는 연체채무자의 보호 및 사적 채무조정을 활성화하기 위해 채무조정교섭업을 신설하려는 조항의 영향을 중점적으로 살펴보았는데 사회적 비용의 절감이라는 입법취지와는 달리 오히려 사회적 비용의 증가를 초래할 수 있을 것으로 보인다. 먼저 제도의 신설 및 시행의 운영에 따른 비용, 채무조정서비스 수수료 비용 등 직접적인 비용 발생하게 되며 채무조정의 지연 가능성 및 금융회사의 채무관리 증가, 채권회수 감소 등 간접적인 비용의 증가로 이어져 총사회적 비용이 더욱 늘어날 수 있다. 채무자의 성실 상환의 유인이 저하되는 등 도덕적 해이의 문제, 저신용자의 신용공급 축소 및 금융소외현상, 기존의 채무조정제도의 기능 약화 및 성과 저하, 채권추심회사의 수수료 수입 감소 및 고용 감소 등과 같은 사회적 비용의 증가가 나타날 수 있다. 위와 같은 영향을 고려할 때 연체채무자에 대한 연체 추심부담 완화 및 재기 지원 강화 등 금융소비자에 대한 사후적 보호제도 강화는 채무조정교섭업의 신설보다는 기존의 사적·공적 채무조정제도를 개선하는 방향으로 이루어져야 할 것이다.
