코스닥등록 벤처기업의 자본조달방식이 경영성과에 미치는 영향

본 논문은 자본조달방식이 경영성과에 미치는 영향을 코스닥등록 벤처기업을 대상으로 실증적 검정을 하였다. 연구결과 설명변수 단기차입방식, 장기차입방식, 사채발행방식, 주식발행방식은 기업의 경영성과 변수 성장성, 수익성, 유동성에 유의한 영향을 미치고 있는 것으로 나타났으며, 자본조달 순서이론(POT)과 정태적 상충관계이론은 일부지지 되는 결과를 얻었다. 그리고 토지건물투자는 경영성과에 유의한 영향을 미치고 있는 것으로 분석되었다. In this paper, influences of financing method on management accomplishments for KOSDAQ listed venture firms has been objectively verified. The results of this study revealed that explanatory variable had significant influences on management outcomes of firms, and some part of pecking order theory has not gotten the supported result and other part has gotten the supported result. Also, it was analyzed that fixed asset investment had significant influences on management accomplishments.
자본시장법상 포괄적 사기금지규정에 대한 비판적 검토 및 과징금제도 도입방안

자본시장법의 목적 중 하나인 “투자자 보호”를 실현하기 위해서는 불공정거래행위 규제가 빠르게 변화하는 증권범죄에 유연하게 대처할 수 있으면서도 견고한 헌법적 토대 위에 자리하여야 한다. 현행 부정거래행위 금지규정 중 제178조 제1항 제1호는 불공정거래행위 전반에 대한 포괄적 금지규정으로 기능하고 있으며, 동조의 다른 구체적 규정과의 관계에서 보충적인 지위를 갖고 있다. 갈수록 복잡해지는 증권범죄에 대해 사각지대 없는 투자자 보호를 위해서는 포괄적 금지규정의 필요성을 인정하지 않을 수 없다. 그러나 현행 제178조 제1항 제1호는 죄형법정주의의 명확성원칙을 위배한 위헌성이 있다. 이를 극복하기 위해서는 포괄적 금지규정에 대해 과징금제도를 도입하여야 한다. 과징금제도는 행정상 금전적 제재수단이며, 이를 도입하는 것은 행정법의 명확성원칙 및 헌법상 이중처벌금지원칙에 위배되지 않으므로 적법하다. 이상적 입법방안은 불공정거래행위에 대한 포괄적 금지규정에 대해서만 과징금제도를 도입하고, 구체적 금지규정에 대해서는 형사처벌로 규율하는 것이다. 그러나 현행 자본시장법은 2014년 개정으로 시장질서 교란행위에 대하여만 과징금제도를 운영하는바, 위의 이상적 방안과는 차이가 있다. 본 논문의 목적은 포괄적 금지규정의 이상적 입법방안을 제시하고 현행 과징금제도와 비교하는데 있다. In order to realize "protecting investors", one of the purposes of the Financial Investment Services and Capital Market Act, regulation of unfair trading must be on a solid constitutional basis while being able to flexibly cope with complex securities crimes. Article §178(1)-1 serves as a general anti-fraud provision for the whole of unfair trading and has a supplementary position in relation to other specific regulations. In order to protect investors without blind spots against increasingly complex securities crimes, we cannot help but acknowledge the need for a general anti-fraud provision. However, the current Article §178(1)-1 violates the principle of nullum crimen sinelege and void for vagueness doctrine. To overcome this, a penalty surcharge system must be introduced for the general anti-fraud provision. Penalty surcharge is a monetary sanction under administrative law, and it is legal to introduce it because it does not violate void for vagueness and double jeopardy clause. The ideal legislation is that introduces penalty surcharge only for general anti-fraud provisions for unfair trading, and disciplines specific prohibition regulations with criminal penalties. However, the current Capital Markets Act differs from the above ideal method, as it operates a penalty surcharge system only for market disturbances. This study aims to present the ideal legislation and compare it with the current penalty system.
전염병 범유행(pandemic) 상황에서 다국적 의약품 회사가 보유한 특허권 보호 방안 ― COVID19 바이러스 검진용 면봉의 사례를 중심으로 ―

특허권의 속지주의 원칙에 의해 특허권이 등록되지 않은 국가의 영역 내에서 해외 다국적 의약품기업의 특허를 침해하여 유사한 제품을 제조, 수출하는 행위는 특허권 침해로 인정되지 않아왔다. 그러나 특허권의 속지주의 원칙의 의미를 고려할 때 이는 타당하지 않다. 특허권의 속지주의 원칙의 근거와 범위가 명시적인 법원에 근거하지 않고 있으며, 특허권으로 보호되는 기술의 세계화로 인해 속지주의 원칙은 완화되는 방향으로 해석되고 있기 때문이다. 따라서 속지주의 원칙을 직접적인 근거로 해외특허권침해행위의 정당성을 인정하는 것은 타당하지 않으며, 행위지인 각국의 법질서에 위반되는지를 개별적으로 판단하여야 한다. 한국의 경우 대한민국 민법의 불법행위의 요건을 갖추었는지를 판단하여야 한다. 현행 불공정무역조사법, 그리고 TRIPs를 고려할 때 일반적인 상황의 경우 국내 제조기업의 해외특허권침해행위는 민법상 불법행위가 될 수 있다. 그러나 현재의 전염병 범유행 상황의 경우 불법행위의 요건 중 하나인 ‘위법성’이 만족되지 않아 다국적 의약품회사가 상대방의 손해배상책임을 입증하기는 어렵다. 따라서 다국적 의약품회사의 특허권 침해를 구제하기 위한 방안으로 국내 특허법상 통상실시권이 발동될 경우 기존 특허권자에 대한 보상규정을 유추적용하여 해외 특허권자에 대해서도 합리적인 보상을 하는 것이 타당하다. 다만 강제실시권의 요건 자체를 강화하는 것은 국민의 생명권이 특허권자의 특허권보다 우선한다는 점에서 타당하지 않다. 또한 국내 특허권자와 같이 특허법 제126조에 근거하여 특허권 침해에 대해 금지명령을 법원에 청구하는 것도 타당하지 않다. Manufacturing and exporting similar products in violation of the patents of foreign multinational pharmaceutical companies within the realm of countries where patent rights are not registered under the principle of territoriality has not been recognized as infringement of patent rights. But this is not reasonable given the meaning of the patent right's principle of territoriality. This is because the basis and scope of the principle of patent rights are not based on explicit law, and due to the globalization of technology protected by patent rights, the principle of patentism is interpreted in a way that is mitigated. Therefore, it is not reasonable to recognize the legitimacy of infringement of overseas patent rights on a direct basis of the principle of territoriality, and to judge individually whether it violates the law and order of each country. In the case of Korea, it is necessary to determine whether it meets the requirements for tort of the Korean civil law. Given the current Unfair Trade Investigation Act of Korea and TRIPs, in general circumstances, the infringement of overseas patent rights of domestic manufacturing companies may be illegal under civil law. However, in the current pandemic situation, it is difficult for a multinational pharmaceutical company to prove its counterpart's liability for damages as it is not satisfied with the “illegality,” one of the requirements for illegal activities. Therefore, it is reasonable to make reasonable compensation to overseas patent holders by analogy with the existing provisions for compensation for patent holders if the compulsory licensing is invoked under the Korean Patent Law as a way to relieve patent infringement by multinational pharmaceutical companies. However, strengthening the requirements for compulsory implementation rights itself is not reasonable in that the people's right to life takes precedence over the patent right of the patent holder. Nor is it reasonable to request a prohibition order from the court against patent infringement on the basis of Article 126 of the Patent Law, such as domestic patent holders.
