광주도시철도 2호선 계획의 적정성 쟁점사항과 도시철도계획ㆍ정책의 장래 발전방향

본 연구는 광주도시철도 2호선 계획에 대한 적정성 쟁점과 장래 발전방향을 다루고 있다. 연구의 목적은 광주도시철도 2호선 계획의 적정성 쟁점사항을 연혁 측면에서 분석하고, 이를 토대로 광주도시철도 2호선 계획 정책의 장래 발전방향을 종합적으로 제시하는 데 있다. 중요한 연구내용에는 도시철도계획 적정성의 이론적 개요, 광주도시철도 2호선 계획의 적정성 쟁점항목과 내용, 광주도시철도 2호선 계획 정책의 장래 발전방향 등이 포함되어 있다. 연구결과, 제도 정책측면에서 광주도시철도 2호선 계획 정책의 발전방향에는 도시철도계획의 공공성 합법성 연계성 유지, 도시철도정책집행의 일관성 안정성 신뢰성 강화, 도시철도사업 갈등관리체계의 구축, 광주도시철도 대중교통정책의 방향 정립, 도시철도 2호선 노면전차 도입 시 법령정비와 제반 대책 등이 들어가고 있다. 계획 시설의 입장에서 광주도시철도 2호선 계획정책의 발전방향에는 도시철도 2호선 종합환승체계의 구축, 도시철도 2호선 차량시스템과 건설방식의 확정, 도시철도 2호선 저심도 공법의 안전성, 푸른길 구간 도시철도 2호선의 노선결정 등이 확인되고 있다. 운영 관리의 시각에서 도시철도 2호선 계획 정책의 발전방향들은 도시철도 2호선역의 접근성 확보, 도시철도 첨두시간대 교통수요의 처리, 도시철도 무임승차제도의 개선, 도시철도공사 재무구조의 개선 및 도시철도연계 수익사업의 개발로 제시할 수 있다. This study deals with validity issues of and policy directions for the construction of Gwangju Metro Line (GML) 2. The purpose of this study is to historically review the validity issues of GML 2, and to suggest comprehensive policy directions for the successful implementation of GML 2 project. The important policy directions for the construction of GML 2 are identified as follows: ensuring the publicity, legitimacy and connectivity of urban metro project; intensified consistency and reliability of urban metro policy; establishment of the conflict management system about urban metro project; decision on the future Gwangju metropolitan public transit policy; synthetic urban metro transfer systems; the safety of low-depth urban metro construction method; review of the construction method of GML 2; better access to GML 2‘s stations; handling of urban railroad demand during the rush hours; route selection of GML 2 in the Gwangju Greenway section; improvements of the urban metro's free ride system; financial structure improvement of Gwangju metro transit cooperation; development of urban railroad related profitable business; inadequacy of the details of streetcar related legislation.

미국 회사법상의 경영판단의 법칙

Under the American corporation law, the director has a duty to exercise proper care in managing the business and affairs of the corporation. This is called " a director's duty of care". The traditional standard of care is set forth in subsection 8.30 (a) of Revised Model Business Corp. Act(1984): "A director shall discahrge his duties as a director, including his duties as a member of a committee (1) in good faith; (2) with the care an ordinarily prudent person in a like position would exercise under similar circumstances; and (3) in a manner he reasonably belives to be in the best interests of the corporation." The American corporation law has, on the other hand, developed " the business judgment rule" to limit the directoral liability. In the landmark case of Aronson v. Lewis, 473 A.2d 805 (Del.1984) the Supreme Court of Delaware declared that the business judgment rule is " a presumption that in making a business decision the directors of a corporation acted on an informed basis, in good faith and in the honest belife that the action taken was in the best interest of the company. Absent an abuse of discretion, that judgment will be respected by the courts. The burden is on the party hallenging the decision to establish fact rebutting the presumption." The business judgment rule usually applies in a director's decosion making context. The Delaware Supreme Court held in Cede that " to rebut the rule, a shareholder plaintiff assumes the burden of providing evidence that directors, in reaching their challenged decisions, breached any one of the triads of their fiduciary duty - good faith, loyalty of due care... If a shareholder plantiff fails to meet this evidentiary burden, the business judgment rule attaches to protect corporate officers and directors and the decisions they make, and iur courts will not second-guess these business judgments... If the rule is rebutted, the burden shifts to the defendant directors, the rule is rebutted, the burden shifts to the defendant directors, the proponents of the challenged transaction, to prove to the trier of fact the "entire fairness" of the transaction to the shareholder plaintiff." Under Cede, due care is an element of business judgment rule, and due care is usually considered to be the same as informedness. If the plaintiff proves the director did not exercise due care (i.e., the director did not make an informed decision), business judgment rule will not apply. Even in such a case, if a director succeeds in proving the entire fairness, he will not be liable.

In Korea, the Legislature is currently reviewing "the Draft Secured Transactions Law" proposed by Korean Government last year. The draft is modeled after Uniform Commercial Code Article 9 of the United States which has significantly influenced recent reformation of the secured transactions laws of many developed countries. Since the financial crisis of 1997, the reformation of the Secured Transactions Law has been an urgent issue in Korea. In particular, it has been suggested that a new legal framework for the secured transactions should be introduced. Personal property has not been a popular form of collateral to secure the financing transactions in Korea. It was because of the inefficiency of the current secured transactions law and its public notice system. The Draft Secured Transactions Law, once enacted, will promote the availability of low-cost secured credit for commercial enterprises, especially for the small and medium sized business entities. They usually do not have much real property which has been a traditionally preferred form of collateral to secure bank financing. In essence, the draft's filing and searching system is a “debtor name filing and searching system." Success of the system depends upon accurate debtor names. Unfortunately, however, filers are likely to make errors in debtor's name. In addition, under the debtor name filing system, a searcher who is going to provide finance to the debtor is unable to discover the filing made against the debtor's predecessor in title,even through a reasonably diligent search. The purpose of this article is to study the U.S. Uniform Commercial Code Article 9 filing system. and recommend some solutions to such problems faced by the Draft Secured Transactions Law.

가스화용 석탄의 열분해시 황화합물의 특성에 관한 연구

Experimental studies were carried out at the temperature ranges of 800-1100℃ to find the behavior of sulfur compounds which were evolved during pyrolysis of coals in the gas fier process. The major conclusions of this study were as follows : Sulfur-containing gases, such as H2S, CS2, COS, were evolved in pyrolysis of gasification coals. Among sulfur-containg gases, H2S was the major gas, but CS2 and COS were minor gases. Concentrations of sulfur-containing gases, such as H2S, CS2, COS, were increased with increasing temperature in the ranges of 800-1000℃ during pyrolysis of gasification coals, but above 1000℃ those of H2S and COS were slowly decreased and that of CS2 was slowly increased due to reaction of H2S and COS. The sulfur yields of gas, char and tar were changed in the ranges of 25.4-43.5%, 40.3-63.4% and 2.4-34.3%, respectively, in the ranges of 800-1100℃ during pyrolysis of various gasifier coals.
