저수지 월류시 여수토 접속부 세굴에 따른 붕괴 현상의 실험적 연구

지금까지 국내에서는 저수지 설계 및 저수량에 관한 연구 (Chung et al., 1998; Jang et al., 2005; Ahn et al., 2007), 하천 제방의 붕괴 연구 (Lee and Lee, 2001), 하천 제방 재해 예방을 위한 축조 재료 연구 (Jeong and Kim, 2006) 등 저수량 설계 및 하천 제방과 관련한 연구 등은 활발하게 진행되고 있는 편이나 저수지 월류와 관련한 연구는 거의 수행되지 않아 찾아보기 어려운 실정이다. 본 연구에서는 극한 홍수 발생으로 인한 월류 상황에서도 저수지를 보호할 수 있는 공법을 개발하기 위한 사전 연구로서 수리모형실험을 통하여 저수지 월류시 여수토 접속부 세굴에 따른 붕괴 현상을 모의하고 그 월류시 제제와 여수토 접속부의 거동에 대하여 고찰하였다. 저수지가 집중호우에 의해 붕괴되는 유형으로 2002년 태풍 루사 내습 시 강원도 강릉시 장현저수지 및 동막저수지의 사례에서 찾아 볼 수 있듯이 여수토 접속부가 세굴되면서 수압에 의해 여수토 전체가 유실되어 붕괴에 이르게 되는 경우가 많으므로 본 연구와 같이 저수지 월류시 여수토 접속부 세굴에 따른 붕괴 현상에 대한 모의는 저수지 월류시 붕괴 메카니즘을 이해하기 위한 중요한 프로세스라 할 수 있다. 저수지 붕괴 모의실험은 강원도 춘천시 소재 탄부저수지를 모델 저수지로 선정하고 1/60 축척으로 제체를 축조하여 무보강시, CSG 보강시, 차수매트 보강시, 식생 보강시 등 4 case에 대한 월류시 여수토 접속부의 안정성 및 보강공법에 따른 제체의 거동에 대해 검토하였다. 본 연구를 통하여 여수토 접속부가 토사로 노출되어 있을 경우 월류에 매우 취약하며 식생 보강 등을 통해 붕괴에 이르는 시간을 연장할 수 있지만 차수매트 또는 CSG 보강공법이 장기적 관점에서 제체 붕괴를 억제하는데 매우 유효한 방법임을 확인하였다.
차입매수(LBO)에서의 업무상배임죄 판단기준에 대한 비판적 검토와 대안적 판단체계 - 대법원 2020. 10. 15. 선고 2016도10654 판결 -

대법원 2020. 10. 15. 선고 2016도10654 판결(이하 ‘대상판결’)은 LBO 과정에서 피인수회사의 대표이사가 인수회사의 채무를 담보하기 위해 피인수회사의 자산에 근저당권을 설정해 준 것이 업무상배임에 해당한다고 판시하였다. ⅰ) 피인수회사의 자산을 반대급부 없이 담보로 제공함으로써 재산상 손해가 발생하였으며 ⅱ) 매각 경위나 인수 방법 등 제반 사정을 고려하였을 때 배임의 고의도 인정된다는 것이다. 본고에서는 대상판결을 포함한 기존의 판례가 LBO의 실질을 충분히 고려하지 못하고 있다는 문제의식 하에, LBO 거래에서 배임죄 성부를 판단할 수 있는 대안적 판단체계(이하 ‘대안 체계’)를 고안하고자 하였다. 우선 배임죄에서의 재산상 손해 발생 요건은 경제적 · 총체적으로 판단되어야 한다는 일반 법리를 소개하였다. 이후 LBO가 기업가치에 미치는 영향을 정리한 다음, 배임죄에서의 재산상 손해 발생 요건을 판단할 때 LBO의 긍정적 효과도 적절히 고려되어야 한다고 논증하였다. 다음으로 LBO에서 배임죄가 문제 되었던 과거 대법원 판례의 흐름을 정리하였다. 먼저 법원이 LBO에서의 배임죄 성부는 개별적 · 구체적으로 판단되어야 한다고 일관되게 판시하면서도 정작 실제로는 다소 경직된 태도를 보이고 있음을 지적하였다. 그 결과 담보제공형 · 합병형 · 분배형이라는 LBO 유형에 따라 사실상 배임죄 성부가 달라진다는 이해가 형성되었으며, 대상판결 역시 재산상 손해 발생 여부를 법적 · 형식적으로만 판단함으로써 기존의 유형적 · 도식적 사고를 심화시켰다고 비판하였다. 이에 본고는 경영판단의 원칙과 경제적 · 총체적 손해 판단 개념을 결합한 대안체계를 제시하였다. 우선 경영판단의 원칙을 개관한 다음, 우리나라 판례상 경영판단의 원칙이 배임죄에서의 ‘고의’ 또는 ‘임무위배행위’를 조각하는 기준으로 활용될 수 있음을 논증하였다. 다음으로 사후적 피해회복이 아닌 행위 당시 이미 합리적으로 예상되는 이익은 ‘재산상 손해 발생’ 요건을 판단할 때 충분히 반영되어야 한다고 주장하였다. 마지막으로 합리적으로 예상되는 이익의 존부를 판단할 때 경영판단의 원칙이 최적의 기준이 될 수 있음을 검토하였다. 이러한 대안 체계를 도입한다면 기존의 LBO-배임죄에 대한 유형적 · 도식적 이해를 극복할 수 있다. 나아가 배임죄성부를 구체적 · 개별적으로 판단해야 한다는 대법원의 판시에도 더욱 부합하는 접근이 가능할 것이다. The Supreme Court decision 2016Do10654 decided October 15, 2020(hereinafter referred to as ‘the Case’) ruled that in the course of an LBO, if the representative director of the target company provides the assets of the target company as collateral for the loan of the acquiring company, then it may constitute an occupational breach of trust. The reason is that ⅰ) the target company sustained losses as its assets were provided without any counter-consideration, and ⅱ) the defendant had requisite criminal intent of breach of trust taking all circumstances, including the details and methods of the acquisition, into account. This paper attempts to establish an alternative judging mechanism that may be used as the standard for determining whether a breach of trust is established during an LBO transaction(hereinafter called ‘the alternative mechanism’), under criticism that precedents up to date, including the Case, fail to sufficiently reflect the essence of LBO. First, this paper introduces the general principle that the “loss” requirement of breach of trust should be rendered considering the victim’s total property from an economic standpoint. This paper then analyzes the effects of LBO on corporate value and shows that the positive aspects of LBO should be duly reflected while judging whether a loss was incurred. Afterwards, this paper delves into previous Supreme Court decisions where the establishment of breach of trust during an LBO transaction was the main issue. While the Supreme Court consistently states that a crime of breach of trust during the process of LBO cannot be uniformly determined and thus should be decided individually, its actual decisions have tended to stay rigid in reality. Consequently, an understanding has been formed, that the “type” of an LBO – Collateral, Merger, and Distribution – determines whether it constitutes a breach of trust. The Case also contributed to solidifying the categorical and formulaic tendency above by judging the loss based solely on a legal and superficial point of view. To deal with this problem, this paper introduces the alternative mechanism, where the Business Judgment Rule(hereinafter called “BJR”) is combined with the total and economic point of the view based concept of the “loss” of breach of trust. This paper first overviews the general idea of BJR, then demonstrates that the BJR acknowledged by the Supreme Court can be utilized for precluding criminal intent or violation of duty requirement of breach of trust. Next, this paper reasons that profits reasonably prospected at the time of decision are not ex-post recovery and thus should be reflected in determining whether a loss was incurred. Lastly, this paper examines how BJR may become a reliable criterion for the existence of prospective profits. This alternative mechanism would enable overcoming categorical and superficial understandings of breach of trust in LBO cases, and facilitate to draw conclusions that further correspond with the Supreme Court itself’s argument that the breach of trust during an LBO should be determined specifically and individually.
