내부자거래를 통해 사적이익을 얻으려는 경영자는 매도거래 전에 good news를 공시하여 주가상승을 유도하거나, 매수거래 전에 bad news를 공시하여 주가하락을 유도할 수 있다. 본 연구는 내부자거래에 의해 나타날 수 있는 경영자의 기회주의적 공시유인을 실증적으로 분석하였다. 2003년부터 2009년까지 내부자거래가 발생한 상장기업을 대상으로 분석한 결과는 다음과 같다. 첫째, 내부자 매수거래 전에 good news가 유의하게 감소하는 한편 매도거래 전에 good news가 유의하게 증가하는 것으로 나타났다. 이는 내부자거래이익을 얻기 위해 경영자가 자발적 공시를 기회주의적으로 활용하고 있음을 의미한다. 둘째, 내부자 매도거래 전에 증가하는 good news는 주로정성적인 정보로 나타났다. 이는 good news 공시가 허위로 판명되는 경우에 발생할 수 있는 명성훼손이나 소송위험을 회피하기 위해 상대적으로 검증가능성이 낮은 정성적 정보를 이용하는 것으로 해석된다. 마지막으로, 경영자의 기회주의적 공시행태는 유가증권 상장기업보다 코스닥 상장기업에서 활발한 것으로 나타났다. 이는 정보비대칭성이 높은 코스닥기업에서 경영자의 기회주의적동기가 강하게 작용한 것으로 이해된다. 과거의 선행연구는 공정공시가 이루어진 후에 내부자가 거래시기를 유리하게 조정한다는 결과를제시하고 있다. 이에 비해, 본 연구는 내부자거래에 유리한 환경을 조성하고자 경영자가 자발적 공시 자체를 활용하는지 여부를 분석한 차이점이 있다. 아울러 그 결과로서 밝히고 있는 경영자의 기회주의적 공시행태는 감독기관 및 시장참여자들에게 기업공시와 관련하여 유용한 시사점을 제공하는 것으로 판단된다. This study investigates whether insiders opportunistically choose disclosure policy before insidertrading. If managers plan to sell (buy) shares in the future, they have incentives to increase thenumber of good (bad) news so that they can subsequently sell (buy) at higher (lower) price. Using insider trading data from 2003 to 2009, we find the following results. First, the numberof good news decreases significantly before insider buying transactions, and increases beforeinsider selling transactions. These results suggest that managers exploit voluntary disclosuresopportunistically in order to maximize trading profits. Second, the positive relation between thenumber of good news and insider selling transactions is mainly attributed to qualitativedisclosures. This finding suggests that managers exploit qualitative disclosure to avoid litigationrisk and reputation loss. Lastly, the association between voluntary disclosure frequency and insidertrading is stronger in KOSDAQ firms than in KOSPI firms. This result implies managers’opportunistic disclosure strategy is more salient in KOSDAQ firms with high informationasymmetry. Prior research documents that insiders time their trades strategically after voluntary disclosures. In contrast, this study considers voluntary disclosures as a strategic choice variable that allowsmanagers to trade at more favorable prices. Our results provide useful implications for regulatorsand market participants with respect to interpretations of voluntary disclosures in the presence offrequent insider trading.
