회사법상 사외이사 적경성 기준의 합리적 개선방안

본 보고서에서는 지난해 1월과 6월 사외이사의 선임요건을 강화하는 법안이 발의된 가운데, 한경연은 “우리나라는 상법상 사외이사 선임에 관한 자격요건과 결격사유를 이미 구체적으로 제시하고 있다”며, “사외이사의 선임요건을 강화하는 것은 선출과정에서 기업의 부담만 늘릴 뿐 해결책이 될 수 없다”고 주장했다. 보고서는 미국과 일본 등 주요국에 비해서도 우리나라의 사외이사 선임기준은 지나치게 까다롭다고 지적했다. 미국과 영국의 경우 사외이사 관련 제도에 선임요건이 포함돼 있지 않다. 일본도 회사법에 사외이사 선임요건을 제시하고 있지만 사외이사 도입은 의무가 아닌 선택사항이다. 김미애 한경연 부연구위원은 “사외이사 겸직을 금지하고 있는 우리나라와 달리 해외 선진국에서는 겸직에 관한 규제가 없거나 일정 수 이하의 사외이사직 겸직을 허용하고 있다”며, “적격한 인력을 선임하는데 드는 기업의 부담을 줄이기 위해 겸직제한 규제를 완화해야 한다”고 주장했다. 또 사외이사 선임요건 중에서 우리나라의 국내 상법상 특수관계인의 범위 설정은 지나치게 과도하다고 보고서는 지적했다. 우리나라는 배우자와 6촌 이내 혈족, 4촌 이내 인척 등을 특수관계인으로 규정하고 있다. 반면 일본은 2촌 이내 친족, 미국과 영국은 직계가족인 동거인까지를 특수관계인으로 보고 있다. 김미애 부연구위원은 “사외이사의 독립성을 해칠 수 있는 이해관계자를 선임에서 제외하는 것이 특수관계인 범위 설정의 기본 취지인데 우리는 경제적 이해관계가 존재할 가능성이 낮은 6촌 혈족까지 포함하고 있다”고 말했다. 김미애 부연구위원은 “현재 우리나라의 사외이사 선임요건으로 사외이사의 독립성과 전문성을 확보하는데는 문제가 되지 않는다”며, “이사회의 효율성을 높이려면 사외이사의 활동성과 효용성을 제고하는 등 운영방안을 개선하는데 주력해야 한다”고 주장했다. 이에 대해 실제 일반기업보다 까다로운 선임 기준을 가지고 있는 금융회사의 사외이사제도하에서도 기업의 부실이나 경영실패에 대해 이사회가 제 기능을 하지 못하는 경우가 발생하고 있다는 점을 근거로 들었다. 여러 요건을 갖춘 사외이사를 선임한다 하더라도 차기 임기의 불확실성과 형식상의 절차로 운영하는 외부적 여건 등에 의해 그 기능이 떨어질 수 있다는 설명이다. 한편 보고서는 “최근 기업의 경영악화로 인해 사외이사의 자격논란이 제기되면서 선임요건을 강화하는 법안이 발의된 것으로 볼 수 있다”며, “경기침체로 인해 영업환경이 악화되는 추세이므로 기업부실 등을 단순히 사외이사의 전문성 문제때문이라고 비판하는 것은 적절하지 않다”고 지적했다. 또 “사외이사 선임요건을 강화할 경우 우리나라는 이에 걸맞은 인재풀이 좁아 선임과정에서 기업이 많은 비용과 시간을 들여야 하고 이사회 자체가 구성되기가 어려울 수 있다 ”고 한경연은 주장했다.

This study conducted a content analysis of political advertisements(ads) used in local and congressmen elections of Youngdo-Gu to assess the characteristics of the ads. For the purpose, 68 ads used in past elections of Youngdo-Gu were chosen for analysis. These data were analyzed how the candidates have been described, and what the messages have been contained. As a results, 1) In the majority of the ads, the candidates have been portrayed alone without any body else, without any accessories and sceneries, and with formal dresses and upright poses, just like photo for certification. Also, the characteristic of candidates most frequently mentioned was 'born-in-Youngdo' 2) The slogans of the ads were usually tended to resonable and positive appeals, and messages about the candidates. The number of election promises presented in the each ad were from 0 to 32, averaged 9.2. And, the category of promises most frequently mentioned was 'traffic', followed 'welfare', 'environment', and 'sightseeing'.

“Teaching is What We Do”:Korean Child Care Teachers’Understandings of Their Work

This qualitative study explored Korean child care teachers’ experiences and their understandings of their work. Interviews and email conversations were conducted from five child care teachers to gain in-depth descriptions of their work. Findings indicated that five child care teachers had strong professional identities as teachers rather than caregivers. Teachers possessed binary conceptions of their work in terms of care and education but also recognized the paradox produced by public perceptions and their own personal understandings of their work. In order to cope with these contradictions, these teachers interpreted their care giving activities as teaching, focused on performing educational activities, and utilized professional knowledge of child development as expertise. Factors that shape these child care teachers’ professional identities and the ways they construct the meaning of their work are discussed. Implications of the research findings for teacher educators, policy makers, and researchers are also discussed.

문학의 신화와 상징 : 『달과 횃불』을 중심으로 La luna e i falo`

Cesare Pavese, uno scrittore rappresentativo del Neorealismo, tende sempre a trasferire il dato naturalistico in un universo simbolico e di trasformare la realta` in simbolo e mito secondo la lezione di Melville. Atteraverso la letteratura americana di Anderson, egli scopre l'importanza della sua provincia, il piemontese, entro i temi della sua poetica ed entro la situazione culturale-sociale italiana e i motivi del contrasto citta`-montagna. Pavese trovo` confermata in Vico la sua convinzione della possibilta` di un momento mitico della storia dell'umanita`. Esistono i miti dei popoli, i miti dell'infanzia dell'umanita` e i miti personali in ciascuno di noi. Mito e` scoprire le cose " per la prima volta" . Il ritorno, nel mito pavesiano della conoscenza, e` anch'esso una " seconda conoscenza" , un luogo stregato dal primitivo mito e dalla funzione ritrovata della medessima memoria. Nell'opera La luna e i falo` Pavese non descrive semplicemente la realta` ma la trasforma secondo una concezione personale dalla quale la realta` esce ora come mito ora come memoria. Attraverso il destino tragico del mezzardo Valino il quale per rabbia e disperazione, in oddio a se stesso, alla famiglia, alla padrona, si uccide dopo aver ucciso sua suocera e sua cognata e indendiato la sua casa, Pavese suggerisce la vita miserabile del collettivo contadino del dopoguerra. Attraverso il destino tragico di Santina, simbolo della realta`, suggerisce il fatto storico contro dittatura politica e militare del fascismo, cioe` il movimento della resistenza. I falo` di Valino e Santina sono i mitici emblemi del passato che possono fare parte solo dell'universo della memoria di Anguilla che attinge al mondo dell'infanzia. L'uccisione di Santina, la sua attivita` di spia corrotta, non sono dati realistici che possono illuminare una determinata situazione storica, ma ripetono il rituale mitico del sacrificio. Il corpo di Santina verra` bruciata perche la terra esige il sacrificio del falo per ritornare feconda. Secondo il significato simbolico del mito, i falo` e la luna simboleggiano la fine di un passato di disperazione e l'inizio di un diverso e fecondo futuro.
