가족소유 기업집단 자회사의 국제화와 특수관계인의 역할: 한국 중소기업을 중심으로

기존 연구에서는 가족기업의 지배구조에서 구성원 간 이질성이 간과되었고 최대주주와 특수관계인이 동일 목표와 관심을 공유하는 동질적 의사결정체로 간주되었다. 본 논문에서는 가족소유 그룹의 특수관계인 역할에 대하여 상이한 시사점을 주는 이해상충가설(conflict-of-interest)과 효율적거래가설(efficient transaction views)을 도출하여 특수관계자 지분이 증가함에 따라 가족소유 기업집단 자회사의 국제화 및 기업성과가 어떻게 달라지는지 살펴본다. 본 연구에서는 2016~2019년 국내 527개 가족소유 중소기업을 대상으로 독립기업과 기업집단 자회사 간 국제화를 비교『분석하여 특수관계인 역할을 추정한다. 연구 결과 가족소유지분이 국제화 및 성과에 미치는 영향은 특수관계인 지분율에 따라 유의한 차이가 발생한다는 점을 확인할 수 있다. 특히, 최대주주와 특수관계인의 국제화 성향이 상이할수록 기업집단 자회사의 성과가 악화되는데, 이러한 부(-)의 상관관계는 국제화 정도가 높을수록 더욱 증폭된다. 이러한 실증분석 결과는 특수관계인 지분이 증가할수록 가족소유 기업지배구조 측면에서 구성원들의 이질성에 기인한 이해상충 가능성이 커지며, 결국 기업성과에도 파급효과가 발생한다는 가설에 보다 부합한다. The family ownership mostly composed of the largest shareholder and the related party has been considered as a homogeneous entity sharing the same goal and interest; neglecting the important of heterogeneity within family ownership. In this paper, drawing on two different views on the related party transactions―the conflict-of-interest view and the efficient-transaction view, we examine the role of the related party with respect to internationalization and performance. Probing 527 family SMEs in Korea for FY 2016-2019, we examine the impact of the related party between the standalone and the family business groups affiliated. By investigating the internationalization of different organizational types in family SMEs, we determine and identify the effect of the related party. Our results suggest the effect of family ownership on internationalization and performance is different for various levels of the related party’s ownership both in affiliated and independent SMEs. In the group affiliated, we find that the firm performance becomes worse as the degree of internationalization increases presumably due to the discrepancy of internationalization propensity between the largest shareholder and the related party. In this paper, we provide empirical evidences that heterogeneity of family ownership results in the conflicts of interests, which, in turn, affects the firm performance of family firms.

A two-dimensional finite element model for polarization switching in ferroelectric materials developed by Kim and Jiang<SUP>(1)</SUP> and Sang-Joo Kim<SUP>(2)</SUP> is used to predict the formation of domains in a ferroelectric thin film. Initially the ferroelectric film is poled upward and the bottom electrode is grounded. A strong downward de field is imposed on a point of the top surface of the film. A region of switched domains with downward polarization is nucleated and is grown with time. It is found that initially the shape of the nucleated domains is that of a bulgy dagger, but later it turns into the shape of a reversed cup with the lower part wider than the upper part. It can also be concluded that the size of nucleated domains increases with the period of applied electric potential. The present results are qualitatively consistent with experimental observations.

우리나라 수출입 중소기업의 원산지 증명서류 관리와 사후검증 성과에 관한 실증연구

글로벌 무역 환경 확대 및 국제경영의 다각화 속에서 자유무역협정 확산 추세가 증대되어 2020년 1월 기준 우리나라는 56개국과의 16건 FTA가 체결되었고, 주변 신흥국가와의 FTA도 지속적으로 추진하고 있다. 이렇듯 FTA를 지속적으로 추진하는 근본적 이유는 체결국 상호간에 특혜관세를 적용받고 국내 기업들의 해외시장 경쟁력을 갖추기 위함이다. 본 연구의 목적은 FTA협정 체결에 있어 원산지규정의 중요성 이해와 수출입 기업들의 원산지 증명서류의 체계적 관리에 대한 방향을 제시하는 것이다. 원산지 증명서류의 체계적 관리요인 및 사후검증 컨설팅 운영수준요인을 도출하여 성과와의 영향관계를 살펴볼 것이고, 추가적으로 FTA비즈니스 사례 활용 여부를 조절변수로 측정하여 보다 심층적인 영향 관계를 도출할 것이다. 본 연구는 우리나라 수출입 기업의 원산지 정보관리를 가능케 하는 서류의 체계적 관리와 컨설팅 운영 수준요인, 사후검증 대응성과에 관한 설문조사를 수행하여, 각 변수를 구성하는 세부 요인을 측정하고자 하였다. 연구 표본은 상공회의소 및 중소기업 중앙회 소속 회원사 및 경기지역 FTA 활용 교육 대상 실무 담당자가 그 대상이다. 설문의 기간은 2019년 9월~2019년 11월까지 약 3개월에 걸쳐 Likert 5점 척도로 설문이 실시되었고 온‧오프라인으로 총 122부를 배포하여 최종 연구데이터에는 105부를 활용하였다. 본 연구의 결과를 요약하면 다음과 같다. 수출입 기업의 원산지 증명서 체계의 시스템적 관리 운영과 원산지 사후검증 컨설팅관리 수준은 사후검증 대응성과에 긍정(+)의 영향을 미쳤다. 또한, FTA비즈니스 사례 활용요인은 두 개의 독립변수와 사후검증 대응성과 사이에서 조절적 효과를 보였다. As of January 2020, Korea signed 16 FTAs with 56 countries and continued to pursue FTAs with neighboring emerging economies due to the growing trend of free trade agreements amid the expansion of the global trade environment and diversification of international management. The fundamental reason for the FTAs continued push is to ensure that domestic companies will be more competitive in overseas markets with special tariffs applied to each of the signatories. The rules of origin play an important role in carrying out the effective implementation of the FTA in signing FTA with overseas economies. The purpose of this study is to give an understanding of the importance of the rules of origin in the conclusion of the FTA and the direction for the systematic management of certificate of origin by export-import companies. We will explore the impact of performance by deriving systematic management factors and level factors of post-verification consulting operation of certificate of origin, and further measure the use of FTA business cases as adjustment variables to derive more in-depth impact relationships. This study was designed to measure the detailed factors that make up each variable by conducting a survey on systematic management of documents that enable information on the origin management of Korean import and export companies, and on the level of consulting operation, and performance of origin verification The sample of the study is for member companies belonging to the Chamber of Commerce and Industry and the Central Council of Small and Medium Businesses, and for working-level officials who are subject to education on utilizing the FTA in Gyeonggi Province. The survey period was conducted on a five-point scale of Likert over three months from September 2019 to November 2019 and a total of 122 copies were distributed on and offline, utilizing 105 parts for the final research data. The results of this study are summarized as follows. The system management operation of the certificate of origin system of import and export companies and the level of consulting management of origin verification had a positive effect on origin verification response performance. In addition, the FTA business case utilization factors showed a modulating effect between the two independent variables and origin verification response performance.
