공공기관의 지배구조와 조직특성이 대리인비용에 미치는 영향

본 연구는 공공기관의 조직특성에 따라 지배구조가 대리인비용에 미치는 영향에 차이를 보이는지에 초점을 맞추었다. 연구의 목적을 달성하기 위해 공공기관으로 지정되어 2005 ~ 2010까지 경영정보공개시스템(ALIO: All public information in one)에 등록된 기관 중 기관-연도 1,080개의 표본을 대상으로 다중회귀분석을 실시하였다. 공공기관의 조직특성은 자체수입률(SRA)이 100%≥SRA>50%이면 비공공성기관, 50%≥SRA>0%이면 공공성기관으로 정의하였다. 연구결과, 비공공성기관은 지배구조를 개선하기 위하여 이사회독립성에 초점을 맞출 필요가 있는 반면, 공공성기관은 이사회규모와 감사의 독립성에 초점을 맞출 필요가 있다. 이렇게 조직의 특성에 맞춰 공공기관의 지배구조를 재설계하기 위한 방안을 제시하면 다음과 같다. 비상임이사들은 대학교수, 변호사, 공인회계사, 퇴직관료, 기업인등 전문적인 지식과 풍부한 경험을 갖추고 있는 자를 선임하여 이사회독립성과 전문성을 강화해야 할 것이다. 또한, 대리인 비용을 통제하기 위해 공공기관에 조직특성별로 2~4개의 공공감사위원회를 설치하고 이사회와 감사위원회의 비상임임원은 8∼11명 정도의 적정한 인원으로 구성할 필요가 있다. This study is focused on examining the interactional effects between governance elements and organizational characteristics, which impact on the agency costs in Korean public bodies. The multiple regression model was employed for the main research methodology of this study. 1,080 samples of public bodies were examined, which were registered in the system of ALIO(All public information in One) from 2005 to 2010. Organizational characteristics were as the followings: if 100%≥SRA(rate of self amount of receipts per sales)>50% represented the non-publicness organizations and 50%≥SRA>0% did the publicness. The non-publicness organizations is need to focus board independence to be redesignated governance. while the publicness organizations do board size and audit independence. In conclusion, the non-directors need to be redesignated or replaced with professors, lawyers, CPA, retired bureaucrats, or businessmen, who have more professional knowledge and qualified experiences as non-executive directors, so that they can enhance the board independence and their professionalism. Also, 2 to 4 public audit committees need to be newly designed to control the agency costs Lastly, it is suggested that the proper number of non-executive directors on the board and audit committee is 8 or 11.
