민법은 대리인이 권한 내에서 본인을 위한 것임을 표시한 의사표시의 효력이 직접 본인에게 생긴다고 명시하고 있으며, 의사표시의 효력이 의사의 흠결, 사기, 강박 또는 어느 사정을 알았거나 과실로 인하여 알지 못한 것으로 인하여 영향을 받을 경우 그 사실의 유무는 대리인을 표준으로 결정한다고 규정하고 있다.
이처럼 본인의 수권행위와 대리인의 대리행위를 통하여 본인에 대한 효과귀속을 인정하고 있는 대리제도에 있어 예외적인 변용(變容)이 존재하는데, 대표적인 것이 바로 대리권 남용법리와 표현대리제도라고 볼 수 있다. 먼저 대리권 남용은 대리권을 가진 대리인이 권한 범위 내에서 대리인 자신 혹은 상대방의 사적 이익을 취할 목적으로 현명을 하면서 한 법률행위를 말하는데, 이 경우 본인에 대한 효과귀속을 차단하기 위하여 고안된 이론이 대리권 남용법리이다. 아울러 표현대리는 대리인에게 대리권이 없음에도 마치 있는 것과 같은 외관이 존재하는데, 외관 발생에 본인이 일정한 원인을 제공하였고 대리인은 현명을 하고 법률행위를 한 경우를 말한다. 민법은 그러한 경우 본인에게 유권대리와 동일한 효과를 주장할 수 있도록 법문의 규정을 마련하고 있다.
이 논문에서는 대리본질론에 대한 고찰을 바탕으로 대리제도에 있어 예외적인 변용(變容)의 모습인 대리권 남용법리와 표현대리제도를 집중적으로 조망함으로써 제도에 대하여 체계적으로 이해하고, 여러 국가의 명문 규정에 대한 비교법적 검토를 진행함으로써 현재 입법예고 중인 민법 일부개정법률안에 대한 의견을 제시하였다.
민법 제114조과 제116조 제1항 법문의 규정에 따르면 우리민법이 대리인행위설에 입각해 있다는 실정법적 근거가 명확하므로, 이 논문에서는 기본적으로 그러한 관점을 견지하며 본인, 대리인, 상대방이라는 세 명의 당사자를 둘러싼 각각의 법률관계와 새로운 법률상 이해관계를 맺은 제3자의 보호와 관련된 판례들을 살펴보며 대표적인 사안들에 대해서는 별도의 평석을 진행하였다.
대리권 남용행위는 상대방과 대리인 사이의 공모에 의한 반사회적 법률행위로 귀결되는 상황을 제외하고는 대리권 범위 내에서 본인에게 효과를 귀속시킬 의사를 가지고 현명을 거친 것으로서 유권대리임이 분명하기 때문에, 일률적으로 본인에 대한 효과귀속을 차단하기보다는 대리행위의 독립성을 존중하여 유효한 법률행위로 인정하고 본인에게 발생한 손해 등은 당사자 사이의 기초적 내부관계 내지 법정채권관계를 통하여 해결하는 것이 거래 안전의 관점에서 바람직할 것이다.
또한 외부적 수권행위 개념을 인정하지 않는 우리민법은 대리인행위설의 관점에서 표현대리가 성립한다 할 지라도 본인이 대리권을 수여하지 않았거나, 대리행위가 그 범위를 초과했거나, 수여한 대리권이 소멸하고 없는 것이기 때문에 유권대리로 볼 수는 없다. 아울러 표현대리제도는 본인이 형성한 외관을 신뢰한 상대방을 보호하기 위한 것이므로, 당사자 사이의 이익 불균형을 이유로 본인의 이익을 고려해야 한다는 주장은 제도의 취지를 몰각시킬 수 있어 타당하지 않다.
이처럼 명문의 규정이 없는 대리권 남용행위에 대해서는 당사자 사이의 법률행위에 있어 사적 자치가 충분히 존중받아야 할 것이며, 명확한 규정이 존재하는 표현대리의 경우 법률의 제⋅개정이 있지 않은 이상 법문을 최우선으로 고려하는 것이 변용(變容)을 수용하는 바람직한 자세이다.

The Civil Act stipulates that the effects of an expression of intent made by a representative within the scope of their authority, disclosing that it is made on behalf of the principal, shall take effect directly against the principal. Furthermore, it prescribes that if the validity of an expression of intent is affected by a defect in intent, fraud, duress, or by knowledge or negligent ignorance of certain circumstances, the existence of such facts shall be determined based on the representative.
Within the agency system, which recognizes the attribution of legal effects to the principal through the principal’s act of authorization and the representative’s act of agency, there exist exceptional "transformations". Representative examples of such transformations include the doctrine of abuse of agency power and the system of apparent agency. First, abuse of agency power refers to a legal act where a representative, acting within their authority and disclosing the agency relationship, pursues the private interests of themselves or a third party. The doctrine of abuse of agency power was devised to block the attribution of legal effects to the principal in such cases. Conversely, apparent agency occurs when, despite the lack of actual authority, an appearance of such authority exists for which the principal is partially responsible, and the representative performs a legal act with disclosure. The Civil Act provides explicit provisions allowing the counterparty to assert the same effects against the principal as in cases of authorized agency.
Based on an examination of the fundamental nature of agency, this study systematically explored the legal doctrines of the abuse of agency power and apparent authority as exceptional transformations within the agency system. Furthermore, through a comparative legal analysis of statutory provisions across various jurisdictions, this paper provided specific recommendations for the proposed partial amendment to the Civil Act currently under public notice.
In light of the explicit statutory grounds provided in Articles 114 and 116(1) of the Civil Act, which indicate that the Korean Civil Act is predicated upon the 'Theory of Representative’s Action' (Repräsentationstheorie), this study consistently maintains this theoretical perspective. It examines the respective legal relationships among the principal, the representative, and the counterparty, as well as judicial precedents concerning the protection of third parties who have established new legal interests. Specific case commentaries are provided for landmark decisions.
Regarding the abuse of agency power, except for cases involving anti-social legal acts through collusion between the representative and the counterparty, such acts clearly constitute authorized agency as they are performed within the scope of authority with the disclosure of agency. Therefore, from the perspective of transactional security, it is desirable to respect the independence of the agency act and recognize it as a valid legal act, while resolving damages incurred by the principal through the underlying internal relationship or statutory obligations, rather than uniformly blocking the attribution of effects.
Additionally, under the Korean Civil Act, which does not recognize the concept of external act of authorization, even if apparent agency is established from the viewpoint of the Theory of Representative’s Action, it cannot be regarded as authorized agency because the principal did not grant authority, the act exceeded the scope, or the authority had expired. Furthermore, since the apparent agency system aims to protect the counterparty who relied on the appearance created by the principal, arguments favoring the principal’s interests due to an imbalance of interests between parties are untenable as they undermine the very purpose of the system.
In conclusion, for the abuse of agency power, which lacks express statutory provisions, the principle of private autonomy in legal acts between parties must be fully respected. For apparent agency, which is governed by clear statutes, the foremost consideration should be given to the literal text of the law unless legislative amendments occur. This represents the proper stance in accommodating the contemporary transformations of agency.
