본 연구의 목적은 내재화 금융(Embedded Finance)의 규제적 쟁점을 파악하여 바람직한 규제 방향과 제도 개선 방안을 모색하는 것에 있다. 내재화 금융은 비금융기관이 금융서비스를 자사의 비금융서비스에 포함시켜 고객에게 제공하는 것을 의미한다. 이를 위해 비금융기관은 금융기관으로부터 업무를 위탁받는다. 또한 금융기관과 비금융기관 사이 기술적·운영적 연계가 필요한데, 이를 위해 연계사업자가 관여하기도 한다. 이러한 구조에서는 금융서비스가 제공되는 고객 접점을 금융기관이 직접 통제하기 어렵고, 금융서비스 제공 구조의 복잡성이 증가한다. 그럼에도 현행 규제는 금융기관 중심으로 설계되어 있어 규제의 공백·중복이 발생할 수 있다. 당사자 간 이해상충이 발생하거나, 복잡성으로 인해 위험이 증대될 우려도 있다.
내재화 금융을 규율하는 국내 법령들은 비금융기관과 비금융기관을 통해 제공되는 금융서비스를 적절히 규율하지 못하고 있다. 특히, 「금융기관의 업무위탁 등에 관한 규정」은 상위법의 명시적인 위임 근거가 없고, 업권별로 '본질적 업무'라는 형식적 구분으로 위탁 가부를 정하고 있으므로, 위험 수준에 비례한 규율 체계를 갖추지 못하고 있다. 「전자금융거래법」은 금융감독당국이 전자금융보조업자를 직접 감독할 수 있는 명확한 근거가 부족하고, 「금융소비자 보호에 관한 법률」은 금융상품 판매의 ‘중개·대리’에 해당하는 경우를 중심으로만 규율하므로, 내재화 금융에서 발생하는 다양한 위험을 규율하기에 부족하다.
해외 주요국의 입법례는 기존 규제 체계의 한계를 보완할 수 있는 시사점을 제공한다. 미국은 「서비스제공자와의 관계에 대한 지침」을 마련하여 비례적으로 금융기관의 위탁·제휴 관계를 규율하고 있고, 불공정·기만·남용행위 금지 규제를 통해 금융서비스를 제공하는 비금융기관을 직접 규제하고 있다. 유럽연합은 「디지털운영복원력규정」을 통해 정보통신기술 기반 서비스제공자에 대한 위험 관리 체계와 중요 서비스제공자에 대한 직접 규제·감독 근거를 마련하였다. 영국은 소비자 의무(Consumer Duty)를 통해 금융서비스 제공 과정에서의 소비자 보호를 강화하고 있다. 일본은 은행대리업·금융서비스중개업 등 소규모 인허가 단위를 통해 비금융기관의 금융서비스 관여를 제도적으로 포섭하고 있다.
본 연구는 규제·감독 범위 밖에 있었던 미국 시냅스(Synapse Financial Technologies) 파산 사건에서 드러난 바와 같이 현행 기관중심 규제 체계하에서 마련된 규제만으로는 내재화 금융을 적절히 규율하기 어렵다고 보고, 다음과 같은 규제 개선 방안을 제시한다. 첫째, 내재화 금융에서 수행되는 개별 기능과 위험의 실제 위치에 비례하여 규제 강도를 조정할 수 있도록, 기존 금융업 인허가 체계를 보완하는 소규모 인허가 제도의 도입이 필요하다. 이를 통해 규제 공백을 해소하는 동시에 과도한 진입규제를 완화할 수 있다. 둘째, 금융기관·비금융기관·연계사업자 간 계약에서 발생할 수 있는 이해상충으로 인한 위험을 대비하기 위해, 금융기관이 고객 접점에 일정 범위에서 실질적 통제권을 가질 수 있도록 당사자간 계약에 보다 적극적인 개입이 요구된다. 셋째, 기술적·계약적 복잡성에 대응하여 전자금융거래법에 복원력 중심의 규제 체계를 확립할 필요가 있다. 업무위탁 관련 규제를 통합하여 규제 자체의 복잡성을 낮추고, 체계적으로 중요한 전자금융보조업자에 대한 직접 감독 가능성을 확보하여야 한다. 또한 내재화 금융의 구조적 복잡성을 고려하여 고객의 이해를 중심으로 설명의무가 개선되어야 할 필요가 있다.

Embedded finance refers to arrangements in which non-financial firms integrate financial services into their non-financial offerings by performing financial functions on behalf of licensed financial institutions. To enable such arrangements, technical and operational integration between financial institutions and non-financial firms is required, and middleware providers may facilitate these connections. Under this structure, financial institutions face difficulties in exercising direct oversight over customer relationships, and the structure of financial service provision becomes increasingly complex. Nevertheless, existing regulatory frameworks remain largely entity-based rather than activity- or function-based, which may result in regulatory gaps or overlaps and allow conflicts of interest and heightened risks to arise.
Korean laws and regulations governing embedded finance do not adequately regulate non-financial firms or financial services provided through non-financial distribution channels. The Regulation on Business Delegation of Financial Institutions is not grounded in an explicit statutory mandate and assesses permissibility by distinguishing between “essential” and “non-essential” functions, thereby failing to establish a risk-based and proportionate regulatory framework. The Electronic Financial Transactions Act does not provide a sufficient legal basis for financial supervisory authorities to exercise direct supervisory authority over non-financial firms and middleware providers. Moreover, the Act on the Protection of Financial Consumers primarily regulates brokerage or agency in the sale of financial products, limiting its ability to address diverse risks in embedded finance arrangements.
Comparative regulatory approaches provide insights into how these limitations may be addressed. The United States regulates outsourcing and partnerships through proportionate supervisory frameworks and prohibits unfair, deceptive, or abusive acts or practices (UDAAP). The European Union has established a risk management framework for ICT third-party service providers and direct regulation of critical providers under the Digital Operational Resilience Act (DORA). The United Kingdom has strengthened consumer protection through the FCA's Consumer Duty. Japan has institutionalized non-financial firms' participation in financial services through small-scale and function-specific licensing regimes.
The collapse of Synapse Financial Technologies—a middleware provider in embedded finance ecosystems—exemplifies how entity-based regulatory frameworks prove insufficient. Middleware providers operating as essential infrastructure often remain outside traditional regulatory oversight, creating structural vulnerabilities. Accordingly, this study proposes three regulatory reforms. First, introduce a small-scale and function-specific licensing regime calibrating regulatory requirements to actual functions performed and risks assumed. Second, establish a more active regulatory intervention framework for contractual arrangements among financial institutions, non-financial firms, and middleware providers to mitigate conflicts of interest while ensuring that financial institutions retain effective control over customer relationships. Third, establish an operational resilience framework under the Electronic Financial Transactions Act by integrating outsourcing-related regulations, securing authority for direct supervision of critical non-financial firms and middleware providers, and strengthening customer-facing obligations to provide clear and comprehensible explanations and disclosures, given the complexity of embedded finance arrangements.
