감사⋅감사위원회 설치회사와 기업지배 : 회사법제의 개선을 위하여

우리나라는 감사의 기능 강화를 위한 상법개정이 여러 차례 있었다. IMF 구제금융을 받은 이후 감사의 독립성⋅실효성 등의 문제를 개선하기 위하여 1999년 1월 감사위원회제도를 도입한 이후 회사규모와 상장 여하에 따라 감사기구의 존재와 내용이 차등화 되었다. 각 나라별 감독기관의 형태를 살펴보자면, 영⋅미는 감사위원회제도, 일본은 감사(독임제 기관), 감사회(합의제기관), 감사위원회제도, 독일은 감사회제도, 우리나라는 회사규모별 감사⋅상근감사, 감사위원회제도를 두고 있다. 감독기관의 기능을 강화하는 방안으로는 ① 감사 수 복수화 방안, ② 감사회의 합의제 기관의 설치, ③ 상근감사제 등 다양한 방안을 생각해볼 수 있는데, 이 논문은 일본의 감사⋅감사위원회 제도의 개선을 둘러싼 최근 논의를 다루고 있으므로 우리나라의 감독기관 강화의 방향을 정하는데 고려할 만한 요소가 있기에 이를 선택하여 소개한다. Our Commercial Code has been revised several times for strengthening the capabilities of supervisory authority. During the IMF bailout program, Audit Committee was introduced in January 1999 in order to improve the independence and effectiveness of the supervisory authority system. In accordance with the size of the company and listed company or not, the existence and content of the organization of supervisory authority was differentiated. The shape of each country’s supervisory authority is divided into audit committee in British and American, audit(single-judge system), supervisory board(council system) and audit committee in Japan, supervisory board in Germany, the auditor⋅standing auditor and audit committee in Korea according to the size of the company. To strengthen the functions of the supervisory authority, we think variety way; ① appointing several auditors ② installing the council system, ③ appointing standing auditor. This paper reviews auditor⋅audit committee of the Japan, so it covers the recent discussion about strengthening of supervisory authority in our country, it’s the reason that I introduce this paper.
