불공정한 이사 관련 거래가 일으킨 회사, 주주 및 관련 이사 등 여러 이익주체사이의 이익 충돌을 어떻게 방지할 것인가 하는 문제에 있어서 중국 회사입법의 규제책략 및 그 세부규칙에 대한 설계는 지속적인 제도변혁 과정에 처해있다. 이 과정에서 얻게 된 기본적인 경험은 이사 관련 거래에 대하여 보편적으로 금지하거나 엄격히 제한할 바가 아니고, 더욱 훌륭한 입법 면의 선택은 일부 특별한 관련 거래에 기회를 제공하는 것을 금지하거나, 입법을 통하여 이익이 충돌되는 관 련 거래를 가급적으로 피하거나 최소화하는 것이다. 이를 위해 중국 입법제도는 반드시 일방적인 방어입장에서 벗어나, 절차적 정의규칙을 강화시키고 실체적 공정보장체제를 실현하는 것을 강화하며, 회사법(公司法), 증권법(證券法) 등 영역의 법률의 상이한 규제입장과 입법기능이 잘 조화되도록 집행함으로써 이사 관련 거래행위를 규범화하고 각 이해 관계자의 이익이 균형을 이루도록 하며 거래의 공정 및 효율적 가치를 공동으로 만족시킬 수 있는 입법취지를 도모해야 한다. Considering how to prevent the conflicts of interests triggered by unfair directoraffiliated transaction among corporations, shareholders and affiliated directors. Regulations and strategies of legislation on corporation in China and related specific setting rules are in sustained institutional evolution, which brings about the following basic experiences: it is unfeasible to generally forbid nor to strictly restrict directoraffiliated transactions; the better legislative choice is to forbid some special chances of affiliated transaction, or to guide corporations avoid or reduce the possibility of affiliated transactions in which both parties’ interests conflict by legislation. For this purpose, legislation in China should remove blindly anti‐abusing attitude, strengthen rules of procedural justice, reinforce the safeguard mechanism aiming at substantial fairness, and commit different regulatory stances and coordinate different legislative functions among different department laws such as corporation law, security law and so on, in order to achieve the legislative goals of regulating conducts of directoraffiliated transaction, balancing interest conflicts among related subjects and equally emphasizing transaction equity and the value of efficiency.
