Korean Civil Code allows a third party, not a debtor, to exercise the creditor's bond and the security right thereto if the third party has reimbursed the debt. This is called a payment with subrogation. The reimbursing person has the compulsory right, but the subrogation exists to secure it. This subrogation is divided into voluntary subrogation and constructive subrogation. Article 480 (1) of the Civil Code stipulates voluntary subrogation by saying, "A person who has performed an obligation on behalf of the obligor may be subrogated to the rights of the obligee with the consent of the latter, which should be obtained simultaneously with the performance". As for constructive subrogation, Article 481 of the Civil Code stipulates that "A person who has a legitimate interest to effect performance shall be by operation of law subrogated to the rights of the obligee by effecting the performance.". And when it comes to subrogation's effectiveness, Article 482 (1) of the Civil Code stipulates that "A person who has been subrogated to the rights of the obligee in accordance with the provisions of the preceding two Articles may exercise the claim and the right in respect to its security to the extent to which he may be reimbursed by virtue of his own right."
The problem is that if there are several people with legitimate interests to reimburse, their interests should be adjusted. In order to coordinate this, Article 482 (2) of the Civil Code regulates the legal relationship between the person giving collateral. According to this, a surety cannot be subrogated to the rights of the obligee as against the third person who acquired of the right on an article which is the object of chonsegwon or mortgage unless the subrogation has been entered in advance into the registration of chonsegwon or the mortgage and a third party purchaser cannot be subrogated to the rights of the obligee as against a surety. One of the third party purchasers shall be subrogated to the rights of the obligee as against the other purchasers in proportion to the value of each immovable property. The same goes for several persons who have furnished their own property. As between a person who has furnished his own property as security for the obligation of another and surety, they shall be subrogated to the rights of the obligee in proportion to their numbers. Provided, that there are several persons who have furnished their own property as security for the obligation of another, they shall be subrogated to the rights of the obligee in respect of the balance excluding the part incumbent upon the surety, and in proportion to the value of each property.
Despite the regulation, however, there are many problems in regulating legal relations between guarantor and material guarantor, Therefore, this paper seeks to examine the discussion on various issues related to Article 482 (2) of the Civil Code and come up with a reasonable solution.
To this end, I think it is necessary to first consider the origin of the system and comparative legal considerations. If you look at it, the subrogation has his origins in beneficium cedendarum actionum and ius offerendi under the Roman law. The system was passed down to Germany and France, In France, the system, called subrogation, was created by combining beneficium ‘cedendarum actionum’ with ‘ius offerendi’. Germany is based on Roman law and does not have general regulations, but separately defines and follows the form of legal bond transfers. In the case of Japan, it is the closest to Korean Civil Code, and the discussion under Article 482 of the Civil Code exists equally in Japan. However, through the recent revision, various issues such as the deletion of the registration requirements and the treatment of a third acquiree from a material guarantor as a material guarantor were stipulated.
If we look specifically at the issues related to article 482 of the Civil Code, First of all, it is a question of whether a third party that has obtained collateral from a material guarantor is also a third acquiree referred to in regulation. It's not fair for someone to profit or lose just because they happened to be transferred, and so a third party that has obtained collateral from a material guarantor shall treat it in accordance with the material guarantor. Next, the point at which the guarantor has to register for the third acquirer is a problem. Before the guarantor reimburses, a third party who has obtained collateral does not need the registration of chonsegwon or the mortgage because it appears that he has known the possibility of collateral enforcement. Therefore, after reimbursement, the registration of the chonsegwon or the mortgage must be perfomed before a third party acquiring it. However, it is doubtful whether the registration of chonsegwon or the mortgage is necessary. This is because the third acquirer is the one who already knows that the collateral right has been established. It is also a difficult problem to set the burden of the dual status. It is not easy to solve whether to treat it as one person or two people, and as a guarantor or as a material guarantor. In this regard, I propose a new method of calculation. The amount of debt to be borne is taken into account in the calculation method of calculation. In addition to the above three issues, there are also issues related to Article 482 of the Civil Code. However, the existing interpretation alone has limitations in solving the problems related to the above issues. Therefore, it is hoped that it will lead to the revision of the Civil Code in the future while proposing the direction of revision of Article 482 of the Civil Code.
