As tax law regulates complicated and diverse economic phenomena, its individual Acts also display complicated nature in their regulating formalities and substances, and they are subject to frequent amendments, responding to rapidly changing economic circumstances.
With tax law being more frequently amended, it has become more important to clearly stipulate the temporal boundary of legal validity of the existing and new laws, and this issue is dealt with in the addenda of individual Acts rather than in their substantive provisions.
To ensure legal stability and predictability of taxpayers amid frequent amendments to tax law, it is of great importance to follow the principle on the protection of trust, the rule of banning retroactive legislation, and the rule of clarity, which derive from the constitutional principles on a law-governed state, in the process of introducing addenda into tax law. Securing the period of generally known is also critical in helping taxpayers to understand and get used to the changes in tax law.
The protection of trust is a principle in the constitution, stipulating that reasonable trust of taxpayers in the existing legal order shall be protected, and it is embodied in the form of transitional measures within the addenda of amended tax law. Legislators need to bear in mind that it is their responsibility to incorporate well-devised transitional measures to protect taxpayer’s trust rather than just passively using them as a means of eliminating the cause of unconstitutionality.
The rule of banning retroactive legislation prohibits enacting a law that applies disadvantageous changes to cases closed or legal relations occurred before the enactment of the law, and this rule was reviewed in relation to applicability prescribed in the addenda of tax law. If laws on period taxes such as income tax or corporate tax are amended to taxpayers’ disadvantage in the course of taxable period and affect them from the date of commencement of the taxable period, it should be considered as retroactivity not as retrospectivity and this practice must be prohibited in principle in case of amending tax law.
The rule of clarity requires that the content, target, and scope of tax law are clearly stipulated so that taxpayers can expect the changes or the amount of taxes they need to pay. The rule applies not only to substantive provisions but also to the addenda. The addenda should clearly stipulate which one―among the existing law and amended law―should be applied through applicability and transitional provisions. This is because a decision should be made first on which law need to be applied, especially if there have been multiple amendments, to determine which provision is applicable in regard to levying or collecting taxes.
This paper examines problems found in the addenda of tax law in relation to dealing with the temporal boundary of legal validity and provides ways for improvement.
First, this paper analyzes the problems of general transitional provisions and provides suggestions for improvement in light of the principle on the protection of trust. When a tax law is amended, a general transitional provision is introduced to the addenda to stipulate that “Any tax imposed (assessed) or to be imposed (assessed) pursuant to the previous provisions as at the time this Act (or Decree) enters into force shall be governed by the previous provisions.” However, in most cases, the addenda do not provide any independent transitional provision dedicated to protecting taxpayers’ trust.
There are some judicial precedents in which general transitional provisions were interpreted more broadly to mean independent provisions intended to protect taxpayers’ trust. However, the general transitional provisions merely confirm a theoretical point that the law which was in force at the time of formation of tax liability should be applied, thereby failing to provide enough protection for reasonable trust of taxpayers in the existing legal order.
Let’s say there is a tax law that guarantees taxpayers a tax reduction or exemption for a certain period of time in the future in case they meet certain qualifications under the law. If this law is amended to their disadvantage, the addenda of the new law must provide an independent transitional provision dedicated to protecting their trust in the continuity of legislation.
Second, this paper analyzes problems of an applicability provision that extended the limitation period for tax assessment and explores measures for improvement in view of the rule of banning retroactive legislation. In the case of substantive tax law, the principle of banning retroactive legislation should be examined based on whether an individual is liable to pay or whether requirements for taxation is still effective, but in the case of period for tax assessment, which falls within the realm of procedural law, the violation of the principle should be examined based on whether the limitation period for tax assessment passed or not.
A case in point is the Framework Act on National Taxes, which was promulgated on December 31, 2011 (Act no. 11124) and entered into force on January 1, 2012. A newly amended provision (the latter part of Article 26-2, paragraph 1, subparagraph 1) of the Act extended the limitation period for tax assessment on the amount deemed as having been reverted to the representative under Article 67 of the Corporate Tax Act -where it is not clear to whom the outflows of the company may revert- from five years to ten years if a corporate tax is evaded, or refunded or deducted by fraudulent or other unlawful means, and the paragraph 1 of Article 2 of the addenda of the same Act stipulates that the amended provision shall apply beginning with the amount to be first disposed of after January 1, 2012.
However, the amended Act violates the prohibition on retroactivity by extending the period of limitation from five years to ten years and stipulating the application of the amended provision beginning with the amount to be disposed of after January 1, 2012, since it can also affect the ‘income tax on the amount deemed as bonuses accrued to the representative’ even if the five-year limitation period on that amount had already passed before January 1, 2012.
Future legislations for extending the limitation period should prevent the retroactivity issue from being raised with regard to the addenda (or applicability) by introducing the initial date in reckoning of limitation period or examining whether the limitation period is still effective.
Third, this paper analyzes problems of redundant legislation regarding temporal boundary of legal validity and provides improvement measures in light of the rule of clarity. In general, the addenda of an amended tax law provide a general applicability provision together with other case-by-case applicability provisions or transitional measures.
This redundancy caused confusion in interpreting the validity of the old and new laws since there are multiple applicability or transitional provisions that regulate temporal boundary of legal validity.
In terms of regulating temporal boundary of legal validity, it would be more desirable to dispense with the general applicability provision and provide an independent applicability provision or transitional measure for each amended provision, ensuring a much clearer description of the temporal boundary of the old and new laws.
Fourth, this paper looks at issues related to the period of generally known for amended tax law and provides measures for improvement, considering the importance of such period as another requirement in the constitutional principles on a law-governed state. A research on the period of generally known of individual tax laws -which have been submitted since 2000 by the Executive to the regular sessions of the National Assembly and subsequently promulgated- revealed that most tax laws were promulgated on or after December 26 every year and took effect on January 1 in the following year.
Due to the insufficient period of generally known for tax law, taxpayers are denied opportunities to understand and adapt to the changes made in the law. In addition, a delay in legislating legal matters that were delegated from Act to Presidential Decree, Ordinance of the Ministries, or Municipal Ordinance caused a legislative vacuum for a considerable period of time, leaving requirements for taxation or procedures for imposing or collecting taxes incomplete.
To secure enough period of generally known when amending a law on national or local taxes, the date of promulgation of the amended tax law needs to be brought forward. Since the bills for national taxes have been submitted to the National Assembly within ninety days before the beginning of a fiscal year according to Article 54 of the constitution, it is crucial for the National Assembly to examine them more expeditiously. The insufficient period of generally known in the case of the bills for local taxes is mainly affected by the fact that the Executive is given too much time before they submit the bills to the National Assembly. Therefore, moving up the date of submission to the National Assembly is also imperative.
In summary, this paper provides an analysis of legal theories on the temporal boundary of legal validity in case of amendments to tax law, which is followed by the problems in the addenda of the current tax law and suggestions for further improvement in light of the constitutional principles that guide legislative activities. In my opinion, the analysis of legal theories contributes to delivering the exact legal meaning of applicability provisions and transitional measures prescribed in the addenda, while the examination on the constitutional principles and the suggested solutions to the issues on the temporal boundary of legal validity not only improve the situation regarding the current legislative practice for the addenda of the tax law, but also have positive implications for future amendments to tax law in terms of securing legal stability and predictability of taxpayers. This paper will hopefully serve as a foundation for embodying the constitutional principles on a law-abiding state in the process of enacting tax law in a more faithful manner.
