It is thought to be a proper time to review the operation and status of the shareholders’ meeting which were recently changed with the sharply introduced regulations related to the electronization of the shareholders’ meeting under the commercial law and to identify what the related legal problems are.
This dissertation is intended to look at the status of introduction of the shareholders’ meeting by the introduction of electronization of the shareholders’ meeting and, by discussing the interpretational meaning of each provision and issues that may arise in operation based on that, resolve the issues of interpretation as well as the ways of having the electronization of the current shareholders’ meeting properly operated.
In general, the “electronization of the shareholders’ meeting” means the use of electronic methods for convening notice, exercising voting rights and proceedings throughout the shareholders’ meeting. The adoption of electronic technology in the area of shareholders’ meeting could improve the shareholders' participation.
Although the electronization for notice of meetings was already introduced in 2001, the usage rate was low as the tasks of notice by written and electronic documents were severely heavy and clear rules for the specific procedures and methods were inadequate. It is necessary to clearly define the definition and sending time of the electronic documents and rules of responsibility in the commercial law, and a company’s aggressive adoption of electronization in notice is required.
When shareholders exercise their voting rights, the infrastructure in the preparation of electronic register of shareholders, electronic notice and announcement should be preceded in order to identify the shareholders and provide them by an electronic method with the necessary forms and reference materials required for exercising their voting rights. It seems that less companies are introducing this since e-mail addresses of the shareholders should also be included in the electronic register of shareholders in addition to the listed information of the shareholders. The method of managing e-mail addresses separately without including them in the electronic register of shareholders would be more appropriate.
As the electronic notice which uses a company’s website other than the method of newspaper notice became allowed from 2011, many companies introduced the electronic notice by changing their articles of incorporation. The electronic norice system is expected to be well used by a company’s aggressive adoption, however, the participation of the company would be further induced without giving disadvantages to the shareholders by suggesting specific criteria on the provisions in the articles of incorporation, proof method and means of publication.
The electronization of exercising voting rights, the core of the electronization of the shareholders’ meeting, was used on September 19, 2010 for the first time since the opening of electronic voting system, and only thirty-four companies introduced the electronic voting system after that, showing low usage rate by the companies unlike the expectation. The legislative inadequacies such as the restrictions on the voting time, problems of change and withdrawal of voting, handling of already exercised vote, and responsibility in case of errors in communication system, etc. will have to be resolved. In addition, for the activation of the electronic voting, the shadow voting which is a transitional system for securing a quorum will have to be gradually abolished over a certain period of delay while the electronic voting system will have to be compulsory to lead the development in the system of shareholders’ meeting and corporate governance structure.
It is critical moment to encourage participation of shareholders and companies in the system since the electronic voting system has been introduced in commercial law. However, most disputes are based on interpretations in relation with the problems arising from the introduction of the electronization of the shareholders’ meeting so that specific regulations should be prepared for the relevant affairs together with substantial efforts exerted by companies and shareholders. Proactive attitudes of companies, legislative solution, and exercise of shareholders' voting rights shall contribute to the development of shareholders' meeting in response to Korean information technology through the electronic voting system.
