A lien refers to the right to allow the creditor holding the debtor’s propertyor marketable securities as the effect of possession thereof to refuse to hand over such property or marketable securities until the debtor fulfills his obligations. However, a lien is more than the conveyance of mortgaged properties in terms of legal aspects, function, and effect. Nonetheless, in actuality, there is a need to meet numerous conditions for effectively establishing and implementing lien, such as the defining of the scope of property under lien and the criteria for assessing the connection of that property and the right of claim thereon, whether to allow joint possession by the holder of lien and the debtor for establishment of lien, whether to grant lien to the false possessor, and the defining the criteria for assessing such false possession. Furthermore, a sharp of conflict of interest may rise between the creditor who exercises lien in the auction process, and the successful bidder for the realty (a new target of lien through auction), over the connection between the credit and the realty, the lien holder’s type of possessing the realty, the time of possession, etc. To resolve these problems, this study examined the lien’s grounds, social function, and essence (Chapter 2), the history and legislation examples of lien in various nations (Chapter 3). It also deals with the specific significance of possession as a condition for establishing lien, the joint possession by the creditor and the debtor, the liability of lien holder without countervailing right for the creditor, and the lien holder’s responsibility for warrant services to the successful bidder (Chapter 4).
Issues raised above were examined, and thus several conclusions were reached as follows.
First, possession, in connection with the establishment of lien, is the most important disclosure method to allow third parties to recognize the existence thereof. As such, it is adequate to interpret the type of joint possession (which also constitutes a direct possession by each of the creditor and the debtor) not as a legitimate possession for establishment of lien.
Second, regardless of whether provisional attachment will be transferred to formal attachment, the creditor’s obtaining of lien after provisional attachment constitutes a banned disposition act under provisional attachment; thus, the creditor cannot use his lien and countervail the holder of the right to provisional attachment, and the above attachment under the Civil Enforcement Act includes not only provisional attachment and credit on taxes.
Third, if the holder of lien without countervailing power possess the realty without justifiable ground of the claim, he may be considered infringing upon the right of the successful bidder pursuant to the Civil Act, Article 750. Also, if multiple parties jointly possess a realty without justifiable grounds of the claim, this may constitute a prescribed joint illegal act against the holder of the reality pursuant to the Civil Act, Article 760, and the legal implication herein is seen as joint and several liability.
Fourth, if holders of lien without countervailing power, through false registration of lien, attempt to lower the price of the property under auction or otherwise hamper auction and bidding, leading the creditor to sustain damages, they should be liable for consequential damages caused to the creditor.
Fifth, if the holder of lien without countervailing power exercises lien after the construction of the property in question is completed as a whole or partially, leaving the property unattended for a long period of time and then transferred to the successful bidder, he should be liable to the successful bidder for warranty services for the propertyor corresponding compensation for the warranty service period from the handover of the property as specified in the Civil Act, the Framework Act on Construction Industry, and the Housing Act.
In the event that realty with lien established is auctioned off, the above examination to regulate legal relations between the holder of lien and the successful bidder, and between the holder of lien and the creditor.
However, the successful bidder for the realty, the target of lien, has no idea of the existence of lien or other details thereof under actual auction proceeding. Also, although possession, in the light of lien, is considered a means of disclosure, our legal system does not specify any regulations on the methods of possession, disclosure of possession itself, etc. This poses problems. Moreover, although the holder of lien has possession as the means of possession and yet has no depositor preference, his exercising of countervailing power against the creditor with attachment or the mortgagee poses problems; however, related theories and judicial precedents do not take consistent position, posing problems. Also, since the current auction procedure allows the successful bidder to take over the obligation related to lien as it is, the successful bidder for the realty may, during the auction procedure, face the holder of lien with countervailing power exercising lien, and thus may have difficulty proceeding with the auction procedure due to additional disputes involving liabilities caused by the cancellation of permission on selloff, the seller’s liability for security, etc.
This study proposed several interpretative and legislative solutions to solve these problems.
First, there is a need to legislate the process by which the holder of lien, though a prior notice to the debtor, is allowed to offset the selloff price and the secured debt under lien. Second, once auction begins, the enforcement court should strengthen investigations into the realty under auction in a bid to ascertain the holder of lien, and should establish public trust on the description of property put on sale. Third, many of liens related to auctioning ofrealty are related to credit on high prices of construction works among multiple parties. Thus, if lien is discovered, credit should be reported, the adequacy of the reported credit amount should be judged through trials so as to prevent illegal lien, and the credit amount as confirmed through the certificate should be disclosed so as to properly assess the secured debt amount of the realty under auction. Fourth, lien should be granted depositor preference for allotment, and the remainder of the allotment should be taken over by the successful bidder by applying the allotment system in the right of housing lease, thereby leading the holder of lien to escape from economic poverty, allowing the forecasting of transfer, and consequently improving the auction procedure to make it speedy. Fifth, inappropriate lien should be pinpointed through the procedure of reporting on lien and the procedure of ascertaining credit, liability for the successful bidder, and obligations for the creditor should be strengthened, thereby protecting the successful bidder who should, under the auction procedure under the current Civil Enforcement Act, entirely take over obligations due to the holder of lien exercising his right. Sixth, in connection with the countervailing power of lien, legislatively, if the holder of lien had known attachment and mortgage on the property, he cannot use his subordinated lien and countervail the previously established creditor with attachment or mortgagee. However, the countervailing power by lien should be limited by establishing a regulation to the effect that this takes exception to cases where the secured debt amount of the priority mortgage falls short of the value of the mortgaged property, and the value of property increases owing to credit claimed as lien. Seventh, legislatively, to improve the system by which the successful bidder should take over credit mortgaged by lien, the current Civil Enforcement Act, Article 91, Section 5 should be amended to the effect that the seller should repay the holder of lien - who reported the right – for the credit covered by that lien by the time specified in Article 84 thus, it is considered suitable that the successful bidder should undertake disadvantages pertaining to that lien by the time when the claim of allotment ends.
Theories were discussed regarding the conditions for the establishment of lien, and its connection with and possession of secured debt, and solutions from interpretative and legislative points of view were provided. Notably, in connection with current problems of the auction procedure, regulations pertaining to the effect of lien under the Civil Act and the Civil Enforcement Act should be amended from the legislative point of view. These specific discussions on problems and solutions will certainly be instrumental in eliminating the uncertainty of lien in connection with the auction procedure for realty.
