    본 연구의 목적은 CISG하에서 전자통신의 사용에 의한 계약성립에 관한 법리를 분석하는데 있다. 최근, 정보통신 기술의 발전에 따라 국제상거래에서도 전자적 통신수단의 사용을 통한 계약 체결관행이 이루어지고 있다. 또한, UNCITRAL은 국제전자계약의 경우 법적장애(legal obstacles) 요소의 제거와 법적명확성을 기하기 위하여 “국제계약에 있어 전자통신의 사용에 관한 유엔협약”(United Nations Convention on the Use of Electronic Communications in International Contracts: CUECIC)을 2005년 11월 23일 제정하게 되었다.
    2008년 11월 현재, 18개 국가가 서명하였지만 아직까지 비준을 한 나라는 없다. 협약의 채택이 느리게 진행되는 잠재적인 주요 이유 중의 하나는 사용자, 업계 그리고 각국 정부들에게 있어서 UN에서 제정한 협약의 국제적 홍보부족이 한 요인이 될 것이다. CUECIC는 전자적 환경에서 기업간 국제전자상거래에 적용하는 목적으로 제정된 첫 번째 협약이다.
    UNCITRAL이 1980년에 제정한 국제물품매매에 관한 비엔나협약과 같은 국제조약은 그 규정에서도 알 수 있듯이 매매계약의 성립에 있어 반드시 필요한 청약과 승낙과 같은 의사전달의 통신수단으로 팩스와 전보를 사용하던 시대에 제정되었다. 새로운 협약은 이러한 측면에서 기존의 법률적 문제들을 해결하고 전통적인 국제상거래에 적용되는 낡은 국제협약에 새로운 활기를 제공하고 있다.
    본 논문의 연구의 방법은 선행연구논문들과 UNCITRAL 회의보고서와 UNCITRAL 전자상거래 작업반의 회의자료 등 국내외 문헌자료 분석방법을 채택하였다. 본 연구의 범위는 다음과 같이 하였다. 제1장에서는 선행연구동향을 살펴보고 연구의 목적, 연구의 방법과 범위를 제시하였다. 제2장에서는 통일된 국제전자계약법 제정의 필요성과 CUECIC의 채용과정에 대해 살펴보았다. 제3장에서는 전자계약의 성립을 위한 CUECIC의 전제조건에 관해, 제4장에서는 청약과 승낙을 중심으로 CISG하의 전자통신에 의한 계약성립에 관한 법리에 관하여 논하였으며, 제5장에서는 요약 및 결론을 맺었다.
    현재, 지금 발효중인 국제협약 중에서 전자통신을 통해 성립되거나 이행되는 국제매매계약을 대상으로 하는 국제협약은 없는 실정이다. 그럼에도 불구하고, 전자통신의 사용에 의한 국제전자상거래는 점차적으로 증가할 것이고, CISG를 보완하기 위하여 국제상업무역에서 관습법으로서 입안된 UN 전자상거래 모델법(MLEC)에 법률적 기반을 둔 CUECIC 규정의 적용에 문제가 없다면 큰 어려움없이 국제전자상거래는 착실하게 진행될 것이다. 따라서 조만간에, CUECIC는 CISG를 보충하는 규정으로서의 역할을 할 것이며, 국제상거래를 촉진시키는 기능을 할 것이다.
    전자계약이란 전자통신 또는 UNCITRAL 전자상거래 모델법의 용어정의에서 규정한 데이터메시지에 의하여 계약이 성립하는 것을 말한다. 즉, 전자계약이란 합의를 형성하는 방법을 의미하는 것이지, 특정물품을 대상으로 한 계약이 아니다. 사실, 소위 전자계약은 종이서류에 근거를 두고 있는 전통적인 계약과 근본적으로 차이가 있는 것은 아니다. 그럼에도 불구하고, 전자상거래는 전통적인 통신수단을 통한 계약성립에 근거한 계약형태를 완전히 대체하지는 못한다. 따라서 계약성립에 근거를 두고 있는 전통적인 규칙의 일부수용은 전자상거래의 필요성을 수용하는데 필수적으로 필요하다.
    전자계약은 두 가지 중요한 특징을 갖고 있다. 속도와 자동화이다. 더욱이 전자적인 형태와 관련하여서는 특수한 문제들이 발생할 수 있다. 1966년에 설립된 UNCITRAL은 각국의 법률적인 상이에서 발생하는 국제사법에서의 장애를 제거하는 중요한 역할을 하고 있다. 계약분야에서 UNCITRAL의 큰 업적은 국제물품매매계약에 관한 협약인 CISG와 국제계약에 있어 전자통신의 사용에 관한 협약인 CUECIC이다. 본 논문은 전자청약과 승낙의 효력에 영향을 미치고 있는 두 협약의 규정을 음미하고 분석하였다.
    전자적 수단에 의한 계약에 CISG의 적용가능성은 CISG의 자문위원회인 CISG-AC의 의견에 따라 상세하게 설명되어 있다. CISG는 전자통신이 도입되기 훨씬 전인 전보와 텔렉스가 사용되어지던 당시에 입안된 것이다. 그럼에도 불구하고, 계약성립을 위해 필요한 서면의 형식요건을 요구하지 않는 CISG 제11조의 목에 따라, CISG는 계약당사자들이 전자적으로 계약을 체결하는 것을 가능케 한다.
    청약은 피청약자에게 도달할 때에 효력이 발생한다. 청약이 효력을 발휘하기 위해서는 승낙이 승낙기간내에 청약자에게 도달하여야만 한다. CISG 자문위원회의 의견에 따르면, 전자승낙은 청약자의 서버에 승낙이 입력 될 때에 청약자에게 도달한 것으로 한다. CISG 자문위원회의 의견은 전자계약에 CISG의 적용가능성에 관한 지침을 제공하며, 국제전자계약에서 발생하는 많은 문제들은 CISG에 의하여 충분히 보완할 수 있다고 하였다.

    The purpose of this study is to understand the Doctrine of the Contract Formation by use of the electronic communication under the Convention on Contracts for the International Sale of Goods 1980 (CISG). On 23 November 2005, the United Nations General Assembly adopted a new Convention on the Use of Electronic Communications in International Contracts (CUECIC). As of November 2008, only eighteen states have signed it. However, none of the states have ratified it yet.
    CUECIC is the first international convention designed specifically for international business to business electronic commerce. International treaties such as the CISG were drafted in the era of faxes and telegrams, which is visible in their provisions. The new Convention fills a regulatory gap that has existed in this respect and gives new life to old international conventions that deal with traditional international commerce.
    As we are well aware, currently international convention on international electronic commerce transaction is not. Nevertheless, international electronic commerce through electronic communications are gradually growing and international electronic commerce is making steady progress without significantly difficulty as if nothing has happened upon application of CUECIC based on the UNCITRAL Model Law on Electronic Commerce which was enacted on custom law in international commercial trade for support CISG. Therefore, in a short time, if CUECIC as a set of supplementary rules to CISG ratify, it will promote international electronic commercial trade.
    The term “electronic contracting” has been used to refer to the formation of contracts by means of “electronic communications”, or “data messages” to use the terminology of the MLEC. As such, “electronic contracting” is “a method for forming agreements, not a subset of contracts based upon any specialized subject matter.” Indeed, so-called “electronic contracting” are not “fundamentally different from paper-based contracts.” Nevertheless, electronic commerce does not fully reproduce contracting patterns used in contract formation through more traditional means. Thus some adaptation of traditional rules on contract formation may be needed to accommodate the needs of electronic commerce.
    “Electronic contracting” involves two major characteristics: speed and automation. Further, particular issues may arise due to its electronic forms. UNCITRAL was established in 1966 with its main task to remove obstacles in international private law created by disparities in national laws. Works by UNCITRAL in the area of contracting conclude CISG and CUECIC. This thesis scrutinized the provisions of the two Conventions that may impact the effectiveness of an electronic offer and acceptance.
    The applicability of CISG to contracting by electronic means has been elaborated upon by the CISG-Advisory Council (CISG-AC). The CISG was drafted long before electronic communications beyond telegrams and telexes were considered. Nevertheless, due to the purpose of Article 11, which is that there no form requirements of writing should be required for the formation of a contract, the CISG enables parties to conclude contracts electronically.
    An offer becomes effective at the point in time when it reaches the offeree. To become effective, the acceptance must reach the offeror within the time for acceptance. According to the CISG-AC opinion, an electronic acceptance, reaches, the offeror when the acceptance enters the server of the offeror. The CISG-AC opinion provides guidance on the applicability of the CISG to electronic contracting, and concludes that issues in international electronic contracting may be sufficiently covered by the CISG.
