As evidenced by its definition, “information which belongs to a production method, sales method, or other technical or managerial information that is not publicly known and has independent economic value and is kept secret,” trade secrets are essentially information, i.e., intangible objects. However, in the practice of trade secret protection, information protected as a trade secret often exists or is managed in the form of a physical (tangible) object, and trade secrets are often infringed by acquiring, disclosing, etc. through tangible objects. Therefore, in theoretical and practical aspects of trade secret protection, the keyword “tangible object” is relevant to the discussion of the need and limits of protection.
This article examines the issues related to trade secret protection and tangible objects in light of the recent Supreme Court ruling that recognized the infringement of trade secrets by the acquisition and use of tomato seeds, which are tangible objects. It is discussed that the issue of ‘trade secrets as a tangible object’ should not be treated as a theoretical issue related to the nature of trade secrets, but as a practical issue related to the identification, use, and disclosure of trade secrets in trial proceedings. Also reviewed in this article that the basis for affirming the protection of trade secrets in the form of tangible objects other than typical media, as well as their limitations.
For identification of a trade secret by means of a tangible object, if a party’s claim can be interpreted as seeking protection of the trade secret embodied in the tangible object, it is possible to proceed to the determination of infringement without being bound by the formal dichotomy of objects and information. However, by examining whether it was inevitable to identify the trade secret in such a manner and, if necessary, eliciting further identification, courts will be able to tailor the trial process to ensure that a party's claim to a trade secret is precisely identified and examined among the myriad of information contained in that object. Meanwhile, a flexible and pragmatic approach to determining the acquisition, use, and disclosure of trade secrets by means of tangible objects is also required. Specifically, the standard for determining the infringement is whether each act engaging tangible objects indicates ‘the possibility of using the trade secret for its own purpose.’ Further, the followings may be used as references to judgment : whether practices in which the trade secret is present, traded, or utilized in the form of tangible objects, the economic significance reflected in such practices, and the characteristics of the object as a medium containing the trade secret.
The subject case dealt with the issue whether trade secrets were infringed by the acquisition and use of tomato seeds. There are a number of domestic and foreign cases that have directly recognized the trade secrets of plant seeds, bacterial strains, etc. that contain genetic information, or have recognized trade secret infringement through acts involving tangible objects containing therein trade secret information. However, it is to be kept in mind that the relatively strong nature of biological materials as a medium for storing genetic information is reflected in the recognition of their trade secrets or trade secret infringement. Instead of uncritically generalizing the positive attitude of the Supreme Court’s judgment in the subject case shed on tangible objects containing trade secrets, it is recommended to property consider factors such as the form and degree of mediumness of the tangible object in question in recognizing trade secret infringement by means of the tangible object. By doing so, the reasonable manner of trade secret can be achieved while minimizing its adverse effects that would be otherwise incurred on competition.
