본 연구는 기존 최대주주가 가지고 있는 구주식의 양수도와 더불어 높은 지분 확보 및 기업의 투자자금 확보 등을 위하여 신주발행을 동시에 수행하여 경영권을 이전하는 방식의 기업인수합병(M&A)에서 있어서 세무문제가 각 거래당사자에 어떤 영향을 주는지 확인해보고 최선의 대안을 찾고자 하는 것이다.
구체적으로 실제 구주양수도 및 신주발행을 통한 경영권 이전과 관련된 분석대상사례를 작성하고 이에 대하여 분석하였다. 이러한 구주의 양수도와 신주의 발행을 동시에 수행함으로써 경영권을 이전하는 M&A에 있어서 특수 관계 성립의 여부와 그 시기, 거래당사자가 법인인지 개인인지 여부, 그리고 경영권 이전에 있어서 구주의 주당 양수도 가격과 주당 신주발행가액의 시가 등이 어떻게 부당행위계산부인 적용, 증여세 그리고 기부금의제 등에 영향을 주는지 확인하고 최종적으로 거래당사자의 의사결정에 어떤 영향을 주게 되는지 살펴보았다.
각 거래당사자는 효과적인 세무계획을 세우고 그에 따라 최선의 선택을 하고자 한다. 본 사례를 통해서 살펴본 문제점은 첫째, 구주의 고가양수도와 관련한 부당행위계산부인과 최대주주의 세금문제, 둘째, 신주의 저가발행 관련 부당행위계산부인과 신주인수자의 세금 문제이다. 마지막으로 본 사례와 관련해서 검토한 기타사항으로 특수 관계 성립시점, 시가를 무엇으로 볼 것인지 문제, 그리고 특수 관계가 없다면 일어날 세금 문제이다.
본 사례에 있어서 최적의사결정 과정에서 분석기준이 되는 것으로 구주인수와 신주발행을 비특수관계자 간 한 거래로 볼 것인지, 연속된 거래로 나중 거래만 특수 관계로 볼 것인지, 아니면 두 거래가 구분된 거래라도 모두 특수관계자간 거래로 볼 것인지 여부에 대한 검토이다. 각 경우에 각 거래당사자별로 세금효과를 분석하고 주식양수도 거래 및 신주발행 거래에 대하여 효과적인 세무계획 관점에서 최적의 대안은 무엇인지 검토하고 각 거래당사자 간의 최적의 대안이 합쳐져서 최선의 대안이 선택되고 거래가 형성되는 것을 살펴보았다.
첫째로, 신주발행기업의 입장에서 구주양수도계약에 대해서는 어떠한 세무상 부담도 가지고 있지 않다. 신주발행의 경우 정관에 정해진 조건에 따라 유가증권 발행 및 공시 등에 관한 규정에 의하여 이루어진 것으로 부당행위계산부인 대상이 되지 않는 것이 일반적이다. 그런데 신주발행기업 입장에서 구주인수로 인하여 특수 관계가 성립한다면 그 이후에 발행한 신주발행은 부당행위계산부인에 적용될 수 있다. 두 거래가 비특수관계에서 이루어진 하나의 거래이거나 두 거래를 연속된 거래일 경우 신주주금납입이 구주양수도계약 시점보다 앞이라면 구주인수로 인한 특수 관계가 성립하지 않기 때문에 신주발행은 부당행위계산부인에 적용되지 않을 것이다. 두 거래의 거래당사자가 다르기 때문에 두 거래를 하나의 거래로 보아 둘 다 특수 관계자 간 거래로 보아 부당행위계산부인을 적용하기는 어렵다. 결국 신주발행기업 입장에선 최선의 대안은 신주 주금 납입일만 구주양수도 계약시점보다 앞서면 될 것이다. 그런데 신주발행기업의 의사결정은 최대주주 겸 대표이사인 구주양도자에 의하여 이루어지기 때문에 최종적으로 효과적인 세무계획상 최적의 대안에 영향이 없다고 할 수 있다.
둘째로, 최대주주이면서 대표이사인 구주양도자의 입장에서 최선의 대안은 신주발행가액을 최대한 낮추면서 그에 대한 대가로 구주양도가액을 높게 받을 수 있는 것이다. 또한 특수 관계자 간 거래로 인하여 부당행위계산부인에 적용되거나 증여세 등에 적용받지 않도록 조세비용도 고려해야 할 것이다. 다양한 의사결정 조건이 존재하겠지만 본 연구에서는 조세비용 측면과 총 매각대금 측면을 고려하여 최선의 대안을 도출하고자 하였다. 최대주주 겸 대표이사인 구주양도자의 입장에서 최선의 대안은 양도소득세만 부담하는 것이고 신주발행은 구주양수도를 위해 필요할 뿐 신주발행 자체로 구주양도자가 얻을 이득은 없다. 그렇기 때문에 최대주주인 구주양도자가 협상에 우위가 있다면 구주양수도를 통하여 추가적인 조세부담을 하려고 하지 않을 것이다. 결국 구주양수도를 먼저하고 신주발행은 나중에 주주가 변경된 후에 하기를 원할 것이고 구주양수도 계약시점을 신주주금납입일보다 먼저 해서 부당행위계산부인에 적용받지 않기를 원할 것이다. 만일 구주양수도 계약시점을 신주주금납입일보다 늦게 하기로 결정하여 부당행위계산부인에 적용이 된다면 추가적으로 부담하게 되는 세금을 구주양수기업에 요구할 것이다. 결국 세금차이를 보전 받던지 아니면 구주양수도 계약시점을 조절하고자 할 것이다.
셋째로, 구주 인수 및 신주인수를 통하여 경영권을 확보하고 지분율을 높이고자 하는 구주양수 및 신주인수기업 입장에선 구주인수금액과 신주인수금액의 합계를 최소화하고자 할 것이고 신주인수가액은 유가증권 발행 및 공시 등에 관한 규정에서 정하는 최소의 발행가액으로 하고자 할 것이다. 그런데 본 사례에서 구주인수가 특수관계자간 거래로서 부당행위계산부인을 적용받으면 추가적인 세금을 납부하여야 한다. 또한 최대주주가 부담하는 세금을 추가로 보전해주어야 한다. 반대로 신주발행이 특수 관계자 간 거래에 해당하면 신주발행기업이 부당행위계산부인에 적용받고 신주인수기업은 동일 금액을 익금산입하고 법인세를 납부해야 한다. 물론 이 금액은 주식의 취득가액이 되고 매각시 손금 처리할 수 있지만 본 사례에선 신주인수기업이 인수한 주식을 처분하지 않는 것으로 가정하였다. 결국 세금을 계산해 보면 구주양수 및 신주인수기업 입장에선 신주발행이 부당행위계산부인에 적용되는 것이 구주인수가 부당행위계산부인에 적용되는 것보다 과세효과를 보면 더 유리하다. 그렇기 때문에 구주양수도 계약시점을 신주주금 납입 시점 이전으로 결정하는 것이 더 유리하다.
이상에서 살펴본 대로 최선의 대안은 신주발행에 대하여 특수 관계자 거래로서의 위험을 감수하는 것이다. 그것이 구주인수의 특수 관계자 거래로 인한 부당행위계산부인 적용으로 부담하게 되는 세금보다 작다. 결국 본 사례에서처럼 구주양수도 및 신주발행 일정을 잡고 경영권 이전 절차를 수행하는 것보다는 구주양수도 계약시점을 당겨서 신주주금납입일보다 빠르게 하는 것이 각 거래대상자가 만족하는 최선의 대안이 될 것이다.
본 연구를 통하여 살펴본 것처럼 거래당사자들의 최선의 대안이 있고 이러한 최선의 대안들이 연결되어서 최적의 대안이 도출되게 된다. 본 연구는 제한된 가정에서 M&A의 한 부분을 세무적으로 검토하였으나 앞으로 이 연구를 바탕으로 다양한 M&A와 세무계획 측면에서 최선의 대안을 찾아가는 연구가 이루어 질 것으로 기대한다.

The main purposes of this thesis are to see how tax problems, arising from the transfer of management control of a company in M&A transactions affect the parties involved and to find the best available alternative. Transfer of the management control usually entails the transfer of existing stocks of the largest shareholder and the issuance of new shares. This is to maintain high level of ownership in securing funds for investing in the company.
In other words, this study specifically analyzed the issuance of new stocks and transfer of the existing stocks owned by the largest shareholder in the transfer of the management control of a company. This paper observed how the establishment of a special relationship, its timing and the type of parties involved, whether it is corporates or individuals, in the transfer of management control of a company by means of M&A could affect the rejection of unfair act and calculation, gift tax and donations calculation. Also, it examined how the fair value of the new and existing shares affected such tax systems and the decision-making process of the parties involved in the M&A.
Each party involved intends to make the best choice for the effective tax planning. The problems to be discussed through this paper is first, the rejection of unfair act and the calculations related to transferring the existing shares of the largest shareholder at a high price and taxation of the sellers of these stocks. The second issue is the rejection of unfair act and the calculations related to issuing new shares at a low price and taxation of buyers of new stocks. Lastly, this paper touched upon issues such as the timing of the special relationship, the fair value in comparison to the transfer price of the existing shares, the fair value in comparison to the price per share of new shares issued. Also this study reviewed the tax issues raised in case in which these transactions happen between unrelated parties.
The basis of analysis for a good decision making process depends on the special relationship and connectivity. First of all, it is whether the transfer of existing shares and issuance of new shares are regarded as transactions between non-related parties. Secondly, it is whether these transactions are consecutive and one transaction takes place before the other transaction. Thirdly, it is whether all the transactions are regarded as if it took place between related parties though two transactions were separated. In each case, the study analyzed the tax effect on each party of a transaction and reviewed what would be the best alternative from the view point of the effective tax planning in transfer of the existing shares and issuance of new shares. Moreover, the selection of the best alternative from each party’s optimal alternatives and the formation of the transactions were also examined.
First of all, corporates trying to issue new stocks are not subject to any tax burdens in transfer of existing stocks. Issuance of new stocks are not usually applicable to the rejection of unfair act and calculation regulation as it follows the articles of incorporation and the related provisions of prescription of securities issuance and disclosure. However, if the transfer agreement of the existing stocks established the special relationship, the corporates issuing new shares could be subject to the rejection of unfair act and calculation regulation. In the case of which two transactions are considered as one transaction between non-related parties or as consecutive transaction, the corporates issuing new shares are not applicable to the rejection of unfair act and calculation regulation. The same rules apply to the case in which the date of issuing new shares precedes the signing date of transfer agreement of the existing shares. This is because the transaction is not carried out between related parties. In addition, it would be difficult to apply the rejection of unfair act and calculation regulation in case in which two transactions are considered as one transaction between related parties since the trading parties of two transactions are different. Thus, for corporates issuing new shares, they should pay the subscription money of stocks before the signing date of the transfer agreement of existing stocks. However, the decision of issuing new shares is determined by the CEO, the largest shareholder. Hence, corporates issuing the new shares have no impact on the best alternative of the effective tax planning.
Secondly, the best alternative as the CEO, the largest shareholder, is to receive the high selling price for the exiting shares while constraining the issuing price of new shares. Moreover, one must consider all the tax related expenses to avoid the rejection of unfair act and calculation or the gift tax that might be as a result of establishing a special relationship. There are many decision-making standards. However, this study tried to suggest the best alternative by taking all the tax related expenses and the total proceeds from the sales into account. The best available alternative from the perspective of the CEO, the largest shareholder, is to pay only the transfer income tax and gain nothing from issuing new shares. However, it is necessary to get higher selling deal amount from the transfer of existing stocks. If the largest shareholder has the upper edge in negotiations the one would not want to pay additional taxes. Thus, the largest shareholder would want to sign a contract of the existing shares prior to the subscription money payment date of new shares. This would protect the largest shareholder from the rejection of unfair act and calculation regulation. If it is decided that the subscription money payment date of new shares precedes the signing date of transfer agreement of existing stocks, the one might be subject to additional tax payments. Therefore, the owner of the existing stocks would require either the conservation of tax differences or the adjustment of the transaction dates.
Thirdly, the buyer who wants to acquire the management control of a company and increase its stake through the purchase of the existing and new shares would like to minimize the total amount of payment. Moreover, the buyer would also try to minimize the issuing price of new shares according to the related provision of prescription of securities issuance and disclosure. However, if the acquiring of the existing stocks took place between related parties, the buying corporates have to pay additional taxes on the rejection of unfair act and calculation. Moreover, the portion of the tax burden by the largest shareholder should be preserved. On the contrary, if the issuance of new shares is classified as the transaction between related parties, the corporates issuing new shares would be subject to the rejection of unfair act and calculation regulation. Indeed, the corporates buying new shares must pay corporate income tax on the same amount of the denied amount of the issuing company for the rejection of unfair act and calculation. This amount would be added to the acquiring cost of new stocks and deducted at the time of disposal of the stocks. However, in this case it was assumed that the corporates do not dispose the acquired stocks. Thus, the additional tax on issuance of new shares due to application of rejection of unfair act and calculation regulation is more favorable to the additional tax on transfer of existing shares. Therefore, the buyer of existing shares and new stocks should sign transfer agreement of existing shares prior to the issuing date of new shares.
The best alternative as we have seen above, is to take the risk of paying additional taxes on the rejection of unfair act and calculation regulation in the issuance of new shares. It is favorable to the additional tax on the rejection of unfair act and calculation regulation in sales of existing stocks. Thus, the best alternative would be when the signing date of transfer agreement precedes the issuing date of new shares instead of performing the procedure according to the time schedule of the signing dates of agreement of existing stock and issuance of new shares as said at the case.
In conclusion, as we have seen throughout this study, there are the best alternatives for each party to these transactions. The interconnection of these best alternatives will draw the best alternative to satisfy all parties. This study reviewed M&A transactions with emphasis on tax issues under limited assumptions. However, one could expect that the continuous research based on this study would be done in near future.
