컨테이너는 오늘날 국제 해상운송의 근간을 이루는 운송용구로서, 규격화된 적재단위를 통하여 화물의 운송·하역·보관을 일관되게 연결함으로써 물류의 효율을 획기적으로 제고하였다. 그런데 컨테이너는 운송인이 운송의 편의를 위하여 제공하는 설비인 동시에 화주가 운송물을 적입하여 반출·사용한 후 다시 반납하여야 하는 대상이 되기도 하므로, 그 사용기간이 약정된 무료사용기간(free time)을 초과하는 경우에는 그 초과사용을 이유로 부과되는 체화료(demurrage)와 반납지체료(detention)의 부담을 둘러싸고 운송인과 화주 사이에 분쟁이 빈번하게 발생한다. 특히 코로나19 이후의 물류대란을 계기로 그 규모가 급증하면서 관련 법적 쟁점이 국내외에서 첨예하게 다투어지고 있음에도, 지금까지의 국내 논의는 대체로 개별 판례에 대한 평석이나 단편적 쟁점의 소개에 그치고 있다. 이에 본 논문은 컨테이너 체화료 및 반납지체료의 법률관계를 해석론·비교법·입법론의 차원에서 체계적으로 규명하는 것을 목적으로 한다.
먼저 논의의 전제로서 컨테이너의 법적 지위와 컨테이너 운송의 법적 체계를 검토하였다. 컨테이너는 운송인이 제공하는 경우에는 운송물의 적부를 위한 적하설비 내지 선박의 일부로서의 성격을 가지는 반면, 송하인이 제공하는 경우에는 그 자체가 운송물의 일부를 구성한다. 이러한 이원적 지위를 전제로, 컨테이너 초과사용의 대가는 그 발생 단계에 따라 명확히 구별되어야 한다. 즉 컨테이너가 터미널 등 운송인의 지배영역에서 반출되기 전 단계에서 발생하는 비용은 체화료에 해당하고, 반출된 이후 화주가 이를 점유·사용하는 단계에서 발생하는 비용은 반납지체료에 해당한다. 양자는 발생하는 단계와 그 대상이 되는 이익이 서로 다르므로 이를 일원적으로 파악할 것이 아니라 단계적으로 구별하여 접근하여야 하며, 이러한 구별이 이후 모든 논의의 전제가 된다.
이러한 전제 위에서 개별 쟁점을 현행법의 해석론적 관점에서 검토하되, 두 비용의 발생근거는 그 발생 단계의 구별에 상응하여 나누어 규명하였다. 먼저 체화료의 발생근거와 관련하여, 체화료가 발생하는 상황은 수하인의 수령지체, 곧 채권자지체에 대응하나, 통설과 판례가 취하는 법정책임설에 의하면 채권자지체의 성립만으로는 수령을 지체한 채권자인 수하인에게 손해배상으로서의 체화료를 청구할 권원이 도출되지 않는다. 이에 본 논문은 상법 제140조(제815조)에 따라 운송물에 관한 권리를 취득한 수하인이 그 인도를 청구하는 등 권리를 행사함으로써 구체화되는 운송물 수령의무(상법 제802조)의 위반, 곧 채무불이행에서 체화료의 청구근거를 찾았다. 수령의무의 존부와 관련하여서는 이를 수하인 일반에 대하여 넓게 인정할 경우 부당한 결과를 초래할 수 있으므로, 인도의 청구를 비롯한 권리의 행사 또는 수령의 의사표시가 인정되는 경우에 한하여 수령의무를 긍정하는 이른바 제한적 긍정설의 입장을 취하였고, 그 귀결로서 책임의 주체 또한 권리를 행사하여 객관적으로 운송물의 수령지위에 놓인 자에 한정되므로 담보 목적으로 선하증권을 소지하는 데 그치는 은행 등은 이에서 배제된다. 이때 운송계약의 당사자인 송하인의 책임은 그대로 존속하여 수하인의 책임과 부진정연대의 관계에 서므로, 수하인이 권리를 행사하지 않는 때에는 그 책임이 계약의 당사자인 송하인에게 귀속된다. 다음으로 반납지체료의 발생근거가 되는 컨테이너 반납의무는 선하증권 이면약관 등 약정에 기초하는데, 약관은 이에 동의한 당사자 사이에서만 효력을 가지므로 약관에 동의하지 않은 자에 대한 반납의무의 발생근거가 법률에 마련되어 있지 않다는 규율의 공백을 확인하였다. 한편 두 비용에 공통되는 법적 성질에 관하여는 이를 임대차의 차임이나 법정 특별보수가 아니라 채무불이행에 기한 손해배상액의 예정으로 파악함이 타당하다고 보았고, 그에 따라 예정액이 부당히 과다한 경우에는 민법 제398조 제2항에 의한 감액이 가능하며, 채권자인 운송인에게는 손해경감의무가 인정되고, 컨테이너의 반납이 사실상 불가능하게 된 이후의 반납지체료 누적은 컨테이너의 대체가액을 상한으로 제한된다는 해석론을 제시하였다. 또한 두 비용의 채권에는 상법 제814조 제1항이 정한 1년의 제척기간이 적용되되, 계속적으로 발생하는 채권의 특성을 고려하여 일자별로 발생하는 각 채권의 발생일을 그 기산일로 파악하는 판례의 법리가 타당함을 논증하였다.
나아가 이러한 쟁점이 국제적으로 공통되는 문제임을 확인하고 우리 법이 취할 방향을 모색하기 위하여 주요국의 입법례와 판례를 비교법적으로 검토하였다. 영국은 체화료 및 반납지체료를 약정손해배상(liquidated damages)으로 파악하면서 위약벌 법리의 재구성과 상업적 목적달성불능의 법리라는 판례 법리로 그 무한정한 누적을 통제하는 유형에, 미국은 연방해사위원회(FMC)의 인센티브 원칙과 2022년 해운개혁법(OSRA 2022)의 증명책임 전환 및 청구서 투명성 요건이라는 행정규제로 그 부과를 통제하는 유형에, 중국은 위약금 구성과 실제 손해의 130%·대체가액 1배라는 정량적 기준 및 2025년 개정 해상법을 결합한 유형에, 독일은 수령인의 권리와 그 행사에 연동된 의무를 운송법으로 정밀하게 규율하는 유형에 각각 해당한다. 여기에 로테르담 규칙 제43조와 일본 상법 등 그 밖의 외국법과 국제규범을 아울러 검토한 결과, 각국은 규율의 방식을 달리하면서도 과도한 부담의 통제와 책임주체의 합리적 한정이라는 공통된 방향을 보이고 있음을 확인하였고, 우리 법은 어느 단일 입법례를 그대로 도입할 것이 아니라 각 유형의 장점을 선별적으로 수용하는 규율방식을 채택함이 타당하다는 결론에 이르렀다.
마지막으로 이상의 해석론과 비교법적 검토를 토대로 개선방안을 해석론·약관·입법론, 세 영역으로 나누어 제시하였다. 해석론에서는 손해배상액의 예정이라는 성질결정을 출발점으로 민법 제398조 제2항의 감액과 손해경감의무를 작동시키되, 미국의 인센티브 원칙과 중국의 정량적 기준을 그 감액 판단의 실질적 척도로 활용할 것을 제안하였다. 약관의 차원에서는 약관규제법상 편입통제와 내용통제를 구분하여 요율·산정방식·무료사용기간의 투명성을 확보하고, 청구서 기재사항을 표준약관의 형식으로 표준화할 것을 제안하였다. 입법론에서는 수하인이 권리를 행사한 것을 전제로 의무와 책임을 인정하는 규율방식에 따라 상법 제802조의 개정을 제안하였다. 곧 화물의 도착 사실을 알지 못한 채 비용이 누적되는 실무를 바로잡도록 운송인의 도착통지의무를 명문화하고, 수령의무의 기준은 해석상 다툼의 여지가 없도록 '운송물의 인도를 청구한 자'로 명확히 정하며, 그 위반에 따른 체화료 청구의 근거를 마련하는 것이다. 다만 운임 등의 지급의무를 정하는 제807조 제1항은 그것이 지급의무를 현실의 수령에 연동시켜 육상운송편 제141조와 문언을 같이하고 그 해석이 판례로 확립되어 있으므로, 입법을 불가결한 사항에 한정하는 취지에서 개정 대상에서 제외하였다. 나아가 반납지체료에 관하여는 그 요율과 산정을 약관과 민법 제398조 제2항의 통제에 맡기는 것이 비교법적으로도 타당하지만, 약관은 이에 동의한 당사자 사이에서만 효력을 가지고 소유물반환의 일반 법리는 반납의 시기·장소와 지체의 기준을 정하여 주지 못하므로, 반납의무 그 자체의 발생근거는 법률에 두어야 한다고 보았다. 이에 운송인이 운송을 위하여 제공한 컨테이너를 수령한 자는 당사자 사이의 합의에 의한 때와 곳에서, 합의가 없으면 운송인이 지정하는 상당한 때와 곳에서 지체 없이 이를 반납하여야 한다는 근거규정(가칭 제807조의2)을 개품운송편에 신설하여, 약관에 동의하지 않은 선하증권 제3취득자에 대하여도 반납의무의 법적 기초가 미치도록 할 것을 제안하였다. 이로써 체화료와 반납지체료 모두에 관하여 의무의 발생근거는 법률이 정하고 비용의 액수는 약관과 법원의 통제가 담당하도록 나누는 구분이 일관되게 관철된다.
본 논문이 제시한 해석론과 개선방안이 컨테이너 체화료 및 반납지체료를 둘러싼 실무의 혼란을 줄이고 운송인과 화주 사이의 이익을 합리적으로 조정하며, 향후 상법 해상편의 정비에 작은 보탬이 되기를 기대한다.

The container is the transport unit that underpins international carriage of goods by sea today; by linking the carriage, handling, and storage of cargo through a standardized loading unit, it has dramatically enhanced the efficiency of logistics. Yet the container is at once a facility that the carrier provides for the convenience of carriage and an object that the cargo interest must return after stuffing the goods into it, taking it out of the terminal, and using it. Accordingly, where the period of its use exceeds the agreed free time, disputes frequently arise between carriers and cargo interests over the burden of demurrage and detention charges imposed for such excess use. In particular, as the scale of these charges surged in the wake of the post-COVID-19 logistics crisis, the related legal issues have been sharply contested both in Korea and abroad; nevertheless, domestic scholarship to date has largely been confined to case commentaries or fragmentary introductions of individual issues. Against this background, this thesis aims to systematically elucidate the legal relations surrounding container demurrage and detention at the levels of statutory interpretation, comparative law, and legislative reform.
As a premise for the discussion, the thesis first examines the legal status of the container and the legal framework of container transport. Where the container is supplied by the carrier, it bears the character of loading equipment for the stowage of the goods or of a part of the vessel, whereas where it is supplied by the shipper, it constitutes part of the goods themselves. On the premise of this dual status, the consideration for excess use of a container must be clearly distinguished according to the stage at which it arises: costs arising before the container leaves the carrier's sphere of control, such as the terminal, constitute demurrage, while costs arising after it has been taken out, during the stage in which the cargo interest possesses and uses it, constitute detention. Since the two charges arise at different stages and relate to different interests, they must be approached not as a single, undifferentiated concept but in a staged and differentiated manner; this distinction serves as the premise for all subsequent analysis.
On this premise, the thesis examines the individual issues from the interpretive standpoint of the current law, identifying the legal basis of each charge separately in accordance with the distinction between the stages at which they arise. First, as to the basis of demurrage: the situation in which demurrage accrues corresponds to the consignee's delay in taking delivery, that is, creditor's delay (mora creditoris); however, under the statutory-liability theory adopted by the prevailing view and the case law, the mere establishment of creditor's delay does not confer on the carrier a right to claim demurrage as damages against the consignee who has delayed acceptance. This thesis therefore locates the basis of the demurrage claim in the breach of the consignee's duty to take delivery of the goods (Article 802 of the Commercial Act) — a duty that becomes concrete when the consignee, having acquired rights over the goods under Article 140 (Article 815) of the Commercial Act, exercises those rights, for instance by demanding delivery — in other words, in non-performance of an obligation. As to the existence of the duty to take delivery, recognizing it broadly against consignees in general could lead to unjust results; the thesis therefore adopts the so-called limited-affirmative view, which affirms the duty only where an exercise of rights, including a demand for delivery, or a declaration of intent to take delivery is established. As a corollary, the persons liable are confined to those who, by exercising their rights, have objectively come to stand in the position of receiving the goods, so that a bank that merely holds the bill of lading for security purposes is excluded. The liability of the shipper, as a party to the contract of carriage, subsists alongside and stands in a relationship of quasi-joint and several (untrue joint) liability with that of the consignee, so that where the consignee does not exercise its rights, liability rests with the shipper as the contracting party. Next, as to the basis of detention: the duty to return the container rests on agreement, such as the clauses on the reverse of the bill of lading; but since standard terms bind only the parties who have assented to them, the thesis identifies a regulatory gap in that no statutory basis exists for a return duty owed by persons who have not assented to such terms. As to the legal nature common to both charges, the thesis concludes that they are properly characterized not as rent under a lease or as statutory special remuneration, but as liquidated damages for non-performance. It follows that where the stipulated amount is unduly excessive, it may be reduced under Article 398(2) of the Civil Code; that the carrier, as creditor, owes a duty to mitigate its loss; and that the accrual of detention after the return of the container has become practically impossible is capped at the container's replacement value. Furthermore, both claims are subject to the one-year exclusion period under Article 814(1) of the Commercial Act, and the thesis demonstrates, in view of the continuously accruing character of these claims, the soundness of the case-law rule that the period runs from the date on which each daily claim arises.
To confirm that these issues are common internationally and to seek the direction Korean law should take, the thesis then undertakes a comparative review of the legislation and case law of major jurisdictions. England represents the model that characterizes demurrage and detention as liquidated damages and controls their unlimited accrual through case-law doctrines — the reformulated penalty rule and the doctrine of frustration of the commercial purpose. The United States represents the model of administrative regulation, controlling the imposition of such charges through the Federal Maritime Commission's incentive principle and the burden-shifting and invoice-transparency requirements of the Ocean Shipping Reform Act of 2022 (OSRA 2022). China represents a model combining a liquidated-damages construction with quantitative benchmarks — 130% of actual loss and one times the replacement value — together with the 2025 revised Maritime Law. Germany represents the model that precisely regulates, through its transport law, the consignee's rights and the duties linked to their exercise. Considering, in addition, Article 43 of the Rotterdam Rules, the Japanese Commercial Code, and other foreign laws and international instruments, the review confirms that, despite their differing regulatory techniques, these jurisdictions share a common direction: controlling excessive burdens and reasonably limiting the persons liable. The thesis concludes that Korean law should not transplant any single foreign model wholesale, but should adopt a regulatory approach that selectively incorporates the strengths of each.
Finally, building on the foregoing interpretive and comparative analysis, the thesis presents proposals for improvement in three areas: interpretation, standard terms, and legislation. At the level of interpretation, taking the characterization as liquidated damages as its starting point, the thesis proposes activating the reduction under Article 398(2) of the Civil Code and the duty to mitigate, while employing the U.S. incentive principle and the Chinese quantitative benchmarks as substantive yardsticks for the reduction analysis. At the level of standard terms, it proposes distinguishing between incorporation control and content control under the Act on the Regulation of Terms and Conditions, securing transparency as to rates, calculation methods, and free time, and standardizing the particulars to be stated in invoices in the form of standard terms. At the level of legislation, it proposes amending Article 802 of the Commercial Act in line with the regulatory approach that recognizes duties and liability on the premise of the consignee's exercise of rights: codifying the carrier's duty to give notice of the cargo's arrival, so as to correct the practice whereby charges accumulate while the consignee remains unaware of the arrival; defining the standard for the duty to take delivery unambiguously as "the person who has demanded delivery of the goods," leaving no room for interpretive dispute; and providing a statutory basis for demurrage claims arising from its breach. Article 807(1), which governs the duty to pay freight and other charges, is excluded from the scope of amendment — in keeping with the principle of confining legislation to what is indispensable — because it ties the payment duty to actual receipt of the goods, shares its wording with Article 141 of the land-carriage provisions, and its interpretation is settled by case law. As for detention, while it is comparatively sound to leave its rates and calculation to standard terms and to the control of Article 398(2) of the Civil Code, standard terms bind only assenting parties, and the general law of vindication of ownership does not supply the time and place of return or the standard of delay; the basis of the return duty itself must therefore be laid down by statute. The thesis accordingly proposes inserting into the chapter on carriage of general cargo a new foundational provision (tentatively Article 807-2), under which a person who has received a container provided by the carrier for the carriage must return it without delay at the time and place agreed between the parties or, absent such agreement, at a reasonable time and place designated by the carrier — thereby extending the legal foundation of the return duty even to third-party acquirers of the bill of lading who have not assented to the standard terms. In this way, the division of labor — the statute grounding the existence of the duty, while standard terms and judicial control govern the amount of the charges — is carried through consistently for both demurrage and detention.
It is hoped that the interpretations and proposals presented in this thesis will reduce the confusion in practice surrounding container demurrage and detention, reasonably adjust the interests of carriers and cargo interests, and make a modest contribution to the future revision of the maritime provisions of the Commercial Act.
