    1990년대를 전후하여 기업의 경영활동에서 나타난 가장 큰 패러다임의 변화는 기업 간 경쟁에 대한 인식의 변화라고 할 수 있다. 과거 경영학자들이나 기업 경영자들에 있어 가장 중요한 화두가 경쟁을 통한 지속적인 경쟁우위확보에 맞춰져 있었다면 최근에는 경쟁과 더불어 협력을 통한 상생의 전략개념(Win-Win strategy)으로 논점이 옮겨지고 있다. 이러한 인식의 변화에 힘입어 기업 간의 협력관계를 의미하는 전략적 제휴 또한 의미나 내용에 있어서 과거와 상당히 달라지고 있고 체결 건수 또한 급격히 증가하고 있다. 이에 따라 국내에서도 많은 연구들이 진행되어 왔으나 최근과 같이 형태면에서나 내용면에서 광범위하게 이루어지는 전략적 제휴를 설명하는데 한계가 있다. 특히, 전략적 제휴라는 기업의 의사결정이 기업가치에 어떠한 영향을 미치는가에 대한 실증적인 연구는 미흡한 실정이다. 따라서 최근 들어 한국기업과 외국 기업과의 전략적 제휴가 매우 활발하게 이루어지고 있으며 앞으로 더욱 늘어날 추세를 감안한다면 이에 대한 더 많은 연구가 진행되어야 할 것이다.
    본 연구는 1990년 1월에서 2003년 12월까지의 415개의 전략적 제휴 공시표본을 대상으로 외국기업과의 전략적 제휴 공시가 해당 공시 일을 포함한 사건기간에 기업의 초과수익률에 어떠한 영향을 미치는가를 분석하였다. 그리고 제휴 유형을 다양화하여 유형에 따른 초과 수익률 및 누적 초과수익률의 변화를 측정하여 그 의미를 해석하였다. 또한 해당 기업의 누적 초과수익률에 영향을 미칠 것으로 예상된 다양한 재무변수들을 수집하여 이를 분석함으로써 다양한 재무 변수들과 기업의 누적 초과수익률 간의 관계를 규명하고자 하였다.
    연구결과 첫째, 전체 표본을 대상으로 분석한 결과 유의한 정(+)의 초과 수익률을 보이는 것으로 나타나 전략적 제휴의 공시가 투자자들에게 기업의 효율성을 높여주는 전략적 대안으로 평가받는 것으로 해석된다. 둘째, 표본을 다양한 관점에서 분류하여 유형에 따른 차이를 분석한 결과 대체로 유형에 따라 공시효과에 차이가 있는 것으로 나타났으며 특히, 기술관련 제휴와 시장관련 제휴가 결합된 유형에서 가장 높은 평가를 받는 것으로 나타났다. 셋째, 기업가치에 영향을 미치는 요인으로 토빈의 Q(기업의 경영능력의 대용치)와 제휴 상대방 기업과의 문화적 거리 변수가 유의한 변수로 나타났으며 나머지 변수들은 유의하지 않거나 일부 모형에서만 유의한 것으로 나타났다.
    이러한 연구결과를 바탕으로 볼 때, 외국 기업과의 전략적 제휴는 기업가치에 긍정적인 영향을 주며 전략적 제휴를 추진하고 있는 기업의 담당자들은 전략 수립 시, 기업의 궁극적인 목표인 주주 부의 극대화가 가능하도록 해당 기업에 대한 시장의 평가, 상대 기업과의 문화적 거리 등의 요인들을 고려하여야 할 것이다.

    Before and after the 1990s, the important change in the management paradigm is the change of recognition about the relationship among competitors. The most important issues to scholars or firm managers had been focused on the continuous competitive advantage through competition(Porter, 1980; 1986) until the 1990s, whereas the strategic concept has been recently changed to competition and Win-Win strategy through the mutual cooperation. In accordance with this change, strategic alliances which mean cooperation among firms have also changed their content as well as the meanings(Doz, Hamel & Prahalad, 1989) and the number of alliances have displayed steady increases as well(Kang & Sakai, 'STI working paper 2000').
    Nonetheless, there is little empirical study about strategic alliances dealing with Korean and foreign firms. Thus, the frequent alliances between Korean and foreign firms have been already made and in this context, the future increasing tendency is predicted, so it is necessary to conduct more empirical study.
    This study examined the wealth effect of 415 international strategic alliances from January, 1990 to December, 2003(14 years).
    The author set three research questions as follows and analyzed the stock market responses.
    First, in the case that a Korean firm announced publicly the strategic alliance with a foreign firm, does the firm yield abnormal returns(AR) on the event day?
    Second, does abnormal returns(AR) show any differences in dissimilar strategic alliance types?
    Third, what factors have influence on the variation of abnormal returns(AR) and cumulative abnormal returns(CAR)?
    To assess those research questions mentioned above, the event study method and analysis of covariance(ANCOVA) method have been applied here. In the event study which has been commonly used in financial studies, AR was measured by market model and CAR was calculated through cumulative AR from the first date to the end of the specific window such as W(-10~+10).
    The results of the event study are as follows.
    First, Korean firms' announcements of international strategic alliance(ISA) showed positive(+) AR and CAR and the values were statistically significant as well. Also, these phenomena presented the same results even in the case that the event terms were given differently such as W(-5~5), W(-3~3) and W(-1~1). Therefore, Korean firms' ISA can be considered that it enhances the wealth of the firms. This is coincident with the results from previous relevant researches((Mohanram & Nanda, 1996 ; Chan, Kensinger, Keown & Martin, 1997 ; Das, Sen & Sengupta, 1998 ; Jo & Oh, 1999 ; Kim & Park, 2002).
    Secondly, in terms of checking any changes by ISA announcement types, the announcement types showed that they have different influence on firms' value on the whole samples. When joint venture types and technology introduction types were divided and analyzed, the joint venture announcements were not significant but technology introduction announcements showed more AR than that of joint venture. However, when analyzing only newly-established incorporated firms which are located in abroad, the values of AR and CAR are all significant on both the event day and the following day. Therefore, in the case of joint ventures, we can conclude that investors will evaluate joint ventures more positively which have purposes to enter overseas markets.
    Next, when the total samples were classified on the basis of the Porter's method(1986), the results showed that most types except TD(technology development)-LO(logistics and operation)-MSS (market -ing, sales and service) type shown in <table 5-9> and <table 5-10> are positive(+) AR and CAR and the values are statistically significant as well. Especially high in TD-MSS type and when technology-related alliances and market-related alliances were divided based on Hagedoorn's method(1993), market-related alliances are more profitable in AR than technology-related alliances. This suggests that investors have more interest in market-related alliances than technology-related alliances and may also obtain higher evaluation when firms concurrently make a technology-related alliance and market -related alliance.
    Moreover, when analyzing divided high-tech firms and low-tech firms, the results presented that high-tech firms are more profitable than low-tech firms in AR and CAR and the difference is significant. This suggests that strategic alliances may be more important to keep continuous competitive advantage for firms operating in the high-tech industry.
    In addition, when classifying alliances with firms in the advanced countries and in the underdeveloped countries on the basis of a OECD member, the values are positive(+) but the difference between two types is not significant. And, when classifying firms under the basis of whether they are listed in the Korea Stock Exchange(KSE) or Korea Securities Dealers Automated Quotation (KOSDAQ) and analyzing them, the results suggest that firms which listed in the KSE are more profitable than firms which listed in the KOSDAQ and the difference is significant. These are considered to have been related to rise of fall of KOSDAQ market since 2000.
    Thirdly, by means of covariance analysis using specific variables, cultural distance(CD) variable measured by Kogut and Singh's method(1988) and Tobin's Q ratio(TQ) as proxy variable for the ability of firm are significant in all models. That is, investors may consider cultural distance from partner firms and the ability of managers as important variables. And, variables associated with free cash flows(FCF), level of intangible assets(IA), firm size(FS), level of diversification variable(DV), and market's attractiveness(MS) are partially significant. On the other hand, level of active relativity with alliance(RLT), country risk variable(CR), and inside ownership variable(OWN) are not significant in all models, so we can construe that presented hypotheses can be rejected.
    From the empirical evidence in this study, positive(+) AR and CAR are shown when Korean firms make strategic alliances with foreign firms and public announcements. That is, investors may think strategic alliances as strategic alternatives that can lead to obtaining the firm's efficiency and synergy effect. Also, it might be inferred that investors may make more positive evaluation on firms when firms make market-related alliances which can create actual future cash flow rather than simple technology transfer/introduction or production are made. Hence, in terms of the firm value maximization, firms' financial managers who consider strategic alliances will have to establish strategy regarding the cultural distance from partner firms and evaluation of investors about their firms in order to coincide with the ultimate target, that is, maximization of stockholder wealth.
