As society gradually becomes diversified and complicated, the concomitant disputes also become complicated and diversely changed. It has become difficult to settle these disputes smoothly only with the one-to-one party relations stipulated in the current Civil Procedure Law. The economic structure of mass-production and mass-consumption as in the contemporary society has massively caused damage to the group, in which realities the institutional reorganization to settle this problem is actually poor. If this is passed unsettled, both society and individuals at last come to get damaged.
Raising the transparency and healthiness of business management has long become the direction for our economic policy to proceed in the future. The principal cause for the Korean foreign exchange crisis resulting in bailout from IMF consisted in the fact that business firms depended heavily on debts such as bank loans for investment capital. It is requisite that business firms arm themselves with the transparency and healthiness of their business management in order to have the financial structure of competitiveness through equity capital-based fund-raising from these debt-based business management.
It has been discussed that one of the methods to achieve this goal is most urgent in the field of class action from a perspective of policy. The Securities Class Action Law would have a very great effect on society and could be a very innovative method to settle many problems uncontrolled by the existing system in a new way.
The introduction of the securities class action system necessarily contains the function of checking and monitoring the corporate decision-making through the increase of rights and interests of small shareholders. Accordingly, discussion over the introduction of the securities class action system carries the higher premise of the improvement of the corporate governance structure. Therefore, efforts have continually been made to enhance the transparency and healthiness of our economy for the years by introducing the class action system.
If our securities market is to continue developing, it is necessary to allow the corporate disclosure system to be thoroughly implemented and construct the system for investors to be able to receive relief easily on the other. This study was intended to investigate the example of foreign legislations, the selected party system as the collective dispute settlement system and the like in examining the securities class action system as the after-the-fact damage relief system and present a desirable alternative to problems such as false disclosure, dressed-up accounting and vexation which are the objects of major debate over the introduction of the securities class action system.
The class action system has been put before the Legislation and Judiciary Committee in July 23, 2003 and is under consideration at the National Assembly. For the class action system to be successful, it is necessary to institute the provisional court in charge of class action, introduce the damage compensation system and introduce the class action system as general law beyond the securities class action system.
It is thought that the will of subjects operating and applying the class action system is a key element in succeeding in operating it. It is thought that it is not an active, enterprising posture to refuse the class action system due to concern about the shrinkage of corporate management.
It would be necessary to establish and apply the class action system in a direction of minimizing the side effects arising from its application. It is necessary to implement our securities class action system as soon as possible and strive to have an active interest in proceeding to supplement and improving it with the open mind to match with the changing business management and economic environment.
