      • 중국 M&A의 실패사례에 관한 연구 -상하이자동차와 쌍용자동차의 M&A사례를 중심으로-

        본 논문은 중국 상하이 자동차와 쌍용 자동차의 합병사례를 통하여 중국기업들의 M&A과정에서 발생하는 문제점을 살펴보고 성공적인 M&A를 위한 방안을 모색하고자 하였으며, 중국기업의 성공적인 글로벌 M&A를 위해 고려하여야 할 요소로서 다음과 같은 결론을 도출하였다. 중국기업의 글로벌 M&A의 발전을 위해서는 국제시장의 통용되는 규칙을 준수해야 하는 것은 물론이고 다음과 같은 점들을 유념하여야 한다. 먼저, 인수합병 전 기업의 자기검진이 필요하다. 둘째, 확실한 인수합병 전략을 수립하라. 인수 시, 그 시장에서 획득할 수 있는 것이 무엇인가, 어떤 기업이 정말 필요한가를 명확히 알아야 한다. 인수합병 관련 법규를 확실히 알고 세밀히 연구해야 한다. 셋째, 인수합병의 방식을 결정해야 한다. 합병협상만으로 M&A가 종결되는 것이 아니라 인수합병은 M&A의 실질적인 시작이므로 장기적으로 이윤창출의 공동 목표를 실행하고, 안정적이고 현실적인 변혁의 방법을 통해 안정적인 관리 계획과 문제 해결체계를 구축해야 한다. This study is aimed to examine the concept of M&A and related theories and to analyze the case of SAIC's M&A of SSangyong Motor to look for the problems occurred in the process of M&A and the measures for a successful M&A. application of statistic data and existing literature was used as the research method. The construction of this study is as blow: In the introduction, the purpose and the method of this study were explained; in chapter 1 to chapter 2, the history and the trend of global M&A, the history and the trend of Chinese M&A, and M&A related theories (FDI theory, the basic theory of M&A, the strategic model of amalgamation, evaluation of target enterprise, analysis and selection of merger loan of multinational enterprise, integrated study of M&A) were described; in chapter 3, the M&A case of SAIC and Ssangyong Motor was analyzed. Regarding to the main cause of the failure of SAIC's M&A of Ssangyong, this study points that: (1)The analysis of Ssangyong which was SAIC's target enterprise was not thoroughgoing enough; (2)There was organizational mismanagement after the M&A; (3)The organizational and cultural integration between two companies has failed. It also suggested few measures for a successful M&A which are active government support, nurturing talent, and preparation of cultural integration of organization. However, this study has its limitation because: it only analyzed one case which made its problem related outcome restrictive; there was no analysis of successful case of M&A.

        A Fluorescent Recombinase Aided Amplification Assay for Detection of Babesia microti

        Babesia microti is one of the most common causative agents of babesiosis. A sensitive and rapid detection is necessary for screening potentially infected individuals. In this study, B. microti cytochrome c oxidase subunit I (cox1) was selected as the target gene, multiple primers were designed, and optimized by a recombinase-aided amplification (RAA) assay. The optimal primers and probe were labeled with fluorescein. The sensitivity of fluorescent RAA (fRAA) was evaluated using gradient diluents of the cox1 recombinant plasmid and genomic DNA extracted from whole blood of B. microti infected mice. The specificity of fRAA was assessed by other transfusion transmitted parasites. The analytical sensitivity of the fRAA assay was 10 copies of recombinant plasmid per reaction and 10 fg/µl B. microti genomic DNA. No cross-reaction with any other blood-transmitted parasites was observed. Our results demonstrated that the fRAA assay would be rapid, sensitive, and specific for the detection of B. microti.

      • Dual Focusing Ultrasonic Imaging Algorithm Based on Chirp-Coded and Adaptive Beamforming Combination

        According to the inherent deficiency of traditional beamformer on anti-noise and lateral resolution, this paper proposes a method based on the combination of Chirp-coded and adaptive dual focusing beamformer (CARDFB). Firstly, Chirp-coded technology is introduced to improve the transmitting average power, and then the dual focusing beamformer and adaptive beamformer are combined to obtain a higher quality beamforming signal. Finally, the signal filtered with matched filter is used for imaging. Experimental results indicate that the proposed CARDFB algorithm can achieve higher lateral resolution, better main-to-side lobe ratio and are more robust to noise compared with traditional dynamic focusing combined with adaptive focusing beamformer.

      • Lightweight and Ultrastrong Polymer Foams with Unusually Superior Flame Retardancy

        <P>High-performance flame-retardant materials are urgently needed to address outstanding issues that pertain to safety. Traditional flame retardants are toxic to the environment and/or lack the physical properties required for use in many contemporary applications. Here, we show that isocyanate-based polyimide (PI) foam, a flammable material, can exhibit unusually superior flame retardancy as well as, other excellent properties, such as being lightweight and displaying high mechanical strength, by incorporating red phosphorus (RP)-hybridized graphene. The covalent bonds formed between the graphene platelets and the PI matrix provide the resultant PI foam with a specific Young's modulus (83 kNm kg(-1)) that is comparable to or even higher than those displayed by state-of-the-art foams, including silica aerogels, polystyrene foams, and polyurethane foams. In addition, even a low content of the RP -hybridized graphene (2.2 wt %) results in an exceptionally higher limiting oxygen index (39.4) than those of traditional flame-retardant polymer-based materials (typically 20-30). The resultant PI foam also exhibits thermal insulation properties that are similar to that of air. Moreover, the RP -hybridized graphene is prepared using a one-step ball milling process in 100% yield, and does not require solvent or produce waste. The preparation of the flame-retardant PI foams can be scaled as the starting materials are commercially available and the techniques employed are industrially compatible.</P>

        Genistein Alleviates β-Amyloid-Induced Inflammatory Damage Through Regulating Toll-Like Receptor 4/Nuclear Factor κB

        Genistein (GEN), a major soybean isoflavone (SIF), might possess neuroprotective properties through its antiinflammatory activity. We hypothesized that GEN could prevent the inflammatory damage detected in C6 cells induced by β-amyloid peptides 25-35 (Aβ25-35). Accordingly, we evaluated the inflammatory damage induced by Aβ25-35 and the protective effect of GEN against Aβ25-35 in C6 cells. In our study, the C6 glial cells (rats glioma cell lines) were preincubated with or without GEN for 2 h following incubation with Aβ25-35 for another 24 h. Then, methylthiazolyl tetrazolium (MTT) assay was used to assess the cell viability. Immunofluorescence staining was used to identify the C6 cells. Inflammatory factors tumor necrosis factor (TNF)-α and interleukin (IL)-1β were analyzed by using enzyme-linked immunosorbent assay (ELISA). Western blot analysis and reverse transcription-polymerase chain reaction analysis were performed to assess the expression of Toll-like receptors 4 (TLR4), inhibitor of kappaB-alpha (IκB-α). The current results showed that GEN could alleviate Aβ25-35-induced cell apoptosis and prevent Aβ25-35-induced TNF-α and IL-1β release from C6 cells. In addition, GEN prevented Aβ25-35-induced upregulation of the gene and protein expression of TLR4, and GEN significantly upregulated the expression of IκB-α in C6 cells damaged by Aβ25-35. These results suggest that GEN can alleviate the inflammatory stress caused by Aβ25-35 treatment, which might be associated with the neuroprotective effect of GEN regulating the TLR4/NFκB signaling pathway.

      • Tuning the Surface Properties of Graphene Oxide by Surface-Initiated Polymerization of Epoxides: An Efficient Method for Enhancing Gas Separation

        <P>Here, we describe an in situ approach for growing polyepoxides from the surfaces of graphene oxide (GO) using a surface-initiated polymerization reaction. The polymerization methodology is facile and general as a broad range of epoxides carrying various functional groups have been successfully polymerized by simply adding GO powders in the epoxide monomers. The resultant polyepoxide grafted GO are found to show enhanced dispersibility in various common solvents and to exhibit increased d-spacing between the basal planes. In particular, grafting poly(2,3-epoxy-1-propanol) (PEP) to GO results in a composite (i.e., GO-g-PEP) that is dispersible in water and miscible with polyether block amide, i.e., Pebax MH 1657. Preliminary studies have indicated the membranes prepared using Pebax/GO-g-PEP composites exhibit enhanced CO2 permeabilities and selectivities in comparison to H-2, O-2, or N-2. The excellent performance in gas separation is attributed to the layered structure of the GO-g-PEP sheets with enlarged d-spacing and the functional groups present on the PEP chains grafted to the surfaces of GO sheets.</P>

        Toothpaste microstructure and rheological behaviors including aging and partial rejuvenation

        Toothpastes are mainly composed of a dense suspension of abrasive substances, flavors, and therapeutic ingredients in a background liquid of humectants and water, and usually exhibit complex rheological behaviors. However, the relationship between the rheology and microstructure of toothpaste remains to be studied. In this paper, three commonly used toothpastes, namely Colgate, Darlie and Yunnan Baiyao (Ynby), were qualitatively and quantitatively studied as soft glassy materials. We found that although the three toothpastes generally behaved in similar fashion in terms of rheology, each particular one was distinct from others in terms of the quantitative magnitude of the rheologcial properties including thixotropy, creep and relaxation, yield stress, and power-law dependence of modulus on frequency. In addition, the history-dependent effects were interpreted in terms of aging and rejuvenation phenomena, analogous to those existing in glassy systems, and Ynby seemed to result in greater extent of aging and rejuvenation as compared to the other two. All these differences in toothpaste rheology may well be attributed to the different microscopic network microstructures as observed in this study. Therefore, this study provides first evidence of microstructurebased rheological behaviors of toothpaste, which may be useful for optimizing its composition, manufacturing processing as well as end-user applications
