수출채권 매입금융에서 거래은행의 선적서류심사 상 면책의무에 관한 연구

본 논문은 수출채권 매입금융이 전 세계적으로 활성화됨에 따라서 전통적인 L/C방식에 의한 선적서류매입금융과의 실무적인 차이점을 밝히고 수출채권매입금융의 문제점을 이용한 금융사기거래를 사전에 방지하고자 그 대책을 제시하고자 하는데 목적을 두었다. 특히 최근에 우리나라에서 발생한 (주) 모뉴엘 사건을 중심으로 하여 그 사건 사례를 자세히 분석하고 이에 대한 국내법원의 판결을 소개함으로서 국내 무역거래에 종사하고 있는 실무자 및 금융기관, 보증보험공사 등의 방만한 실무처리에 대하여 문제점을 제시하고, 향후 이러한 사고가 발생되지 않도록 그 대응책을 제시하고자 한다. 특히 일반수출채권 매입금융은 L/C거래와는 달리 수출채권 발생 및 수출이행에 대한 철저한 사전조사와 검정이 있어야하고 이에 대한 서류에 의한 형식적인 심사에 거치지 않고 실질적인 조사의무가 금융기관에 있고 이를 간과한 은행에게는 서류심사에 대한 면책규정이 적용되지 않는다는 것을 판례를 통하여 검토하고자하였다. Purpose : Recently in the world trade, While the L/C transactions are getting to be decreased, on the other sider, the Financing of the Purchasing Export Receivables (FPE) by Open Account Transaction are getting to be increased, day by day and the crimes of that kind financing are raised upward. Therefore in this study, the Bank’s responsibility from the shipping documents investigation of foreign trade in the Financing of FPE on O/A transaction are stressed to be strengthened. This kind of Bank’s responsibility are tried to be studied by reviewing and investigating the recent domestic case and sentences by our courthouse. Research design, data and methodology : This paper reviewed and analyzed the recent cases occurred in our country and the sentences of our courthouse against that cases, the Monuel case, and also the Banking practice of that kind financing are to be investigated. Results : As the results of above mentioned studies, the court of appeal in our country decided that the dealing Banks are responsible for the mis-investigating of contractual conclusion in that case in which case was the fraud deal by use of the false documents, not conducting the actual export transaction by exporter in Hong Kong. Conclusions : The Financing of Purchasing the export receivables by Open Account transaction was found to be very risky and dangerous and to be investigated it’s contractual conclusion by the Bank, through the substantial method, noy by the formal method as in L/C transaction
A Modern View of Contract Interpretation

Though the great majority of jurisdictions require a finding of ambiguity before or after considering extrinsic evidence, some secondary authorities would not. Chief among them are Corbin and Fansworth, the Restatement (Second) of Contracts, and the Uniform Commercial Code. As long as the matter of interpretaion of the relevant contract is concerned, Corbin opposed any need for a court to find an ambiguity before or after considering extrinsic evidence of subjective intention. This means that no such finding is needed when the extrinsic evidence concerns what the parties both have attached to the specific meaning. In Nanakuli, the court adopted Corbin’s subjective view in deciding the case under the Restatement(Second) of Contracts as well as the UCC.
