국제합작투자의 법적문제 연구- 중국과 인도를 중심으로

국문 초록 (Abstract)

기업을 운영하는데 있어서 생산물과 서비스를 적절히 공급하는 것은 중요한 문제이다. 최근에는 많은 사업자들이 이러한 생산품과 용역을 제공하기 위하여 회사를 창업하고 있다. 회사는 이익을 창출하기 위하여 제한된 인적, 물적 자원을 효율적으로 이용하기 위한 노력을 한다. 이러한 노력으로 일환으로 특별한 비즈니스 목적을 수행하기 위해서 다른 개인과 사업을 전략적으로 연합하기도 한다. 합작투자는 “공공의 이익을 추구하기 위해서 단일 사업을 수행하고 종사하기 위해 계약에 의한 사람들의 연합”으로 정의되고 있다. 국제투자합자는 단독투자와는 달리 외국에서 현지의 파트너와 공동으로 사업을 영위할 것을 목적으로 현지의 기업에 출자하는 것이다.
국제합작투자회사를 설립하는 것은 단독투자에 비해 현지 파트너와 사업위험을 분담할 수 있으며 서로 강점이 있는 기술, 자금 등 자원들을 공유 또는 교환할 수 있는 많은 장점을 가진다. 현지사정에 능통한 파트너와 공동사업을 수행함으로써 현지 진출, 시장 개척에 따른 위험을 줄일 수 있는 이점이 있다. 그러나 서로 다른 문화로 인하여 어려움에 처하기도 한다.
실무상 유의점으로 합작투자의 목적을 분명히 하여야 하고 현지 파트너에 대한 조사도 필수적이다. 배당의 문제, 회사 지배구조의 문제, 준거법 등 분쟁 발생시 해결 방안등 구체적인 계약서를 만들어 대비해야 한다.

Nowadays, these products or services are provided by business entity who organize, manage and assume the risk of starting businesses mainly for earning profit. Business makes the best possible use of scarce resources such as men, materials and machines for the production of goods. One of such ways carrying out a business is by making a strategic alliance with one or more people for the purpose of executing a particular business undertaking. A "joint venture" is generally an association of persons by way of contact to engage in and carry out a single business adventure for joint profit, combining their efforts, property, money, skill and knowledge without creating a partnership or a corporation)
There are many advantages of forming a International Joint Venture over the conventional form of carrying on business such as providing companies with the opportunities to gain new capacity and expertise, access to greater resources and capital especially in terms of technology, sharing of risks with the local partners.
