독점 라이센시(exclusive licensee)의 법적 지위에 관한 고찰

국문 초록 (Abstract)

지식재산권은 타인의 권리를 침해하지 않는 범위 내에서 해당 권리를 독점적으로 실시할 수 있고 제3자의 침해행위를 금지할 수 있으므로, 민법상의 물권에 준하는 성격을 가지고, 그 결과 공시의 원칙에 따라 특허청에 대한 설정등록이 효력발생요건으로 규정되어 있다. 독점 라이센스(전용실시권, 전용사용권 등)의 경우에도 독점적 실시권한 및 소송권한이 인정되므로 이러한 물권적 성격을 감안하여 공시의 원칙에 따라 특허청에 대한 설정등록을 효력발생요건을 규정하는 것이 타당할 것이다. 이와 달리, 미국의 경우에는 독점 라이센시에게 원칙적으로 제3자의 침해행위에 대한 소송권한을 부여하지 않으며, 특허청에 대한 설정등록은 제3자 대항요건에 불과하다. 또한, 미국의 과세기준에 의거하여 일정한 경우에는 독점 라이센스를 권리의 양도로 보는 경우도 발생할 수 있다. 이와 같이, 독점 라이센스는 국가별로 그 성격에 차이가 있을 수 있다. 따라서, 국제간 독점 라이센스 계약을 체결하거나 국제간 협약을 하는 경우에는 각 국가별 제도의 차이를 면밀히 고려하고 이를 계약이나 협약에 적절하게 반영함으로써, 우리나라 제도의 통일성을 유지하고 예상치 못한 혼동이 발생하지 않도록 하여야 할 것이다.

다국어 초록 (Multilingual Abstract)

The intellectual property right illustrating real right is effectuated by registration to the Korea Intellectual Property Office, because the owner of right has the right to practice solely and to exclude third infringer from using the right. It is proper that the exclusive license also is effectuated by registration to the Korea Intellectual Property Office because it has the right to practice solely and to exclude third infringer. Otherwise, principally in the America, exclusive license does not have the right to apply for injunction and the registration is only the requirement for setting up against third party. Moreover, the exclusive license may be considered as assignment in the specific circumstances in according to the America tax rule. Likewise, exclusive license may have diverse characters from country to country. Therefore, it is desirable to examine thoroughly the differences between countries and to apply the result of it to the international contract or agreement. It will reduce the risk of unpredicted confusion and retain the unity of domestic rules.
