This study reframes “tax risk”—conventionally treated as a technical, ex post matter of tax administration—as essential information that must be explained to consumers at the point of sale, and as an independent source of information asymmetry. Even where alternative investment products such as ELS are marketed under intuitive names, their actual after-tax returns vary substantially with the product's legal form, listing market, income classification, and taxable base price. Consumers thus readily mistake pre-tax returns for effective returns, giving rise to disputes over the duty to explain and mis-selling under the FCPA.
The study first demonstrates that tax-related information asymmetry constitutes an axis independent of conventional asymmetry concerning product structure, since tax risk is not resolved by product disclosure alone but materializes only when a product's legal form combines with the investor's own tax position.
On this basis, it makes three contributions. First, applying three criteria—influence on decision-making, ascertainability at the point of sale, and information asymmetry—it argues that a defined subset of tax risk falls within the “material matters” subject to the duty to explain. Second, through five hypothetical cases grounded in current tax legislation (domestic and overseas listed ETFs, U.S.-listed commodity PTPs and dividend ETFs, covered call ETFs, choice of account type, and the linkage between comprehensive taxation of financial income and health insurance contributions), it shows structurally how tax risk translates into mis-selling. Third, it proposes substantiating tax information in product disclosure documents, a tax risk checklist linked to firm-wide internal controls, and reasonable limits to seller liability.
The findings suggest that financial consumer protection should extend beyond conventional investment risk to encompass tax risk. Quantitative analysis of actual disputes and of explanation gaps at the point of sale lies beyond this study's scope and is left for future research.
