In American law, the Homeowners' Association (hereinafter “HOA”) has made the administration of Common Interest Communities (hereinafter “CIC”) possible. Though formed as a private nonprofit corporation, it exercises within the CIC broad decision-making powers comparable to those of a local government, at times overriding or restricting the rights of individual homeowners. This article examines two issues. The first is how to account for the fact that an HOA's Covenants, Conditions & Restrictions (hereinafter “CC&Rs”) apply as a matter of course to a transferee of individually owned property within the CIC. The second is how the restriction of homeowners' rights by an HOA should be controlled, both legislatively and judicially. As to the first issue, American law has traditionally accorded a proprietary character to such arrangements through the common-law doctrine of real covenants and the equitable doctrine of equitable servitudes, whereby one's status as a party passes to the transferee together with the property interest. This account alone, however, cannot justify the automatic application of the CC&Rs; the transferee must be afforded an opportunity to ascertain their content before acquiring the property. In several states where CICs have developed, statutes provide procedures to that end. As to the second issue, American case law has developed standards of review distinctive to HOA disputes, including the reasonableness doctrine governing CC&Rs and a doctrine of judicial restraint premised on the good faith of the board's decisions. Where case law alone proves inadequate, concrete and detailed statutes tend to emerge. This shows that the legal regulation of HOAs is evolving so as to mediate the tension between private autonomy and the protection of ownership.
