지식재산담보권의 실행과 우선순위에 관한 개선안 = Proposals to Improve the Enforcement and Priority of a Security Right in Intellectual Property

Republic of Korea enacted “Act on Security over MovableProperty, Claims, etc” in 2010 and security rights in intellectualproperty is also governed by this Act. By allowing registration of two ormore intellectual property rights used as security for the same credit,this Act enhances the value of intellectual property rights as security forcredit and allows intellectual property owners and other intellectualproperty rights holders to make credit more easily at a lower cost. ThisAct also provides that, among security rights in the same intellectualproperty, the right registered first has priority.
But this Act does not have further provisions with respect to theenforcement and priority of the security rights in intellectual property,and provisions of security rights in movable property and intellectualproperty rights acts are applied mutatis mutandis.
The UNCITRAL has adopted “UNCITRAL Legislative Guide onSecured Transactions” and “Supplement on Security Rights inIntellectual Property,” and they are providing guidance with respect tothe creation, effectiveness against third parties, registry system, priorityand enforcement of the security rights in intellectual property.
Therefore understanding of the Legislative Guide and Supplementof the UNCITRAL would be very much useful for the interpretationand application of the relevant provisions of the Act with respect to theenforcement and priority of the security rights in intellectual property. Furthermore, it would be desirable to consider the adoption of theextrajudicial disposition, rights to the payments of royalties, and conceptof ordinary course of business.

국문 초록 (Abstract)

지식재산권을 담보로 활용한 금융기회의 확대는, 채무자의 채무불이행시 채권자가 지식재산담보권을 실행하여 채권을 확보하는 과정까지 원활히 이루어질 것이 보장되어야만 가능할 것이다. 그러나 현행“동산·채권 등의 담보에 관한 법률(이하“담보법”이라 한다)”은 지식재산담보권의 실행과 우선순위에 관하여는 원칙적인 규정만을 두고 있을 뿐 구체적인 내용은 관련 법규들의 준용과 해석에 맡겨두고 있다.
유엔국제상거래법위원회(UNCITRAL)는“담보거래 입법지침(이하“입법지침”이라 함)”을 2007년 채택하였고, “지식재산담보권에 관한 담보거래 입법지침부속서(이하“부속서”라 함)”를 2010년 채택하였는바, 입법지침과 부속서는 지식재산담보권의 설정, 제3자 대항력, 등록, 우선권, 실행 등에 관한 상세한 기준을제시하고 있다.
필자는 지식재산담보권의 실행과 우선순위와 관련하여 문제가 제기될 수 있는상황별로 담보법, 지식재산권 관련법규, 입법지침, 부속서의 비교법적 검토를 통하여 담보법 적용상의 문제점에 대한 해석 및 개정방향까지 제시하였는바, 특히사적처분을 통한 처분, 로열티 수령권한 담보제공, 통상적 사업활동에 기한 우선순위 예외 등에 대한 검토는 매우 중요하다.
이러한 제안에 기초하여 앞으로 지식재산담보권의 실행과 우선순위에 관한 보다 깊이 있는 논의가 실무와 병행하여 이루어지기를 바라고, 이러한 논의들이 추후 담보법 지식재산담보권 부분의 개정 과정에서도 활용될 수 있기를 기대한다.
