中国远洋集团和中国海运集团合并案例的研究 = A Case Study on the Merger of COSCO and CHINA SHIPPING

With the development of economics globalization and the tendency of informatization, the industry of international container shipping accelerates the process of intensification. Many international container shipping companies are seeking the higher development in the competition and strengthen the international competitive power in order to hold more shares in the market of the international container. The global economic is now entering the stage of slow development and shipping industry is experiencing unprecedented winter, how to maintain the profit in the shipping market periodic cycle return and get further development is an important reason that all shipping companies need to solve.
Firstly, this paper elaborates the theoretical review for container shipping enterprise alliances and mergers and acquisitions, followed by analyzes briefly the present situation of international container market, Secondly, the paper studied on the case of asset reorganization of COSCO and CHINA SHIPPING, analyze causes and items and scale of the asset reorganization.
On the bases of the research of the case study, we can find the success of CHINA COSCO SHIPPING CORPORA LIMITED is to devote itself to reorganize specialization and scale expansion. From the new big position of the new group had got, it can enlarge market share. Finally, under the current situation of the world shipping market depression, give some suggestions to the development of China's container shipping companies.

국문 초록 (Abstract)

경제 국제화와 정보화의 발전에 따라 국제 컨테이너해운기업의 집약적인 발전 추세를 촉진되고 있다. 어떻게 치열한 경쟁의 가운데에 더 발전하는지 어떻게 기업의 경쟁력을 강화하여 해운시장에서 더 많은 점유율을 차지할 수 있는지, 그리고 전 세계 경제가 침체하는 가운데, 해운시장에서 유례없는 침체시기를 직면하고 있는 이 시기에, 발전을 유지하면서 더욱 잘 발전할 수 있는 방법을 모색하는 것은 모든 해운기업이 해결해야 하는 과제이다.
이 논문은 먼저 컨테이너해운기업의 연맹과 합변을 이론적으로 설명했다. 그 다음은 국제 컨테이너해운시장의 태세를 간략하게 분석했다. 그리고 중․코스코차이나쉬핑 그룹을 중심으로 연구하여 중․코스코차이나쉬핑과 중․차이나쉬핑은 합병하는 원인, 합병하는 사항과 규모를 나열하였다.
사례 연구결과에 따라 중․코스코차이나쉬핑은 재조직의 성공 점은 재조직 과정에서 전문화 (합병의 4가지 사항에 따라 알 수 있음)가 뛰어나기 때문이다. 뉴 그룹이 업무상에 규모화를 통해 시장에서 발언권이 얻었다. 마지막에 중․코스코차이나쉬핑 사례에 따라 얻은 계시를 통해 중국 컨테이너해운기업에게 합병해서 재조직, 규모경제와 해운연맹은 피동적인 선택에서 주동적인 선택으로 전병 등 방면에 제언을 하였다.
