매매는 동서고금을 막론하고 재화의 교환을 위해 사용되어 온 계약유형이다. 로마법상 매매(emptio venditio)는, 몇 가지 법리에 있어서는 우리 민법과 차이를 보이지만, 기본적인 규율에 있어서는 우리 민법을 비롯한 근대 민법전상의 매매법에 큰 영향을 주었다. 로마법률가들은 매매에 관한 법리들을 정교하게 개발하였고, 그것이 로마법대전 중 고전기 법학자들의 학설들을 집대성한 학설휘찬(Iustiniani Digesta)에 전승되고 있다. 특히 소권법체계를 취하고 있는 로마에서는 매매소권의 적용례를 살펴볼 필요가 있는데, 학설휘찬 제19권 제1장(D.19.1 R.De actionibus empti venditi)이 이에 관한 중요한 사료처에 해당한다. 본고에서는 학설휘찬 제19권 제1장에 수록된 매매 사안들을 중심으로 로마법상 매매계약을 따른 매도인과 매수인의 의무 및 책임의 범위를 살펴보고, 이를 우리 민법의 태도와 비교하였다.
학설휘찬 제19권 제1장에 수록된 개소들을 검토한 결과, 매매의 목적물과 관련해서는 건물이나 토지(농지, 나대지)와 같은 부동산 매매는 물론이고, 노예, 가축, 그릇(vas), 포도주와 같은 동산 및 권리(가령 통행지역권), 나아가 이득기회의 매매(emptio spei, 희망매매) 등의 다양한 사안들이 다루어진다. 특히 농장이나 건물과 같은 부동산 매매에 있어서는 매매대상에 포함되는 물건의 범위가 상세하게 논해진다. 상대방의 이행의무를 담보하기 위하여 문답계약이 별도로 체결되는 경우도 있지만, 그밖에 매매계약 체결과정에서 각종 보장 및 부수약정의 소권법적 처리는 성신소송에 속하는 매매소송에서 매매소권 안에 다루어지는 점이 특징이다.
매수인이 매도인을 상대로 행사하는 매수소권에서는 매도인의 급부의무 내용과 아울러 유책판결시 금전배상원칙(omnis condemnatio pecuniaria)에 따라 가액산정의 기준이 되는 장소와 시점이 문제된다. 한편 로마법상 매도인은 추탈담보원칙에 따르고, 이에 따라 매도인은 목적물에 대한 소유권이전의무를 부담하지 않지만, 매수인은 금전에 대한 소유권이전의무를 부담한다. 매도인이 매수인을 상대로 행사하는 매도소권에서는 매수인이 이행기일에 대금을 지급하지 않는 경우 지연손해금으로서 금전에 대한 이자가 가산된다. 이러한 구체적인 사안들에 대한 분석과 검토를 통해 고대 로마 사회의 매매의 현실과 함께 관련 법리의 발전과정을 파악할 수 있다.
매매계약이 낙성계약으로 구성되고, 대금지급이 필수요건이며, 당사자 간의 의무판단의 기준이 성신(bona fides)이고 그에 따라 다양한 부수약정이 매매소송에서 고려될 수 있다는 점, 그리고 매도인의 하자담보책임과 관련한 법리의 발전은 후대에 남긴 로마 매매법의 유산들에 속한다. 물론 낙성계약으로 구성되었음에도 여전히 현실매매를 기초로 한 법리가 유지되고 있음은 로마 매매법의 한계로 지적되지만, 다른 한편으로는 거래 현실을 반영한 법리라고도 평가될 수 있다. 중세 이래 거래 현실을 반영한 종류매매 법리가 등장하고, 근대 민법전에서는 위험부담법리가 변경되는 등 로마 매매법은 민법과는 많은 차이를 노정하게 되었지만, 민법상 매매법이 로마법의 흔적을 간직한 채 ‘팔림프세스트(palimpsest)’되어 축조되었다는 점에서 로마 매매법을 여전히 주목할 필요가 있다.

A sales contract has been used throughout history to exchange goods. While the Roman law of sales contract (emptio venditio) differs from Korean civil law in some respects, its fundamental regulations have significantly influenced to Korean law of sales. Roman jurists elaborated legal principles and rules in sales contracts, which are preserved in the Iustiniani Digesta, a compilation of the legal theories of classical jurists. In particular, in ancient Rome, which adopted the law of action, it is necessary to examine the application case of the actions of sale. This article examines the scope of the seller’s and buyer’s obligations and liabilities under a sales contract in classical Roman law, focusing on cases in D.19.1, and compares this with Korean civil law to explore some implications.
A review of the cases shows that the subject matter of a sale encompasses not only real estate such as buildings and land (farmland, vacant land), but also personal property such as slaves, livestock, vessels (vas), and wine, as well as rights (e.g., passage rights), and opportunities for profit (emptio spei). In particular, the scope of items included in the sale of real estate, such as farms and buildings, is discussed in detail. A stipulatio is sometimes separately concluded to secure the other party’s performance, on the other hand, various guarantees and agreements are made in the process of concluding the contract. The important point is that a sales contract is a type of contractus bonae fidei, and therefore the obligations of the parties were judged based on bona fides. The examination of these specific cases will help us understand the realities of sales in ancient Roman society and the development of related legal doctrines.
The fact that a sales contract is a consensual contract, that payment of the purchase price is an essential requirement, that the standard for judging the obligations between the parties is bona fides, and the development of legal principles regarding the seller’s liability for latent defects belong to the legacy of Roman sales law. Of course, the fact that legal principles based on cash sales are maintained despite being composed of consensual contracts is often criticized as a weak point of Roman sales law; however, it can also be seen as reflecting the reality of transactions. Although Roman sales law has come to show many differences from modern sales law—such as the emergence of legal principles of generic sales since the Middle Ages and the modification of Roman risk rule in modern civil codes—the sales law under civil law remains worth studying in that it was constructed as a palimpsest while preserving remains of Roman law.
