    2005년 12월 7일 공정거래위원회는 마이크로소프트사가 독점규제및공정거래에 관한 법률(“공정거래법”)을 위반하였다는 이유로 시정명령과 과징금 325억원을 부과하였다. 공정위의 마이크로소프트사건 결정은 우리나라 공정거래법의 역사를 새로 쓴 하나의 사건일 뿐만 아니라 국제경쟁법적 관점에서도 상당한 의의가 있다.
    첫째 종래 경제학적 및 법적으로 끼워팔기의 위법성에 대하여 다양한 논의가 있었으나 EU의 2004년 결정의 예를 좇아 끼워팔기에 대하여 합리의 원칙(rule of reason)을 적용하여 그 경쟁제한성을 구체적으로 판단하였다는 점이다.
    둘째 위 EU의 마이크로소프트사건결정은 끼워팔기에 대하여는 Window Media Player(“WMP”)와 관련된 끼워팔기의 위법성을 확인하는데 그쳤으나 공정위의 결정은 WMP 이외에도 Window Media Server(“WMS”) 및 Instant Messenger(“IM”)의 끼워팔기에 대하여도 그 위법성을 각각 인정함으로써 마이크로소프트의 제품통합(product integration) 논리의 문제점을 재확인하였다는 점이다.
    셋째 EU의 시정조치에 비하여 실질적인 유효경쟁을 실현하기 위하여 상당히 강력한 시정조치가 채택되었다. 즉 공정위의 시정조치는 WMS의 끼워팔기에 대해서는 분리된 서버운영체제만을 판매하도록 하였고, WMP와 IM에 대해서도 탑재된 PC운영체제의 판매할 경우에는 경쟁사의 제품에 대한 링크가 포함되어 있는 미디어/메신저센터(Media/Messenger Center)를 의무적으로 설치토록 하여 소비자들이 이를 통하여 경쟁제품에 쉽게 접근할 수 있도록 하였다는 점이다.
    넷째 법적용의 측면에 있어서도 시장지배적 지위남용이 매우 다양한 방식으로 행하여 진다는 점에 착안하여 미국 및 EU의 예에서와 마찬가지로 우리나라 공정거래법상의 시장지배적 지위남용 규정을 탄력적으로 해석하였다는 점이다.
    공정위의 마이크로소프트 결정은 공정거래법에 관한 오랜 집행경험을 갖고 있는 미국과 EU에서 확립된 끼워팔기에 대한 법리를 다수 인용하여 마이크로소프트의 끼워팔기의 위법성을 재확인하였다. 결국 공정위의 마이크로소프트결정은 미국과 EU의 경쟁법의 법리가 국가간의 법리적 의사소통(transjudicial communication) 에 의하여 전파되어 지고 있는 과정을 극명하게 보여준다는 점에서 국제경쟁법적 의의가 크다고 하겠다. 공정위의 마이크로소프트사건 결정과 같이 법제적이고 공식적인 조화에 대신하여 공정거래법의 연성적인 국제적 조화(soft harmonization) 가 간단없이 이루어지고 있다는 사실에 주목할 필요가 있다.

    On December 7, 2005, the Korea Fair Trade Commission(“KFTC”) imposed a corrective order and an administrative fine of 32.5 million Korean won on Microsoft Corporation for violation of the Monopoly Regulation and Fair Trade Act(“MRFTA”). The KFTC’s decision in the Microsoft case not only adds a new chapter to the history of MRFTA but is also meaningful in the context of international competition law.
    First, while there had been much debate, both economic and legal, about illegality of tiein sale, the KFTC issued a ruling against Microsoft by applying the rule of reason to the tie-in-sale in line with the EU’s 2004 ruling on Microsoft.
    Second, whereas the EU’s ruling was limited in scope to an affirmation of the illegality of Microsoft’s tie-in sale concerning Windows Media Player(“WMP”), the KFTC’s decision re-established the logical deficiency of Microsoft’s product-integration argument by also acknowledging the illegality of Microsoft’s tie-in sale with respect to Windows Media Server(“WMS”) and Instant Messenger(“IM”).
    Third, in comparison to the EU decision, the KFTC decided on a more rigorous corrective order in order to implement a substantively effective competition. On the one hand, the corrective order required that Microsoft separate WMS from the server operation system in its product offering. With respect to PC’s pre-installed with WMP and IM, the corrective order facilitated consumers’ access to competing products through mandating the installation of a Media/Messenger Center containing the links to competing products when it decides to release a bundled version.
    Fourth, with regard to the application of competition law, the KFTC took a more teleological approach in interpretation of the regulations on abuse of market-dominant position, as exhibited by the authorities in the U.S. and EU, due to the wide range of the actual abuse.
    Thus, the KFTC’s decision in the Microsoft case reaffirmed the illegality of Microsoft’s tie-in sale by applying the relevant legal principles established in the U.S. and EU over the course of their extensive experience in competition law. Ultimately, the decision holds great significance for its clear illustration of the process whereby the legal principles concerning competition law are spread from the U.S. and EU to other countries through “transjudicial communications.” Furthermore, it is to be noted that the KFTC decision exemplifies the “soft harmonization”-in place of a legislative and formal integration-of competition laws now taking place at the international level.
