Managerial Litigation Risk and Corporate Social Responsibility : Evidence from a Change in Nevada’s Corporate Law

국문 초록 (Abstract)

우리는 경영소송 위험이 기업의 사회적 책임 (CSR) 투자에 미치는 영향을 조사하고자 한다. CSR과 관련된 내생성 문제를 완화하기 위해 경영자들의 법적 책임을 크게 낮추는 2005년 네바다 기업법의 변화를 이용하여 차이의 차이 (Difference-in-Differences) 연구 방법을 사용하여 분석을 진행하였다. 그 결과, 우리는 네바다주에 설립된 기업들이 기업법의 변화로 인하여 경영자들의 법적 책임 위험이 낮아지자 CSR을 눈에 띄게 증가시 켰다는 사실을 발견하였다. 이는 잠재적인 소송으로 인한 외부 압력이 경영자들이 CSR에 투자하려는 유인을 낮춘다는 것을 시사한다. 소송 위험에 대한 이러한 징계 효과는 경영자 노동 시장의 유연성이 높거나 기업이 광범위한 언론 보도를 받을 때 더욱 두드러진다는 것으로 나타났다. 본 연구는 CSR의 또 다른 중요한 결정 요인 중의 하나를 추가하고 경영자들이 CSR 투자를 어떻게 보는지 살펴봄으로써 기존 문헌에 기여하고자 한다.

We examine the impact of managerial litigation risk on corporate social responsibility (CSR). To mitigate the endogeneity issues with respect to CSR, we use a difference-in-differences design to implement an exogenous change in Nevada’s corporate law in 2005 that significantly lowers managers’ legal liability. We find that firms incorporated in Nevada notably increased CSR after lowering the liability risk, suggesting that external pressure from potential litigation discourages managers from engaging in CSR. This disciplining effect of litigation risk is more pronounced when managerial mobility in the labor market is high, or firms receive extensive media coverage. Our study contributes to the literature by adding an important determinant of CSR and by examining how managers view CSR engagements.
