This study aims to diagnose the structural problems of the non-residential real estate (e.g., commercial buildings, officetels, and knowledge industry centers) sales agency market, which is currently facing a crisis due to prolonged high interest rates and the spread of unsold inventory, and to propose effective measures for consumer protection. The research findings confirm that while non-residential real estate inherently possesses the characteristics of an “Investment Good” similar to financial products, mis-selling is being structurally reproduced due to multi-tiered subcontracting structures and distorted performance-based incentive systems. In particular, this study identifies that the formation of an “Institutionalized Gray Zone”—a phenomenon where industrial codes were newly established by the 2024 KSIC revision but substantive legal regulations remain absent—is a key factor aggravating consumer damage.
Accordingly, this study analyzes the mechanism of market failure through the Principal-Agent theory and proposes an integrated Korean regulatory model by benchmarking the “investment solicitation regulatory systems” of advanced countries such as the U.S. and Japan. Specific policy alternatives include: 1) the introduction of a registration and qualification system for sales agencies (Entry Regulation); 2) the mandatory issuance of a standardized Investment Disclosure Statement (IDS) specifying the basis for return calculations (Conduct Regulation); 3) the implementation of an Escrow system combined with incentives such as reduced guarantee fees (Asset Protection); and 4) the establishment of a specialized dispute resolution body (Post-relief).
This study holds significant academic and policy-oriented value as it redefines the non-residential sales agency business as an “Investment Product Sales Business” rather than a simple sales activity. Furthermore, it serves as a comprehensive policy guidebook by incorporating the latest legislative trends, including the Ahn Tae-Jun Bill proposed in early 2026, which reinforces criminal penalties for coercive sales solicitations. Ultimately, this research provides the foundational legislative data necessary to enhance market predictability and restore consumer trust in the non-residential real estate sector.
