부동산의 사용․수익을 목적으로 하는 용익권과 채권담보수단인 저당권은 각자 독자적인 목적과 기능을 갖는 제도이지만 이들이 동일부동산을 대상으로 하여 성립하면 양자는 대립하여 그 우열을 다투는 관계가 된다.
저당권과 용익권이 충돌하는 경우에 양자를 규제하는 데 있어서는 저당권자․저당권설정자․용익권자․경락인 등의 이해를 고려함과 동시에 저당부동산 이용의 촉진과 건물보존과 같은 사회경제적 요청을 실현하지 않으면 안될 것이다. 따라서 이러한 요소들을 다루는 데 있어서는 당사자 각자의 이해의 성질과 내용을 밝히고 그 조절을 모색할 필요가 있다.
한편 저당권과 용익권이 충돌하는 경우에 이를 법적으로 규제하는 기본적인 것은 우선적 효력이다. 물권의 우선적 효력에 의한 이해조정은 당사자간의 불측의 손해를 방지하는 데 가장 적합하다. 따라서 저당권설정 후에 용익권이 성립되었다면 이 용익권은 저당권에 劣位이므로 저당권이 실행되어 목적부동산이 경락되면 용익권이 소멸되는 것은 당연하다. 그러나 저당권실행에 의한 용익권의 소멸을 방지하고 또 이에 의해 목적부동산상의 건물이 헐리는 등의 사회경제상의 불이익을 피하는 것은 민법에 의한 사회규제의 중요한 임무이다.
그러므로 목적부동산이 경락된 경우에 경락인에 대해 용익권을 주장할 수 있는 제도의 대표적인 것이 법정지상권이다. 따라서 당사자간의 합의 없이도 법률에 의해서 의제되는 법정지상권은 그 성립과 내용에 있어서 저당권과의 조절에 관한 것이고, 법정지상권의 인정은 토지소유권의 제한을 의미하므로 토지소유자, 토지저당권자 및 토지경락인의 이해를 보호하기 위하여 일정한 한계를 설정할 필요가 있으며 이를 위하여 법정지상권의 성립요건 및 그 내용을 명확히 규명할 것이 요구된다.
따라서 본 논문에서는 제2장에서는 법정지상권의 개관으로서 법정지상권의 의의와 인정근거, 법률과 판례의 의하여 인정되고 있는 법정지상권의 종류에 관하여 살펴본 뒤, 제3장에서는 법정지상권의 연혁과 외국의 입법례에 관하여 살펴보았다. 그리고 제4장에서는 본 논문의 핵심적인 내용인 저당권과 법정지상권의 조절과 관련하여 살펴보았다. 즉, ① 저당권설정 당시 토지 위에 건물이 존재하고, ② 저당권설정 당시 토지와 건물이 동일인에게 속하며, ③ 토지․건물의 일방 또는 쌍방에 저당권이 설정되고, ④ 경매로 인하여 토지와 건물의 소유권이 달라질 것이라는 법정지상권의 성립요건과 존속기간, 지료, 양도성 등의 내용에 관하여 규명하였다. 그리고 마지막으로 제5장에서는 앞서 살펴 본 내용들을 요약․정리하였다.

The utility real rights to use or make profits from a real estate is different from the mortgage or security for a credit in terms of their goals and functions, but if these two rights aim at the same real estate, they must conflict with each other, causing a controversy which should be preferred.
If a mortgage conflicts with a utility real right, it must be necessary to take into consideration the interests of mortgagee, mortgagor, those having utility rights and successful bidder as well as such socio-economic requirements as use of the real estate and preservation of the building thereupon. Thus, it may well be necessary to review the nature and contents of concerned parties' interests and compromise them.
On the other hand, if a mortgage conflicts with a utility right, it is essential to examine which is legally preferred. Such a compromise is required to prevent concerned parties from suffering an unexpected loss. Specifically, if a utility right was established after a mortgage on the same real estate, the utility right is deemed inferior to the mortgage. So, if the mortgage is executed and thereby, the real estate is sold out through a bidding, the utility right will disappear quite naturally. However, it is important according to the cause of the Civil Code to prevent the building on the real restate from being demolished due to execution of the mortgage and thereby, avoid a socio-economic loss.
In this vein, the legal superfices is designed to allow those having a utility right to oppose the successful bidder when the real estate is sold out to him. The legal superfices is established without any agreement between concerned parties to compromise between mortgage and superfices. A legal superfices implies that the land ownership may be limited. So, it is necessary to set certain limits for the legal superfices in order to protect land owners, mortgagees and successful bidders, and in this sense, it is required to specify conditions and contents of the legal superfices.
In the second chapter of this study, implications, ground and types of the legal superfices admitted by code and judical cases are reviewed in overall terms. In the third chapter, the history and foreign codes of the legal superfices are examined. In the fourth chapter, how to compromise between mortgage and legal superfices is discussed as follows (1) A building should exist on the land at the time when a mortgage is established. (2) the land and the building should belong to the same person when the mortgage is established. (3) The mortgage is established for land or building or both of them. (4) The land and the building have come to be owned by different persons after a bidding. When these four conditions are met, a legal superfices can be admitted. In addition to these conditions, period, rent and consignability of the legal superfices are discussed. The fifth chapter sums up and concludes the study.
