The doctrine of changed circumstances addresses the tension between the binding force of contract and unforeseen changes occurring after the conclusion of a contract. An abstract formulation of its requirements, however, does not sufficiently explain its relationship with established doctrines of contract law, such as contractual interpretation, mistake, impossibility, and allocation of risk, or identify its proper independent sphere of application. This article examines the formation and development of the German doctrine of Geschäftsgrundlage in order to clarify its systematic position within contract law and, on that basis, reclassifies Korean case law according to a staged structure of contractual adjudication.
The German doctrine of Geschäftsgrundlage, developing from Windscheid’s theory of Voraussetzung through Oertmann’s concept of Geschäftsgrundlage, Larenz’s distinction between subjective and objective foundations of a transaction, Flume’s theory of contractual interpretation, Fikentscher’s theory of contractual risk, and Ehmann’s Zwecklehre, did not simply expand the scope of judicial adjustment of contracts. Rather, its sphere of application was progressively delimited in relation to established institutions of contract law. BGB § 313 likewise operates subsidiarily where contractual interpretation, mistake, impossibility, allocation of risk, and other specific rules do not resolve the case. The development of the doctrine therefore demonstrates that its function lies not in establishing a general exception to the binding force of contract, but in addressing a residual sphere left unresolved by the contractual allocation of risk and other rules of contract law.
From this perspective, Korean precedents should also be reconstructed according to the contractual rule that primarily governs the risk at issue, rather than classified merely according to whether the doctrine of changed circumstances was accepted or rejected. The KIKO case can be understood as a matter of allocating exchange-rate risk through contractual interpretation; the immigration-agency case as one of supplementary contractual interpretation; and the development-restricted land-sale case as involving contractual purpose and an express allocation of risk. The COVID-19 airport duty-free-shop case demonstrates the priority of specific rules on rent reduction, impossibility, and risk allocation, while the continuing-guarantee and model-house cases can likewise be reconstructed through rules specifically governing the limitation of guarantee liability, mistake, and warranty liability. Among the cases examined in this article, no decision requiring an independent application of the general doctrine of changed circumstances remains once the existing rules of contract law are fully applied.
Accordingly, the doctrine of changed circumstances should be understood not as a general principle of contract law, but as a subsidiary doctrine based on the principle of good faith, operating only in the exceptional residual sphere not governed by established rules of contract law. Such a staged structure of adjudication respects the contractual function of allocating future risks while preserving the possibility of exceptional adjustment, and thereby provides a systematic framework for the interpretation and possible legislation of the doctrine in Korean civil law.
