오늘날 기업지배구조에 관한 규제방식은 법적 강제보다는 수범자의 자율성에 기반한 연성규범(soft law)에 대한 의존도가 점증하고 있다. 특히 '준수 또는 설명(comply or explain)' 원칙을 핵심으로 하는 기업지배구조코드(corporate governance code) 및 스튜어드십코드(stewardship code)는 형식적 법률은 아니지만, 여러 국가에서 기업지배구조에 실질적인 영향을 미치는 행위규범으로 기능하고 있다. 그러나 이러한 코드들은 도입 초기부터 규제수단으로서의 실효성에 대한 회의적인 시각에 직면해 왔으며, 실제로 형식적 준수나 설명의 질 저하와 같은 문제점을 지속적으로 노출해 왔다. 그럼에도 불구하고 기업지배구조코드와 스튜어드십코드 같은 '부드러운 규범형식'이 실효성과 정당성을 어떻게 확보할 수 있는지에 대한 이론적 분석은 거의 이루어지지 않았다.
본 연구는 하트(H. L. A. Hart)의 법이론을 중심으로, 수범자의 '내면화된 승인'을 통해 연성규범의 법규범으로의 승격 가능성을 이론적으로 탐구해 본다. 특히 기업지배구조코드와 스튜어드십코드와 같은 부드러운 규범형식이 실효성을 획득하기 위해서는 수범자가 해당 규범을 '정당한 행위기준'으로 인식하고 자발적으로 수용할 수 있도록 유도하는 제도적 기반—즉, 수범자의 '양심'에 호소할 수 있는 구조—가 마련되어야 함을 강조한다.
'준수 또는 설명' 원칙은 기본적으로 수범자들을 '준수'로 유도하는 선택설계(nudging)의 기능을 수행한다. 이는 내면화를 일정 부분 촉진시킬 수 있다. 그러나 이것만으로는 충분하지 않다. 효과적인 내면화를 실현하기 위해서는 아래와 같은 다층적 접근이 필요하다. 첫째, 수범자의 수용을 유도하도록 원칙의 구조를 정비하고 이를 탄력적으로 변용할 필요가 있다. 둘째, 민간 주도의 자율적인 코드 설계와 운영이 병행되어야 한다. 셋째, 설명의 질을 높일 수 있는 제도적 보완 장치가 요구된다. 넷째, 수범자들로 하여금 코드를 단순한 지침이 아닌 윤리규범으로 인식하도록 하는 인식의 전환이 요청된다. 외부적 동기를 강화하는 실천적 전략으로, 특정 비준수 관행의 경성규범(hard law)으로의 전환 및 재판규범으로서 활용하는 방안 등을 제시할 수 있다.
위와 같은 제도적 실천을 통해 법규범으로 수용된 코드는 지속가능한 규제로서의 정당성을 확보할 뿐만 아니라, 왜곡된 기업지배구조의 경직된 틀을 서서히 녹여낼 힘을 얻을 수 있다. 이를 통해 궁극적으로 책임 있고 투명한 기업지배구조의 구현이 가능해질 것이다.

In contemporary corporate governance, regulatory approaches are increasingly relying on soft law mechanisms rather than legal coercion. In particular, corporate governance codes and stewardship codes, which are grounded in the principle of “comply or explain,” have come to function as de facto behavioral norms in many jurisdictions, even though they do not possess the status of formal legal rules. However, from their inception, these codes have faced skepticism regarding their effectiveness as regulatory instruments, and they have consistently revealed issues such as box-ticking and boilerplating. Despite these concerns, theoretical analysis remains insufficient as to how such “soft-form norms” can secure both effectiveness and legitimacy.
This study, drawing on H. L. A. Hart’s theory of law, explores the possibility that soft norms may be elevated to the status of legal norms through the “internalized acceptance” of the regulated subjects. It emphasizes that for codes of this kind to acquire real effectiveness, they must be supported by an institutional framework capable of appealing to the “conscience” of the subjects, thereby leading them to recognize the codes as legitimate standards of conduct and to adopt them voluntarily.
The “comply or explain” principle essentially functions as a form of choice architecture (nudging) that guides norm-addressees toward compliance, thereby facilitating a certain degree of internalization. However, this alone is insufficient. To promote internalization more effectively, a multilayered approach is required. First, the structure of the principle must be reorganized and flexibly adapted to encourage the understanding and acceptance of the norm-addressees. Second, autonomous code design and operation led by the private sector should be promoted. Third, institutional mechanisms must be established to enhance the quality of explanations. Fourth, efforts are needed to ensure that the code is recognized not merely as a set of guidelines but as an ethical norm. Furthermore, to strengthen external motivation, practical strategies may include transforming certain non-compliance practices into hard law and utilizing the code as a normative reference in judicial proceedings.
Through such institutional practices, codes that are accepted as legal norms can secure legitimacy as sustainable regulation and, in doing so, gradually gain the power to dissolve the rigid structures of distorted corporate governance. Ultimately, this will enable the realization of responsible and transparent corporate governance.
