기업의 이사회 평가체계 도입을 위한 평가지표에 대한 탐색적 연구

국문 초록 (Abstract)

본 연구는 국내기업의 이사회가 보다 바람직한 방향으로 개선될 수 있도록, 현재 기업들의 이사회를 평가할 수 있는 기준을 전문가들을 대상으로 포커스그룹 인터뷰를 통해서 추출하는데 목적을 두었다. 이를 위하여 바람직한 이사회가 무엇인지에 대한 논의에서부터 시작하여, 각 분야의 전문가들을 참여시키기 위한 활동과 함께 최종적인 포커스그룹의 선정, 인터뷰 질문의 도출을 위한 논의와 선정 등의 과정을 진행하였다. 이를 통하여 최종적으로 학계 7명과 비영리단체 1명을 연구에 참여시켜 각 전문가별로 2회의 심층적인 인터뷰를 진행하였다.
연구결과, 현재 국내기업의 이사회는 많은 진전에도 불구하고 선진국에 비해 여전히 낙후되어 있음을 알 수 있었고, 전문적이고 독립적인 이사회 구성원을 선임하고 이들의 활동을 적극적으로 지원하는 방안을 모색하는 것이 해결책으로 제시되었다. 전문가들은 국내에서 모범적인 이사회는 전문성을 갖춘 사외이사가 선임되고, 이들이 독립적으로 활발하게 활동할 수 있도록 여건을 제공해주는 특징을 가져야 함을 사례를 통해서 제시하였다. 또한 이들은 이사회는 최고경영자 또는 재벌총수를 효과적으로 감시하는 통제역할이 중요하며, 양적인 방식보다는 이사회에 실질적 권한을 부여하는 등의 질적인 방식이 더 효과적이라고 보았다.소유구조별로 이사회의 역할이 달라질 것인지에 대해서는 전문가들은 통제의 역할이 매우 부족한 실정이며, 특히 재벌기업에 있어서는 이사회의 통제역할이 더욱 강조되었다.
