비영리법인에 있어서 이사의 선관주의의무 = Director’s Duty of Care in Nonprofit Corporations

국문 초록 (Abstract)

본고는 비영리법인에 있어서 이사의 선관주의의무를 다루었다. 그 중에서도 비교적 법집행 사례가 많은 사립학교법의 적용을 받는 사립학교법인의 이사와 관련하여, 감독관청인 교육부나 교육청이 행한 이사취임승인취소사례를 중심으로 살펴보았다. 민법상 법인의 업무를 집행하는 이사는 선량한 관리자의 주의로 그 직무를 행하여야 한다. 또한 민법상 법인과 이사와의 관계는 위임자와 수임자의 법률관계와 같으므로 위임의 본지에 따라 위임사무를 처리하여야 한다. 이러한 점에서 사립학교 법인에 있어서 이사의 선관주의의무의 내용은 해당 법인의 목적 및 처리 하는 사무의 성질에 따라 결정된다. 이에 먼저 사립학교법인이 재단법인의 일종이라는 점에 착안하여, 재단법인 이사로서의 의무 일반론과 관련시켜 보았다. 재단목적달성의무, 재산관리의무 등이 선관주의의무의 내용을 구성함을 확인할 수 있었다. 또한 사립학교법상 임원의 취임승인취소사유로부터 이사의 선관주의의무의 내용을 살펴보았다. 자금횡령 등 회계부정이나 사립학교에 관한 법령 위반이 주를 이루고 있는 가운데, 이러한 일을 주도한 이사의 선관주의의무 위반 및 이를 방관한 이사의 감시의무위반에 대하여 살펴보았다. 또한 이사의 선관주의의무 위반을 확정함에 있어서 교육의 공공성과 사립학교의 자주성의 관계도 고려하였다. 그리고 이러한 선관주의의무 위반을 이유로 해당 이사에 대한 민사책임추궁을 활성화하기 위한 입법론은 다음의 연구과제로 남겨두었다.

다국어 초록 (Multilingual Abstract)

This article addresses what constitutes directors’ duty of care in nonprofit corporations governed by the Civil Code. In particular, this article focuses on the directors of private schools, to which the Private School Act is applied.
Under the Civil Code, nonprofit directors shall execute their duties in good faith as delegates of nonprofit corporations. For this reason, directors of private schools shall handle delegated affairs in accordance with the purpose of the corporations as well as the nature of the delegated affairs.
In determining what constitutes directors’ duty of care, this article first establishes that a private school corporation is an incorporated foundation and analyzes the director’s duty of care in terms of achieving the purpose of and managing the property of the foundation. Secondly, this article analyzes the director’s duty of care in relation to grounds for revocation of a director’s assumption of office as listed in the Private School Act — typical grounds for revocation include fraudulent accounting and violation of the Private School Act.
In particular, in contrast to the directors who actively go against their duty of care, this article considers a number of factors when determining whether the directors who did not actively participate in such acts also violate their duty to observe. Finally, the public nature of education and independence of private schools is taken into account when determining a director’s violation of duty of care.
Further research is required for the topic of legislation necessary for bringing civil liability action against directors for violation of duty of care.
