우리나라 공시 제도의 현황과 발전방안 = The present condition and development scheme of Korean disclosure system

국문 초록 (Abstract)

기업정보의 공시제도는 불공정거래행위의 규제와 더불어 증권거래법의 가장 중요한 부분을 차지하고 있다. 기업정보공시란 주주, 채권자, 종업원, 일반투자자 등 기업의 이해관계자에게 기업에 관련된 정보를 공개함으로써 이들이 기업의 실체를 정확히 알 수 있도록 하는 제도이다. 이러한 공시제도는 유가증권의 발행인 등에게 당해 회사의 경영실적, 재무상태, 사업계획, 신제품의 개발 등 유가증권의 가치판단에 필요한 정보를 투자자에게 공개하게 하고 투자자의 자유로운 판단과 책임에 따라 투자하도록 하려는 것이다. 우리나라의 공시제도를 더욱 발전시키기 위해서는 첫째, 재무제표 공시제도에 대한 전면적인 검토가 필요하다. 둘째, 투자자 보호를 강화하기 위해서는 사업설명서의 교부청구가 있는 때라는 요건을 삭제하여 투자자들의 청구가 없더라도 의무적으로 사업설명서를 교부하도록 하는 방안에 대한 검토가 요구된다. 셋째, 수시공시시스템에 대한 전면 검토가 필요하다. 넷째, 중소기업 등 공시 사각 지대에 놓여 있는 기업에 대한 공시의무와 확대가 필요하다. 넷째, 무엇보다도 불성실 공시와 허위공시에 대한 기업의 윤리의식제고와 법 규정을 강화함으로써 불성실공시와 허위공시를 예방하는 등의 노력이 필요하다. 본 연구는 우리나라 공시제도의 현황에 대하여 면밀히 검토하였다. 또한 현행 공시제도의 문제점과 개선방안에 대하여 고찰하였다. 본 연구는 현행 우리나라 공시제도를 연구하는 학자들과 향후의 공시제도의 개선방안을 제시하는데 도움이 될 것으로 기대한다.

다국어 초록 (Multilingual Abstract)

A corporate information disclosure system is the most important part of Securities Exchange Act together with regulation on unfair business practices. Corporate information disclosure is a system allowing company``s stakeholders such as shareholders, creditors, employees and individual investors to accurately know the facts of company by disclosing the company-related information to them. This disclosure system is intended to make securities issuers, corporate executives and the like disclose to investors the information necessary for the valuation of securities, such as the management performance, financial condition, business plan and new product development of company. And it is intended to allow investors to make a reasonable investment decision on their own judgment and responsibility. In order to develop Korean disclosure system more, the current disclosure system should be reviewed. And the amount of disclosed information should be increased. And the current timely disclosure system should be improved. Furthermore, it is necessary to make a self-help effort such as the prevention of unfaithful disclosure. This study reviewed the present condition of Korean disclosure system in detail, and examined the problem and improvement scheme of current disclosure system. It is expected that this study will be helpful to scholars who make a study on Korean disclosure system and suggesting an improvement scheme of disclosure system in the future.
