By comparing relevant corporate las and regulations of different nations with that of Korea, we are able to recognie that there ara many inherent problems within the laws and regulations that govern the financial sector in our country. In regard to those problems described above, this article suggests specific leislativereform as a possible solution: First, to restore the expected role of the Commercial Act, the Act should be substantially modified to add the rules regarding the account terms, the method to calculate asset anddebt, and so on. This article in eistence. Second, regarding the revision mentioned above, the rules related to the calculation should be included in part I of the General Provision of the Commercial Act. This type of reform would help to restore the position of the Act as the prime source of law regarding the corporation account. Third, to reform the practice of audit on corporations, the current Act on External Audit of Companies should be incorpotated into Commercial Act, which will result in the expansion of the scope of audit. this artical argues that by considering the importance of the impact of the audit systme, the cost may be covered by the government budget. Fourth, there needs to be a systematic reform regarding the corporation accounts and tax accounts. Finally, given the importance of the consolidated financial statment as part of the Commercial Act.
