    When an unincorporated association converts into an incorporated association uponauthorization by the competent authority and subsequently transfers the title of its realproperty to the new corporation, the question arises whether this transfer constitutes“acquisition” subject to acquisition tax under the Local Tax Act. This issue is not merely atechnical matter of tax administration but directly implicates constitutional property rightsand the principle of legality in taxation, given that acquisition tax on such transfers ofteninvolves very substantial financial burdens. In its decision of 24 November 2023,2023Nu22276, the Busan High Court upheld the imposition of acquisition tax on theincorporated association, relying on three grounds: the characterization of acquisition tax asa circulation tax that captures the mere fact of transfer, the change from joint communalownership of the members to sole ownership by the corporation as a change in therights-holder, and the absence of any explicit statutory exemption for such transfers. Bycontrast, the Seoul Administrative Court, in its 2005 decision 2004Guhap17839, had treatedthe same type of transfer as a mere formality without a new acquisition where the essentialidentity of the association remains unchanged through the conversion.
    This article first reconstructs the reasoning of the Busan High Court as a three-stepsyllogism-invocation of the circulation-tax doctrine, recognition of a change in therights-holder, and reliance on the absence of an exemption provision-and evaluates eachstep in light of the principle of legality and clarity in taxation, the theory of borrowed legalconcepts, and the civil-law structure of joint communal ownership in unincorporatedassociations. Rather than denying the circulation-tax nature of acquisition tax as such, thearticle argues that additional scrutiny is required when applying this general doctrine toatypical organizational transformations and that the Busan High Court failed to adequatelyexamine whether there was a substantive change in the economic holder of the property. Onthis basis, the article advances a tentative interpretive thesis that where the essentialcharacteristics of the unincorporated association are substantially maintained through theconversion process, the ensuing transfer of title should not be regarded as “acquisition”within the meaning of the Local Tax Act.
    At the same time, the article contends that interpretive analysis alone cannot resolve thepersistent uncertainty and divergence in lower-court decisions concerning such cases. Ittherefore proposes legislative reform of the Local Tax Act, either by explicitly excludingqualifying organizational conversions from the scope of taxable “acquisition” or by introducing a specific non-taxation or exemption provision for such transfers. Drawing onGerman law, in particular the organizational continuity principle in the Umwandlungsgesetzand the special rules in §6a Grunderwerbsteuergesetz, the article explores how the linkagebetween organizational identity and the scope of transfer tax can be clarified at the statutorylevel. It concludes that treating title transfers accompanying the conversion of anunincorporated association into an incorporated association as non-taxable whereorganizational identity is preserved is more consistent with the principle of legality in taxationand systematic coherence and that legislative clarification is needed to reduce interpretiveuncertainty and the risk of over-taxation in such cases.
