중국 전자상거래 연계 구조화상품에 대한 법적 연구|RISS 상세보기

국문 초록 (Abstract)

최근 중국 민간경제의 발전이 전 세계적으로 주목받고 있다. 그 중에서도 전자상거래와 핀테크 양대 시장의 급속한 발전이 집중적으로 조명을 받고 있다. 다수의 학자들은 전자상거래시장과 핀테크시장을 분리하여 취급해 왔다. 그렇지만 핀테크 혁신이 급격하게 이루어지면서, 전자상거래시장과 핀테크시장의 경계가 갈수록 모호해지는 상황이 연출되고 있다. 가장 대표적으로 전자상거래 연계 구조화상품은 바로 이러한 배경 하에 출시된 신종 금융상품으로서, 전자상거래와 핀테크의 성격을 겸유하고 있다. 그런데 이러한 신종 금융상품에 대해 그 법적 성격을 명확하게 규정하지 않을 경우, 상품 자체의 모호함으로 인하여 투자자보호가 제대로 이루어지지 못할 위험성도 매우 높아진다.
가장 선결적으로 전자상거래 연계 구조화상품의 법적 속성을 중국 증권법상 “증권파생상품”으로 명확하게 규정하여야 한다. 다음으로 전자상거래 연계 구조화상품과 관련하여 가장 논란이 되고 있는 법적 쟁점은 다음의 두가지이다. 첫째, 전자상거래 연계 구조화상품의 구매자는 소비자 및 투자자의 이중적 지위를 겸유하는데, 이로 인하여 다양한 법적 쟁점이 추가적으로 발생한다는 점이다. 둘째, 핀테크 혁명과 함께 고객의 개인정보 보호에 대해 논란이 많은데, 중국에서는 고객정보 빅데이터의 소유권을 누가 갖는지를 둘러싸고 정부와 시장간에 다툼이 있다는 점이다. 이 논문은 이러한 쟁점들을 심도있게 분석한 후 관련 법상 시사점을 제시하고자 하였다.

다국어 초록 (Multilingual Abstract)

In recent years, the development of Chinese economic market has caused extensive concern from overseas. The hottest issues among Chinese economic market are E-commerce and Fintech industry. But mostly the scholars are just stay in a separate view of the two markets which are E-commerce and Fintech industry. However, in fact, with the development of financial innovation, the boundary between these two markets are gradually blurred. On the other side, the legal attributes are not clear and the related investors protection system is also not perfect.
Firstly, it"s important to clarify the E-commerce linked strucutured products under the Chinese security law. Secondly, solutions are proposed through the detailed analysis of the legal issues, which are the buyers protection issue caused by the dual status of consumers and investors and legal ownership problem of the big data of Customers information.
