국제기준과 조화된 해외철도사업 중점계약관리항목 분석

Analysis of Core Contractual Management Items
for Overseas Railroad Businesses
Harmonized with Global Standards


The Korean government recently announced that the domestic railroad businesses need to be expanded targeting rail infrastructure opportunities outside of Korea. The Korea government recognizes it has strong competition in this market with Japan and China with their established financing power and their own railroad technologies. In addition it understands that European countries have already had a strong, established, vested interest in world market. Korean overseas railroad businesses which were awarded in such fiercely competitive environment are having some troubles because of insufficient contract management. Well run Korean construction companies, which have more than 50 years experienced in overseas construction field, provide their staff with in-house FIDIC training classes using their own FIDIC training class material that was prepared internally based on their contract management related know-how and experience. Compared to such experienced Korean construction companies, railroad related government offices and private companies perform international railroad businesses based on their traditional customs and practices, rather than internationally recognized contractual conditions.

Accordingly this study initially suggests that the major changes contained in the new version(year 2017) of FIDIC (International Federation of Consulting Engineers) which is the most commonly used standard in Asia countries and in the Middle East which are also the major Korea overseas markets opportunities for railroad businesses. Furthermore, the list of major contract management items for each phase of the Project from the preparation of the contract to the closing stage of the contract, which is based on FIDIC Red Book, is provided as the baseline. Finally, for the purpose of enhancement of contract management for overseas railroad businesses, it is highly suggested to strengthen the contract management capabilities of the railroad staff involved in international business, development of Korean’s own standard bidding documents, and the cultivation of arbitrators for claims that are likely take places in the future through enhanced contract training, which are based on the status of government supported contract management training and overseas cases.

국문 초록 (Abstract)

우리의 주요수출대상국중 하나인 미국이 이란정부에 대한 Sanction 해제, 리비아 및 카타르의 내전 종료 등 급변하는 세계 흐름 속에서 정체되었던 해외사업들이 다시 꿈틀거리기 시작하였다. 이 시점에서 우리가 기존방식과 동일하게 계약조건이 아닌 국내관행 및 발주자의 구두지시 등에 따라 프로젝트를 수행한다면, 미흡한 계약관리로 인해 공기지연, 지체상금 지불, 클레임 등 수익성 악화는 지속될 것이다. 나라마다 관습, 법규, 언어 등이 상이한 해외사업은 계약 당사자들이 약속하여 법적 구속력을 가진 계약에 따라 업무를 이행해야 한다.

따라서, 본 연구에서는 분야와 관계없이 세계적으로 널리 통용되면서 국내해외철도사업과 가장 밀접한 FIDIC(International Federation of Consulting Engineers) 국제표준계약조건을 분석하였다. 분석시 예상 가능한 계약적 리스크를 최대한 방지하고 효율적인 계약관리를 위하여, 철도분야 특성을 고려하여 발주단계에서 계약 종료 시까지 단계별 중점계약관리항목을 도출 및 분석하여 하나의 기준점을 제시하였다. 일례로, 미국정부의 이란에 대한 Sanction 해제 재발 가능성을 전혀 배제할 수 없기에 계약 협상 및 체결시 계약서의 “예의적인 사건”계약조항에 정부 Sanction 명령에 의한 과업중지, 계약해지와 이와 연관된 보험부보, 보상책임한계 등을 언급하고, 이외에도 발주자 귀책사유에 의한 시운전 및 준공 지연에 대한 책임 한계 등에 대하여 명확히 기술하여 계약자 보호 장치를 만들어야 한다. 또한, 올해 사전 발표된(Pre-released) FIDIC Yellow Book 및 White Book의 주요변경내용을 살펴보고 계약과정에서 유의해야 할 사항들을 살펴보았다. 끝으로, 해외철도사업의 계약관리 증진을 위한 개선점으로서 철도사업에 경험을 갖춘 FIDIC 인증강사 배출과 중재인 양성을 제안함으로써 해외철도시장에서 경쟁력을 높이는데 기여할 것으로 기대한다.
